Stephen L. Gordon is head of the Cravath <strong>Tax</strong> Department. Steve’s<br />
practice focuses on the tax aspects of mergers and acquisitions and<br />
other transactions, including spin-offs, restructurings and corporate<br />
joint ventures. Steve also works with clients on corporate finance<br />
issues and domestic and international taxation. Steve’s clients have<br />
included Ashland, Royal Dutch Shell, Bristol-Myers Squibb,<br />
JPMorgan Chase, Moody’s, DreamWorks Animation, Kraft Foods,<br />
Lucent, Time Warner and White Mountains Insurance Group. Steve<br />
was recognised as one of the country’s leading tax practitioners in<br />
Chambers USA 2008: America’s Leading Lawyers for Business. In<br />
addition, Cravath’s tax practice received the publication’s highest<br />
ranking for its ability to handle “any matter thrown at them with<br />
poise and flair”. Steve also was recognised as a leader in corporate<br />
tax law by The International Who’s Who of <strong>Corporate</strong> <strong>Tax</strong> Lawyers<br />
2008 and by The Best Lawyers in America 2008.<br />
Steve was born in Syracuse, New York. He received an A.B. cum<br />
laude from Cornell University in 1978, and a J.D. cum laude from<br />
Harvard Law School in 1981, where he was an editor of the<br />
Harvard Law Review. He joined Cravath in 1981 and became a<br />
partner in 1987.<br />
Andrew W. Needham is a <strong>Tax</strong> partner at Cravath, Swaine & Moore<br />
LLP. Andrew’s practice concentrates on the private equity and<br />
hedge fund sectors, mergers and acquisitions, spin-offs and general<br />
tax planning for the preservation of tax attributes. He is an active<br />
member of the Executive Committee of the <strong>Tax</strong> Section of the New<br />
York State Bar Association and the Co-Chairman of the Committee<br />
on Partnerships of the <strong>Tax</strong> Section of the New York State Bar<br />
Association. Andrew is the author of many published articles,<br />
including Needham & Brause, 736 T.M., Hedge Funds, Needham &<br />

In 2008, Andrew was recognised by The Legal 500 for his skill in<br />
East Coast Domestic <strong>Tax</strong> practice and was also named a leading<br />
practitioner in the tax arena by Chambers USA 2008: America’s<br />
Leading Lawyers for Business.<br />
Andrew received a B.A. from the University of Arizona in 1982, a<br />
J.D. and an LL.M. from Georgetown University Law Center, in 1986<br />
and 1990, respectively, and an M.B.A. from the University of<br />
Pennsylvania’s Wharton School in 1992. He joined Cravath in<br />
2005 as a <strong>Tax</strong> Partner.<br />
