Agreements for Development of the Cherokee Farm Research Park - ActionEXHIBIT “D”TO MASTER GROUND LEASEMEMORANDUM OF MASTER GROUND LEASERECORDING REQUESTED BYAND WHEN RECORDED MAILTO:________________________7MEMORANDUM OF MASTER GROUND LEASE(Space Above For Recorder's Use)This Memorandum of Master Ground Lease (this "Memorandum") is dated this ___ day of__________, 20__, by and between THE UNIVERSITY OF TENNESSEE ("University"),whose address is _________________________________________ and UNIVERSITY OFTENNESSEE RESEARCH FOUNDATION, a ____________________________________("Tenant "), whose address is _________________________________________________.RECITALS:A. University is the owner of certain real property located in the City of Knoxville,County of Knox, State of Tennessee, as more particularly described on Exhibit A (the“Property”).B. Pursuant to that certain Master Ground Lease dated __________ (the “MasterGround Lease”), University leases a portion of the Property (the “Premises”) to Tenant.C University and Tenant have entered into this Memorandum to give record noticeof the Master Ground Lease.NOW THEREFORE, for and in consideration of the premises and the mutual promiseshereinafter set forth and set forth in the Master Ground Lease, University and Tenant do herebycovenant, promise and agree as follows:1. Definitions. All of the foregoing Recitals are, by this reference, incorporated intothe body of this Memorandum as if fully set forth herein. Initially capitalized terms used but nototherwise defined herein shall have the respective meanings ascribed to them in the MasterGround Lease.8088569.13 C-4191

University hereby leases to Tenant, and Tenant hereby leasesfrom University, the Premises, subject to and in accordance with the terms, conditions andagreements contained in the Master Ground Lease, all of which are, by this reference,incorporated into this Memorandum in their entirety as if fully set forth herein.3. Term. The term of the Master Ground Lease commenced as of ____________,and shall end as of ____________, subject to the terms set forth therein. Upon the expiration ofthe term of the Master Ground Lease, University shall have the right to execute and record aconfirmation of the termination of the Master Ground Lease and this Memorandum, with orwithout the Tenant being a signatory party thereto (provided that Tenant shall join as a signatoryparty upon request). In any case where University is the sole signatory, such confirmationnonetheless shall conclusively establish such termination and extinguish any effect of thisMemorandum as record or constructive notice, except with respect to any third party to theextent such party has actual knowledge that the confirmation is untrue or disputed in good faithby Tenant.74. Severability. If any provision of this Memorandum or the application thereof toany person or circumstance is or shall be deemed illegal, invalid or unenforceable, the remainingprovisions of this Memorandum shall remain in full force and effect and this Memorandum shallbe interpreted as if such illegal, invalid or unenforceable provision did not exist.5. Modification; Conflict. Nothing contained in this Memorandum is intended toor shall amend or modify any of the terms or provisions of the Master Ground Lease. In theevent of a conflict between the terms and provisions of this Memorandum and the terms andprovisions of the Master Ground Lease, the terms and provisions of the Master Ground Leaseshall, in all incidents, control, govern and prevail. All rights, covenants, conditions, agreements,restrictions and reservations contained in this Memorandum and the Master Ground Lease shallrun with the land and shall inure to the benefit of and shall be binding upon University andTenant and their respective heirs, legal representatives, successors and assigns.6. Entire Agreement. This Memorandum and the Master Ground Lease contain theentire agreement of University and Tenant with respect to Tenant’s lease of the Premises.7. Counterparts. This Memorandum may be executed in separate counterparts,each of which shall constitute an original copy hereof, but all of which shall constitute but oneand the same agreement.IN WITNESS WHEREOF, University and Tenant have executed this Memorandum as of theday and year first written above.[Exhibit Only – Not For Execution]8088569.13 C-5192
