Minutes <strong>of</strong> Last Meeting1the administration be authorized to execute an Addendum to the MasterAffiliation Agreement between the <strong>University</strong> <strong>and</strong> Methodist Healthcare-Memphis Hospitals <strong>and</strong> an Affiliation Agreement between the <strong>University</strong> <strong>and</strong><strong>The</strong> West Clinic, PC, under which <strong>The</strong> West Clinic, PC will serve as a facultypractice plan for oncology, after review <strong>and</strong> approval by the Chief FinancialOfficer <strong>and</strong> the General Counsel <strong>and</strong> after all required or appropriate stategovernment reviews <strong>and</strong> approvals; seconded by Trustee Tanner <strong>and</strong> themotion was approved unanimously.XII.Update on UT-Erlanger Faculty Practice Plan—Information Item (Exhibit15)—Chair Talbott asked Chancellor Schwab to present the UT-ErlangerFaculty Practice Plan. Chancellor Schwab asked Dr. Ken Brown, ExecutiveVice Chancellor to update the Committee. Vice Chancellor Brown addressedthe Committee <strong>and</strong> the <strong>Board</strong> reviewed <strong>and</strong> approved some time ago. <strong>The</strong>documents have been filed in the UT/Erlanger Practice Plan. As Dr. Schwabsaid part <strong>of</strong> the strategy in forming these practice plans is to give the<strong>University</strong> control over the academic clinical missions in the hospital thattechnically we do not own. <strong>The</strong> purpose <strong>of</strong> establishing practice group inChattanooga is to strengthen the educational mission. We haveapproximately 165 residents in Chattanooga that play a significant role in theErlanger Hospital. In order to strengthen the clinical <strong>and</strong> educational mission<strong>and</strong> to grow our research mission there that we don’t have, the formation <strong>of</strong>this joint practice plan was the way to go.<strong>The</strong> Affiliation Agreement was formed between the UTHSC College <strong>of</strong>Medicine in Chattanooga <strong>and</strong> the Erlanger Hospital System. It will st<strong>and</strong> upas a (501(c) 3) which will be a part <strong>of</strong> Erlanger. He then spoke to the questionthat Chair Talbott had earlier about whether or not the <strong>University</strong> has anyliability. Vice Chancellor Brown explained that there is no liability on thispractice plan. It is fully funded by Erlanger Hospital <strong>and</strong> will not be asubsidiary. It will be open to public meetings <strong>and</strong> open records. It will bephysician led <strong>and</strong> pr<strong>of</strong>essionally managed. One <strong>of</strong> the major concerns <strong>and</strong>Trustee Hall can speak to this is that in Chattanooga the hospital physicianswanted to be in the fabric <strong>of</strong> the leadership <strong>of</strong> the practice plan. <strong>The</strong>y made atremendous amount <strong>of</strong> noise about it in Chattanooga as this plan was puttogether. We have actually been working on this for two years. <strong>The</strong> <strong>Board</strong> <strong>of</strong>Directors includes:Erlanger CEO <strong>and</strong> CFOUT Dean <strong>of</strong> College <strong>of</strong> Medicine in Chattanooga <strong>and</strong> Assistant Dean <strong>of</strong>Clinical Affairs5 Physician Directors – Elected by the physicians employed by orcontracted to the corporation2123
