In July <strong>2003</strong>, Fiat S.p.A. and Avio Hold<strong>in</strong>g S.p.A., a company that<br />
is 70% owned by The Carlyle Group and 30% by F<strong>in</strong>meccanica<br />
S.p.A., signed an agreement for <strong>the</strong> sale <strong>of</strong> <strong>the</strong> aerospace<br />
activities <strong>of</strong> FiatAvio S.p.A., which Fiat transferred to Avio S.p.A.,<br />
a newly established company.<br />
The enterprise value attributed to Avio S.p.A. is approximately<br />
1,500 million euros. This transaction will improve <strong>the</strong> f<strong>in</strong>ancial<br />
position <strong>of</strong> <strong>the</strong> Group by about 1,400 million euros.<br />
The agreement is subject to <strong>the</strong> customary conditions<br />
precedent and approval by <strong>the</strong> competent antitrust authorities.<br />
The clos<strong>in</strong>g <strong>of</strong> <strong>the</strong> transaction is expected to take place by <strong>the</strong><br />
end <strong>of</strong> <strong>the</strong> year.<br />
In July <strong>2003</strong> Fiat carried out <strong>the</strong> capital <strong>in</strong>crease which <strong>the</strong> Board<br />
<strong>of</strong> Directors resolved upon at its meet<strong>in</strong>g <strong>of</strong> June 26, <strong>2003</strong>, on<br />

<strong>the</strong> occasion <strong>of</strong> <strong>the</strong> presentation and approval <strong>of</strong> <strong>the</strong> Fiat Group<br />
Relaunch Plan.<br />
The capital <strong>in</strong>crease was concluded <strong>in</strong> August without <strong>the</strong><br />
participation <strong>of</strong> <strong>the</strong> Underwrit<strong>in</strong>g Group. All <strong>of</strong> <strong>the</strong> 367,197,108<br />
Fiat ord<strong>in</strong>ary shares <strong>of</strong>fered to stockholders <strong>in</strong> <strong>the</strong> form <strong>of</strong> a<br />
rights <strong>of</strong>fer<strong>in</strong>g at a price <strong>of</strong> 5 euros per share were subscribed,<br />
for an overall amount <strong>of</strong> 1,836 million euros.<br />
Also <strong>in</strong> July <strong>2003</strong>, CNH issued eight-year senior notes with a<br />
face value <strong>of</strong> about $750 million. Over 60% <strong>of</strong> <strong>the</strong> <strong>in</strong>debtedness<br />
<strong>in</strong>curred by CNH’s <strong>in</strong>dustrial operations, <strong>in</strong>clud<strong>in</strong>g this bond<br />
issue, now has a maturity <strong>of</strong> five years or more.<br />
In September, <strong>the</strong> bond issue was <strong>in</strong>creased to a total <strong>of</strong> $1,050<br />
million.<br />
