submitted by contractor pursuant to this contract. The contractor shall provide such assistance as<br />

may be reasonably required in the course of such inspection.<br />

ECCTA further reserves the right to examine and re-examine said books, records, accounts, and<br />

data during the three year period following the termination of this contract; and contractor shall<br />

in no event dispose of, destroy, alter, or mutilate said books, records, accounts, and data in any<br />

manner whatsoever for three years after the termination of this contract.<br />

Pursuant to California Government Code, the parties to this contract shall be subject to the<br />

examination and audit of a representative of the Auditor General of the State of California for a<br />

period of three years after the termination of this contract.<br />

The examination and audit shall be confined to those matters connected with the performance of<br />

this contract including, but not limited to, the cost of administering the contract.<br />

Prohibited Interest<br />

By submitting a proposal, the proposer represents and warrants that to the best of its knowledge<br />

that neither the CEO, nor any director, officer, agent, nor employee of ECCTA, has in any<br />

manner any interest, contractual or non-contractual, financial or otherwise, in this transaction or<br />

in the business of the proposer.<br />

If any such interest comes to the knowledge of the proposer at any time, a full and complete<br />

disclosure of all such information shall be made in writing to ECCTA, even if such interest<br />

would not be considered a conflict of interest under Article IV Division 4 (commencing with<br />

Section 1090) or Division 4.5 (commencing with Section 3600) of the Government Code of the<br />

State of California.<br />

No member, officer, or employee of ECCTA or of any of its member jurisdictions during his/her<br />

tenure of office, or for one year thereafter, shall have any interest, direct or indirect, in this<br />

contract or the proceeds therefrom.<br />

No member or a delegate to the Congress of the United States shall be admitted to any share or<br />

part of the contract awarded under this proposal or to any benefits arising therefrom.<br />

Conflict of Interest<br />

No employee, director, officer, or agent of ECCTA shall participate in selection, award or<br />

administration of a contract if a conflict of interest, real or apparent, would be involved. Such a<br />

conflict would arise when the employee, officer or agent, any member of his/her immediate<br />

family, his or her partner, an organization which employs, or is about to employ, any of the<br />

above interest in the firm selected for award.<br />

ECCTA’s officers, employees or agents shall neither solicit nor accept gratuities, favors or<br />

anything of monetary value from contractors, potential contractors, or have a financial or other<br />

interest in the firm selected for award.<br />
