4. TERMINATION
A. This Agreement and all obligations hereunder may be terminated at any time,
with or without cause, by ECCTA upon five (5) days written notice to the
Contractor. The Contractor may terminate this Agreement upon 30 days’ written
notice to ECCTA.
B. If the Contractor fails to perform any of its material obligations under this
Agreement, in addition to all other remedies provided by law, ECCTA may
terminate this Agreement immediately upon written notice.
C. Upon termination with or without cause, all finished and unfinished
documents, project data, and reports shall, at the option of ECCTA, become its
sole property and shall, at the Contractor’s expense, be delivered to ECCTA or to
any party it may so designate.
D. In the event this Agreement terminates without cause, the Contractor shall be
entitled to any compensation owing to it hereunder up to the time of such
termination, it being understood that any payments are full compensation for
services rendered prior to the time of payment; provided, however, that the
Contractor shall be entitled to compensation for work in progress at the time of
termination.
5. CONTRACT PRICE
Contractor shall provide all of the products and services specified in this Agreement
at a not to exceed total contract price of:

The amount shall include all costs for labor, materials, tools, equipment, services,
insurance, overhead profit, and all other costs incidental to the performance of the
services specified under this Agreement.
