• ECCTA, its officers, agents and employees shall be named as additional insureds,<br />
and the policy shall stipulate that this insurance will operate as primary insurance<br />
and that no other insurance held by the ECCTA will be called upon to contribute.<br />
Professional Liability<br />
The <strong>Contra</strong>ctor, at its own cost and expense, shall maintain professional liability<br />
insurance for the period covered by the Agreement, and two years following completion<br />
of the Project, in an amount not less than $1,000,000 covering errors and omissions in the<br />
services the <strong>Contra</strong>ctor performs under the Agreement. The policy limits of this<br />
professional liability insurance policy shall apply separately to the Project. The insurance<br />
is to be placed with insurers with a Best’s rating of no less than A: VII<br />
Notice to Proceed<br />
As soon as practical after execution of the contract, and after receipt of acceptable insurance<br />
certificates by ECCTA, a written Notice to Proceed will be mailed to the successful proposer.<br />
The effective date of the Notice to Proceed will be the date stated in the Notice to Proceed,<br />
provided that the effective date will not be earlier than the day following the issuance of the<br />
Notice to Proceed.<br />
Acceptance<br />
Acceptance by ECCTA of any services furnished under this contract shall occur only subsequent<br />
to the final review of authorized employees of ECCTA. ECCTA shall reject and refuse to pay for<br />
any and all non-conforming services. Nothing in this section shall limit or restrict the warranty<br />
and remedy obligations of the proposer specified in this agreement.<br />
Legal Relations and Responsibilities<br />
All services furnished pursuant to this agreement shall comply with all applicable federal, state,<br />
county, and municipal statues, ordinances, and regulations. The contractor shall, if requested by<br />
ECCTA, provide certification and evidence of such compliance. The contractor shall furnish,<br />
upon ECCTA’s request, verification that its employees have legal rights to work in the United<br />
States of America and in the State of California.<br />
The contractor shall keep fully informed concerning all requirements of law, including, but not<br />
limited to all federal, state, and local laws and regulations which in any manner affect the<br />
performance of work under this agreement. The contractor shall at all times observe, and shall<br />
cause all employees and sub-contractors to observe, all such requirements of law and shall<br />
protect, indemnify and hold harmless ECCTA, its directors, officers, agents and employees<br />
against all claims and liabilities arising from or based on the violation of any such requirement of<br />
law whether by the contractor or their employees or sub-contractors.<br />
