Pursuant to 49 CFR Section 26.13 and as a material term of any agreement with ECCTA, the<br />

<strong>Contra</strong>ctor hereby makes the following assurances and agrees to include this assurance in any<br />

agreements it makes with <strong>Contra</strong>ctors in the performance of this <strong>Contra</strong>ct:<br />

“The <strong>Contra</strong>ctor or subcontractor shall not discriminate on the basis of race, color,<br />

national origin, or sex in the performance of this contract. The <strong>Contra</strong>ctor shall The<br />

applicable requirements of 49 CFR Part 26 in the award and administration of U.S. DOTassisted<br />

contracts. Failure by the <strong>Contra</strong>ctor or subcontractor these requirements is a<br />

material breach of this contract, which may result in the termination of this contract or<br />

such other remedy, as ECCTA deems appropriate.”<br />

Any <strong>Contra</strong>ctor who would like to request additional information or ask questions regarding<br />

Prompt Payment to Subcontractors<br />

In accordance with ECCTA’s DBE Program, the <strong>Contra</strong>ctor shall pay any Subcontractors<br />

approved by ECCTA for work that has been satisfactorily performed no later than ten (10) days<br />

from the date of <strong>Contra</strong>ctor’s receipt of payments from ECCTA. Within ten (10) days of<br />

satisfactory completion of all work required of the Subcontractor, the <strong>Contra</strong>ctor shall release to<br />

the Subcontractor any retainage payments withheld.<br />

Any delay or postponement of payment to Subcontractors for satisfactory work performance may<br />

take place only for good cause and with ECCTA’s prior written approval. If the <strong>Contra</strong>ctor<br />

determines the work of the Subcontractor to be unsatisfactory, it must notify ECCTA<br />

immediately in writing and state the reasons.<br />

If the <strong>Contra</strong>ctor fails or refuses to comply with requirements of this prompt payment clause,<br />

ECCTA will issue an order stopping all or part of the payment or work until satisfactory action is<br />

taken. If the <strong>Contra</strong>ctor still fails to comply, ECCTA may issue a termination for default<br />

proceeding.<br />

Required Certifications<br />

All certifications contained in Section 8 of this RFP must be included with the proposer’s<br />

proposal. Failure to include all forms, properly executed, may be cause for rejection of a<br />

proposal.<br />
