An international institute for rice research 17On 30 April 1960, University of the Philippines President Sinco signed alease for all the University-owned land made available to IRRI for bothbuildings and experimental fields. On 4 October 1961, he signed a second leasecovering all the land that had been purchased for IRRI by the University withFord Foundation funds.By the time the final land purchase was made, the College of Agriculturehad decided that it could not spare the 30 ha that it had indicated earlier it couldallocate to IRRI for part of its experimental farm. The College authoritiespointed out, however, that the amount of land they could spare, plus thatwhich had been purchased, would give the Institute 80 ha for field experimentation.This, then, was the size of IRRI’s experimental fields for more than adecade.Dean Umali and I had several discussions about the sort of affiliation thatshould be developed between the College of Agriculture and IRRI. On 18March 1960, Umali, Wortman, and I agreed on the following terms of cooperationbetween the two institutions:• Selected senior staff members of IRRI will be given academic titles asaffiliate members of the graduate faculty of the University. With such appointmentsthey may serve as members of the graduate school committeesof students and may supervise thesis research projects of graduatestudents who are working with rice.• IRRI and College personnel will have free access to both libraries.• Any specialized equipment available at one institution and not at theother may be used by any qualified member of the other institution underappropriate supervision by, and with the permission of, the scientist incharge of the equipment.• The College infirmary will be used as the health center for IRRI employees.IRRI will reimburse the College for medical treatment for its employeesand, in addition, it will provide modest funds for expansion of theinfirmary to accommodate the extra load.• IRRI will provide funds for the expansion of the Maquiling School so thatchildren of IRRI's scientific staff may be accommodated. Furthermore,IRRI will make a modest annual contribution toward the operation of theschool.All the terms in this agreement were carried out faithfully. Although therewere occasional misunderstandings between IRRI and the College of Agriculture,they were of short duration and were always resolved amicably. Bothparties made a real effort to cooperate; certainly IRRI profited greatly fromhaving such a good neighbor.As I mentioned earlier, the secretary of Agriculture had hoped that amemorandum of agreement between the Government of the Philippines andthe two foundations could be signed in early June 1959, while Harrar, Hill, andI were still in the Philippines. Although this was not feasible from thestandpoint of the foundations, they did fully agree that at a subsequent date anappropriate document would be executed. On 30 June 1959, Harrar wrote toSecretary Rodriguez reiterating the terms of the proposed agreement and
18 History of the International Rice Research Instituteinviting him to New York at a mutually convenient time to sign a formalMemorandum of Understanding, together with President Rusk of theRockefeller Foundation and President Henry Heald of the Ford Foundation.The outline of the Memorandum as prepared by Harrar and sent to Rodriguezwas subsequently modified somewhat by correspondence between Harrarand me and in conversations in New York between Harrar and Hill. I, ofcourse, discussed the changes with Rodriguez and Dalisay in the Philippines.The Memorandum of Understanding (the full text of which appears inAppendix 3) between the Republic of the Philippines and the two foundationswas signed in New York on 9 December 1959 by Rodriguez, Rusk, and Heald.Its preamble pointed out the importance of rice as a world food crop and theneed for increasing its production in order to keep up with the burgeoningpopulations of Asia. It then described the proposed activities and objectives ofIRRI, its organization, its powers, and the privileges being granted by theGovernment of the Philippines. It stated how IRRI would be financed andspelled out the arrangements made with the University of the Philippines forthe acquisition of land. It indicated that the agreement should last for 50 years,but stated that if at any time it were mutually agreed that the Institute shouldbe terminated, the land, buildings, equipment, funds, and other assets belongingto the Institute would become the exclusive property of the College ofAgriculture of the University of the Philippines.Soon after my arrival in the Philippines, Undersecretary Dalisay informedme that the tax exemption status of IRRI as contained in the PresidentialExecutive Order would be valid as long as the present administration remainedin power. However, a new administration could remove that privilegeif it so wished. Dalisay advised that IRRI take two steps to assure its continuingoperation in the Philippines. First, it should be incorporated as a nonprofit,nonstock philanthropic organization under the regulations of the PhilippineSecurities and Exchange Commission (SEC). Secondly, it should make arrangementsto have a bill introduced before the Philippine Congress which, ifpassed, would provide full tax exemption for IRRI and its foreign staffmembers. Such status could not be revoked unless a separate bill to do so werepassed at a future congressional session, an action that Dalisay felt would bemost unlikely.To register with the SEC, it was necessary that IRRI submit its Articles ofIncorporation, which had to be signed by five incorporators, the majority ofwhom had to be Filipinos.The first draft of the Articles of Incorporation was drawn up by AttorneyCecilio Honorio of Research Associates, Inc., an organization of which Dalisaywas a member. After modifying it somewhat, I sent the draft to New York, inNovember 1959, where Hill and Harrar made further revisions. It was decidedthat the incorporators would be Harrar and Hill of New York; and Rodriguez,Sinco, and Paulino Garcia (chairman of the National Science DevelopmentBoard) of the Philippines.The revised version of the Articles of Incorporation was checked by AttorneyJovito R. Salonga, well known for his experience in such matters, and on
