A shareholder’s possible losses are limited to the amountpaid for his or her shares; if the corporation becomes insolvent the shares may be worthless but theshareholder will not be required to use personal assets to satisfy the unpaid debts of the corporation. For this reason, a corporation is an attractive business structure for investors who do not want to playan active part in the management of the business <strong>and</strong> want to know the extent of their risk.A corporation may be created under either federal or provincial legislation. Federally incorporatedcorporations are regulated under the Canada Business Corporations Act.
