This is because <strong>the</strong> regulations implement<strong>in</strong>g <strong>the</strong>Prospectus Directive only cover offer<strong>in</strong>gs of (a) securities with an aggregate value above € 2,500,000<strong>and</strong> (b) securities which are listed or admitted to trad<strong>in</strong>g on a regulated market with<strong>in</strong> EU/EEA(collectively, “Tier 1 Offer<strong>in</strong>gs”).UK/1729295/03 27 September 2010
