The Directors were then asked by Mr. Beyer to authorize ESD to amend a contract for<br />

Mr. Beyer explained that the Directors were being requested to authorize ESD to amend<br />

its retainer agreement with the law offices of Donald Tobias to continue to provide services in<br />

connection with creditor’s rights, collections, workouts, bankruptcy and foreclosure matters.<br />

Mr. Beyer went on to note that Donald Tobias handles a large number of matters in an<br />

efficient manner and at a rate substantially less than ESD’s current maximum rate of $400 per<br />

hour.<br />

Mr. Beyer continued and explained that the maximum amount of the firm’s current<br />

retainer has been reached and ESD is seeking this amendment so Mr. Tobias can continue to<br />

service the Corporation’s workout matters.<br />

Following Mr. Beyer’s full presentation, the Chair called for questions or comments.<br />

Hearing none and upon motion duly made and seconded, the following resolution was<br />

unanimously adopted:<br />
