REQUEST FOR: Authorization to Enter into Contracts with Awardees; Authorization to<br />

Disburse Funds; and Authorization to Take Related Actions<br />

I. Project Summary<br />

Awardees: Investment entities as set forth on attached Schedule A.<br />

Amounts: See attached Schedule A.<br />

State Investment: Up to $25,000,000 by a grant from the Innovate NY Fund program (the<br />

“Fund”) and up to $1,500,000 from the Small Business Technology<br />

Investment Fund (“SBTIF”).<br />

Project Location: Statewide<br />

Proposed Project: The Fund is a newly created equity investment fund that supports<br />

innovation, job creation, and high growth entrepreneurship throughout<br />

the State of New York (the “State). The Fund’s objective is to invest in<br />

seed stage businesses through investment entities that have been<br />

selected by, and are under contract, to the Corporation. SBTIF is the<br />

State’s existing investment fund and makes early stage equity and debt<br />

investments in companies that have developed new innovative<br />

technology products or services, provide significant competitive<br />

advantage, and possess a strong intellectual property position. Funds<br />

from SBTIF will be invested alongside Innovate NY funds in order to<br />

better align State equity support resources, expand the amount of<br />

support possible, and cover certain management expenses of the<br />

investment entities not possible with the US Treasury program funds<br />

used to capitalize Innovate NY.
