the blanks in the Certificate of Incorporation. I shall<br />

show your letter this afternoon to Mr. Maass sad Mr,<br />

Leidesdorf, who have been in &. Bamberger's confidence,<br />

and ask them to commnicate with you regkrding details<br />

which I am not in s position to settle.,.<br />

<strong>The</strong> enclosure read as fallows:<br />

First: <strong>The</strong> name or title by-which this corporation is to<br />

be known in law is the <strong>Institute</strong> of Higher Learning or the<br />

<strong>Institute</strong> <strong>for</strong> <strong>Advanced</strong> Studies to be situated at or near the<br />

City of Newark. <strong>The</strong> <strong>Institute</strong> shall have a faculty or staff<br />

headed by a Director, whose functions will be defined by<br />

the By-Laws to be hereafter adopted.<br />

Second: <strong>The</strong> purpose <strong>for</strong> which this corporation is fomd<br />

is the prmotion of knowledge in all fields and the train-<br />

ing of advanced workers <strong>for</strong> and beyond the Ph, D. degree<br />

and similar professional degrees of equal standing. <strong>The</strong><br />

conditions under which such degrees will be avarded uill<br />

be at lest equal to those derranded by the most exacting'<br />

educational institutions in the United States.<br />

Fourth: <strong>The</strong> corporation shall be'rrrahaged by a Board of not<br />

to exceed fifteen Trustees who shaL1 be divided into fi~e<br />

equal classes sesving respectively <strong>for</strong> one, two, three,<br />

four, and five years, and vacancies due ta t k expiration of .<br />

.term, resignation, death, or other cause shall be filled bp<br />

the remaining Trustees in aecosdanec with the By-Laus which<br />

As the drafts were being perfected, Mr. Bamberger askez: m.<br />

Hardin to schedule a meting <strong>for</strong> the 5th of Hay. kain speed was<br />

essential: Dr. Flexner was due to sail far Europe in mid-Hay. Some-<br />

what defensively Hardin replied that he and hfs son were to attend the<br />

American Bar Assbciation.~etings in Washington during that week; the<br />

twelfth would do equally well, he thought. Drafting uas well in hand,<br />

and a11 pending matters could be dlsposed of at one further meeting.<br />

But be<strong>for</strong>e he left Hardin prepared <strong>for</strong> Bamberger the follouing letter<br />

to Dr. Flexner, leaving blank the compensation. Eir. Bamberger aent
