matter, the Trustees: could readily see that they wexe confronted by a<br />

lass of three st the April meeting. When the faculty was appointed,<br />

its contingent might hccount <strong>for</strong> five-twelfths of the Board, with the<br />

resulting lass of five more of the present Trustees. <strong>The</strong> Board, con-<br />

fronted by this dilemna, restored the number to fifteen, of whom not<br />

more than'three at any one time t~ight be elected Trustees by the Members<br />

of the Corporation. <strong>The</strong> first Trustees were to be divided by lot into<br />

five classes, to serve frm, one to five years respectively. After thzt<br />

the regular term would be five years.<br />

Again the issue of faculty participation arose as Dr. Flel~ner<br />

proposed a Cormittee on Educational Policy, to consist of three Trustees,<br />

the President and the Vice-President, the Director, and thxee members of<br />

the faculty to be norr.lsrated by the faculty. Agzin Hs. Bamberger refrained<br />

from crossing the Director wertly. <strong>The</strong> proposal as the Board considered<br />

it provided that the faculty zhe~bers of the Cmittee might vote only If<br />

they were also Trustees. Flcxnes" draft gave the Ccrrnmittee "pawex to<br />

make reconmendations educational policies'jr to the Trustees through<br />

the Director, who shall be Chaimn.n Mr. Bamberger required the Conmittee<br />

to advise the Trustees not only on educational policies but on -the con-<br />

duct of thecoxpoxtion.* <strong>The</strong> Board decided' that the faculty members of<br />

the Camnittee should be appointed as were all other cmmittee<br />

(except those designated by office in the B Y-~WS): 3,e,, by the Pre6i-<br />

dent, removed the condition on voting rights, and required the Cmfttee<br />

to review and report also on appointmnts. In the event, the Cumnittee<br />

never materialized; the provision <strong>for</strong> it wzs eliminated i-diateiy after<br />
