1.2 Scope of the Work:<br />

The scope of the work against which tenders are invited is furnished in Clause No. 2.2<br />

of Chapter-II (Special Conditions of Contract) of this Tender document. Tenderers are<br />

advised to study the same carefully and submit their offers for the complete scope of the<br />

work failing which it will be treated as incomplete and dealt with accordingly.<br />

1.3 Rules & General Conditions<br />

• Authorized agents are allowed to buy the tender documents on behalf of their<br />

principals, with letter of authority from the principal.<br />

• Incomplete & tenders with special condition will generally not be considered<br />

• Tender without earnest money will be rejected.<br />

• Bids from Tenderers who have not purchased the documents from Railways but<br />

downloaded from web site and cost of tender is not submitted along with above said<br />

form, tender document are liable to be summarily rejected.<br />

• Tender form is not transferable and under no circumstances the amount paid for the<br />

tender document will be refunded.<br />

• Relevant documents and special condition shall be attached along with tender form as<br />

per terms and condition of tender.<br />

• The tenderer must sign on each page of the tender form.<br />

• Telex and incomplete offers are liable to be ignored.<br />

• If in terms and condition of tender is changed/added/deleted with malafide intention by<br />

the Tenderer/Contactor and the same is detected at any stage even after award of the<br />

Tender, all necessary action including banning of business, would be taken. In addition<br />

Tenderer is also liable to be prosecuted as per the law.<br />

• Tenderer should read the conditions carefully and also see the schedule of supply and<br />

works before submitting the offer and also ascertain site conditions and the magnitude<br />

of works involved.<br />

• New Arbitration Act 1996 will be in force in place of Arbitration Act 1940.<br />

1.4. Issue of Tender Document<br />

Tender forms can be obtained from the office of the Sr. Divisional Signal & Telecom<br />

Engineer, Western Railway, DRM Office, Near Chamunda Mata Mandir, Opp.<br />

New Swadeshi Mills, Naroda Road, Post – Saijpur Bogha, Ahmedabad-382 345<br />

on working days on production of money receipt for Rs. 1,000/- (Rupees One<br />

thousand only), if obtained by post (non-refundable), deposited with the Chief Cashier,<br />

/ any Station Master of the Western Railway. The contractor who desires to receive<br />

the tender document by post should send Demand Draft for Rs.1,500/- (Rs. One<br />

thousand Five Hundred only) drawn in favour of Sr. Divisional Finance Manager, W.<br />

Rly, Ahmedabad. This includes Rs.500/- per set for the speed post charges. Tender<br />

document will be sold and received upto the respective date and time mentioned in the<br />

NIT and its subsequent corrigenda issued, if any. Under no circumstances, the amount<br />

paid for the tender form will be refunded. Tender form is non-transferable.<br />

1.5 Downloading of Tender Document and Instructions thereon:-<br />

Tender document can also be downloaded from the internet website<br />

www.wr.indianrailways.gov.in as per the instructions given below:<br />

Tenderer/s are free to download and take good quality printout on A-4 size paper for<br />

the purpose of perusal as well as for using the same as tender document for submitting<br />

their offer at their own risk and cost. Tenderers are advised to download tender<br />

documents well in advance and also to keep a watch on any corrigendum to the<br />

documents being released by the tender inviting office to ensure that they use the latest<br />

document for their offers.<br />

Master copy of the tender document duly incorporated with latest amendments (if any)<br />

will remain available for viewing in the Office of Sr. Divisional Signal & Telecom<br />

Engineer, Western Railway, DRM Office, Near Chamunda Mata Mandir, Opp.<br />

New Swadeshi Mills, Naroda Road, Post – Saijpur Bogha, Ahmedabad-382 345<br />

till the stipulated closing time. Tender offers are to be made only in the documents<br />

matching with this master copy failing which the offer may be rejected. In case, any<br />

discrepancy between the tender documents downloaded from the internet and the<br />

master copy, later shall prevail and will be binding on the Tenderer/s. In the event of<br />

acceptance of offer, an agreement will be prepared based on the master copy of tender<br />

document available in the above mentioned office and no claims on this account will<br />

It is the responsibility of the Tenderer to check any correction or any modifications<br />

published subsequently in web site and to take into account while submitting their<br />

tender. Tenderer shall download corrigendum (if any), print it out, sign and attach it<br />

with the main tender document. Tender document not accompanied by published<br />

corrigendum/s is liable to be rejected. The Railway will not be responsible for any<br />

postal delays/delay in downloading of tender document from the internet.<br />

In case of submitting Tender on downloaded document, the prescribed cost of tender<br />

document will have to be deposited by the Tenderer in the form of bank demand<br />

draft payable in favour of Sr. Divisional Finance Manager, Western Railway,<br />

Ahmedabad alongwith their tender documents while submitting offer. The draft<br />

towards the cost of Tender Documents must be separate and in no case shall be<br />

combined with the Earnest Money. The earnest money deposit required for this<br />

work as stipulated in the tender document is therefore to be submitted separately.<br />

Tender not accompanied with the demand draft towards the cost of the tender<br />

document will be summarily rejected.<br />

In case of submitting Tender on downloaded document, the following declaration<br />

should also be given by the tenderer while submitting the tender:<br />

(a) I/We have downloaded the tender form from the internet site http://<br />

www.wr.indianrailways.gov.in and I/We have not tampered / modified the tender<br />

forms in any manner. In case, if the same is found to be tampered/modified I/We<br />

understand that my/our tender will be summarily rejected and full earnest money<br />

deposit will be forfeited and I/We am/are liable to be banned from doing business<br />

with Railways and/or prosecuted.<br />

(b) I/We submitting a separate demand draft No. ____________________ dated<br />

____________ issued by __________ for Rs. _________ towards the cost of<br />

tender form.<br />

1.6 Earnest Money Deposit<br />

The tender must be accompanied with requisite Earnest money mentioned in the tender<br />

notice, deposited in cash or in any of the forms as mentioned below drawn in favour of<br />

Sr. Divisional Finance Manager, Western Railway, Ahmedabad, Payable at<br />

Ahmedabad, failing which the tender will be summarily rejected. Any other form of<br />

earnest money or any amount, which may be deposited towards any other type of<br />

tenders like, Lump sum/Standing Earnest money / Bank Guarantee, is not acceptable as<br />

EMD against this tender.<br />

Deposit receipt, Pay orders and Demand drafts. These forms of earnest money could be<br />

either of the State Bank of India or of any Nationalized Banks. No confirmatory advice<br />

from the Reserve Bank of India will be necessary.<br />

Deposit receipt executed by the Scheduled Banks (other than the State Bank Of India<br />

and the Nationalized Banks) approved by the Reserve Bank Of India for the purpose.<br />

The earnest money wherever it is deposited in cash should be remitted to the Chief<br />

Cashier, Western Railway, Ahmedabad and the receipt obtained thereof should be<br />

enclosed with the tender as a proof of the deposit of requisite earnest money. The<br />

earnest money should not be deposited with Stations.<br />

1.7 Local Conditions<br />

It will be imperative on each Tenderer to fully acquaint him with all the local<br />

conditions and factors, which would have any effect on the performance of the contract<br />

and cost of the work. The purchaser shall not entertain any request for clarifications<br />

from the Tenderer regarding such local conditions. No request for change of price or<br />

time schedule of completion will be entertained after the offer is accepted by the<br />

purchaser on account of any local condition or factor. The tenderer(s) shall inspect the<br />

proposed site of work and acquaint himself/themselves with the site conditions,<br />

working hours, layout of land, trees and shrubs that he/they will have to cut, type of<br />

strata likely to be met within the borrow pits, stacking space for materials, approach<br />

roads, path ways available etc. and all relevant items connected with the execution of<br />

the work. No claim shall be entertained for the contractor(s) making his/their own<br />

arrangements for approaches/approach road from outside Railway land and<br />

contractor(s) will bear entire expenses such as road taxes, payment for right of way,<br />

etc. to outsiders and for Construction of approaches/approach roads, etc.<br />

1.8 Tender Form and required documents to accompany the offer:-<br />

The Tender Form duly signed by the Tenderer(s) and at least two independent<br />

witnesses shall invariably be accompanied by the following documents, over and<br />

above those mentioned already , failing which the offer can be treated as invalid<br />

and liable to be summarily rejected without any correspondence with the firm. Hence,<br />

the Tenderers are advised to ensure that these documents are submitted, duly signed at<br />

all pages, with their offer:-<br />

a) Requisite Earnest Money in prescribed and acceptable form.<br />

b) Payments towards the Cost of Tender Document in case of Downloaded Document<br />

1.9 Submission of Tender:-<br />

i) The tenderer should read the tender document carefully especially the conditions and<br />

also see the schedule of supply and works before submitting the offer and also<br />

ascertain site conditions and the magnitude of works involved.<br />

ii) All offers shall be either type written or handwritten neatly in English. Each page of<br />

the offer must be numbered consecutively. A reference to total number of pages<br />

comprising the offer must be made at the top right of the top page. Each page of the<br />

tender document including technical brochures, manuals etc. should be signed by the<br />

tenderer. No scribbling is permissible in the tender documents. Any correction made<br />

by the Tenderer / Tenderers in his / their entries must be attested by him / them<br />

without which the offer will be liable to be rejected. If any change / addition / deletion<br />

is made by the Tenderer / Contractor and the same is detected at any stage even after<br />

the award of the tender, full earnest money deposit will be forfeited and the contract<br />

will be terminated. The tenderer is also liable to be banned from doing business with<br />

Railways and/or prosecuted.<br />

iii) As far as possible the Tenderer’s bid should not have any condition or specification or<br />

assumption contrary to the provisions in these tender documents on which the<br />

tenderer/s bid is based. Tenderer’s Special conditions, not in conformity with the<br />

tender specifications / drawings are required to be listed separately with details of<br />

exact financial implications, if any and to be submitted along with offer. Railways may<br />

not take cognizance of conditions / variations from the tender documents or drawings<br />

etc. It needs to be emphasized that only such conditions/ stipulations which are at<br />

variance with the tender conditions codal provision stipulated in the tender documents<br />

need be mentioned, in case tenderer choose to stipulate such special conditions taking<br />

into account the restrictions mentioned elsewhere in the tender document. Only such<br />

special conditions / specifications stipulated by the Tenderer’s which have been<br />

specifically approved by the Railways in writing shall be deemed to have been<br />

accepted by the Railways and shall form part of the Contract Agreement. The<br />

tenderer/s conditions / stipulations which are at variance with the tender conditions /<br />

codal provisions and not approved / accepted by Railways, shall be withdrawn by the<br />

tenderer/s.<br />

documents themselves or through their agents and tenders submitted by agents without<br />

letter of authority from the principals will be summarily rejected.<br />

1.10 System of Quoting Rates<br />

Tenders are requested to quote their rates against each item, to cover the entire scope<br />

of the work, in figures rounded off to one Rupee. The quoted rates shall include all<br />

duties, Taxes, charges etc. As per rule prevailing on date, Railway being a Govt.<br />

Organization is eligible to exempt Octroi tax and hence a suitable Octroi Tax<br />

exemption certificate will be issued in favour of the contractor on demand. The rate<br />

should also be inclusive of license fee for the application software(s) wherever<br />

applicable. Tenderers if quoting rates in any other form or anywhere other than the<br />

Schedule of material & Works shall not be considered as valid.<br />

Note: - The facility of inter state purchaser by Government Department against from D<br />

and Octroi tax etc. stands withdrawn as per rule.<br />

1.11 Validity of Offer:<br />

The tenderer shall keep the offer open for a minimum period of 3 calendar months<br />

from the date of opening of tender. Within that period, the tenderer cannot withdraw<br />

his offer subject to the period being extended further if required by mutual agreement<br />

from time to time. Any contravention of the above condition will make the tenderer<br />

liable for forfeiture of his Earnest Money Deposit.<br />

It is understood that the tender document has been sold/issued to the Tenderer(s) and<br />

the Tenderer(s) is / are permitted to tender in consideration of the stipulation on<br />

his/their part that after submitting his / their tender subject to the period being<br />

extended further if required by mutual agreement from time to time, he will not resile<br />

from his offer or modify the terms and conditions thereof in a manner not acceptable<br />

to Western Railway. Should the Tenderer fail to observe or comply with the foregoing<br />

stipulation, the amount deposited, as Earnest Money for the due performance of the<br />

above stipulation shall be forfeited by the Railway.<br />

1.12 Opening of Tenders:<br />

Tender will be opened on the day as described in NIT in the office of Sr. Divisional Signal<br />

& Telecom Engineer, Western Railway, DRM Office, Near Chamunda Mata Mandir,<br />

Opp. New Swadeshi Mills, Naroda Road, Post – Saijpur Bogha, Ahmedabad-382 345, at<br />

15.30 hrs .<br />

1.13 Rates During Negotiation<br />

The Tenderer/s shall not increase his/their quoted rates in case the Railway<br />

Administration negotiate for reduction of rates, such a negotiation shall not amount to<br />

cancellation or withdrawal of the original offer and the rates originally quoted will be<br />

binding on the Tenderer/s.<br />

1.14 Errors, Omissions & Discrepancies (in the tender document)<br />

The Contractor(s) shall not take any advantage of any mis-interpretation of the<br />

conditions due to typing or any other error and if in doubt shall bring it to the notice of<br />

the Engineer, without delay. In case of any contradiction only the printed rules, and<br />

books should be followed and no claim for the mis-interpretation shall be entertained.<br />

If a Tenderer finds discrepancies in, or omission from the drawing or any of the Tender<br />

papers or he has any doubt to their meaning, he should at once notify the Railway who<br />

may send a written clarification to all Tenderers.<br />

1.15 Rights of Railway to deal with Tenders:<br />

The authority for the acceptance of the Tenderer will rest with the Western Railway<br />

administration on behalf of President of India, who shall not be bound to accept the<br />

lowest or any tender or to assign any reason for declining to consider, non-acceptance<br />

or rejection of a tender. The Western Railway administration reserves the right to<br />

accept any tender in respect of the whole or any portion of the work specified in the<br />

tender paper or to sub-divide the work among different Tenderers or to reduce the<br />

work or to accept any tender for less than the tendered quantities without assigning<br />

any reason whatsoever.<br />

Railway administration also reserves the right to cancel any or all tenders at any stage<br />

and in such case cost of tender document shall not be refunded.<br />

1.16 Acceptance of Tender, issue of LoA, Submission of Performance BG Bond and<br />

commencement of Contract by the successful Tenderer.<br />

A letter of acceptance (LoA) of the offer shall be issued by the Railway Administration<br />

to the successful Tenderer that his offer has been accepted, on receipt of which he shall<br />

submit a Performance Bank Guarantee (PBG) bond of 5% of cost of work within 15<br />

days of receipt of LoA as described in Clause No. 2.6 of Chapter II, Special Conditions<br />

of Contract and shall execute a formal Contract Agreement with the President of India<br />

acting through the Sr. Divisional Signal & Telecom Engineer, Western Railway.<br />

Conditions / Specifications of this tender. Upon issuing of LoA the contract for the<br />

work shall be deemed to have been awarded to the Tenderer and accordingly the<br />

completion period will be reckoned from the date of issue of LoA irrespective of the<br />

date of signing of contract agreement subsequently.<br />

1.17 Signing of Contract Agreement<br />

The successful Tenderer shall be required to present himself or his duly authorized<br />

representative at the office of the Sr. Divisional Signal & Telecom Engineer,<br />

Western Railway to execute the aforesaid Contract Agreement, within seven days after<br />

receipt of notice that the said documents are ready.<br />

Failure to do so shall constitute a breach of the agreement effected by the acceptance of<br />

the Tender in which case, the Railway may determine that such Tenderer/s has/have<br />

abandoned the contract and there upon his/their tender and the acceptance thereof shall<br />

be treated as cancelled and the Railway shall be entitled to forfeit the full amount of the<br />

earnest money and to recover the liquidated damages for such default, without<br />

prejudice to any other rights or remedies.<br />

1.18 Commencement of work by Submission of Programme for execution :<br />

The successful tenderer upon receipt of LoA shall commence the work by way of<br />

submitting a detailed time schedule in terms of Clause No. 2.9 of of Chapter – II,<br />

Special Conditions of Contract, for completion of work within the allowed completion<br />

period.<br />

1.19 Security Deposit<br />

In addition to the Performance Guarantee Bond mentioned above, Security deposit will<br />

be deducted from 1 st running bills onwards for an amount of 5% of the contract value<br />

as per latest GCC and details given at Clause No. 2.7of Chapter –II, Special conditions<br />

of contract.<br />

1.20 Retention / Release of Earnest Money<br />

(i)<br />

The tenderer shall deposit in favour of the Sr.Divisional Finance Manager, D.R.M.<br />

Office, Western Railway, Ahmedabad, a sum of Rs. 4,060/- (Rupees Four Thousand<br />

Sixty Only) as Earnest Money Deposit, failing which tender will be summarily rejected.<br />

The tenderer/s shall hold the offer open till such date as may be specified in Validity<br />

Clause of the tender. It being understood that the tender documents have been<br />

sold/issued to the tenderer and the tenderer has been permitted to tender in consideration<br />

of the stipulation on his part that after submitting his tender he will not resale from his<br />

offer or modify the terms and conditions thereof in a manner not acceptable to the<br />

Ahmedabad, should the tenderer fail to observe or comply with the foregoing<br />

stipulation, the aforesaid amount shall be liable to be forfeited by the Railways.<br />

If the tender is accepted, the amount of the Earnest Money will be retained as part of<br />

Security Deposit for the due and faithful fulfilment of the contract. The Earnest Money<br />

of the unsuccessful tender will save as here in before provided, be returned to the<br />

unsuccessful Tenderer, but the Railway shall not be responsible for any loss or<br />

depreciation that may happen thereto while in their possession nor be liable to pay<br />

interest thereon. The Earnest Money receipt shall be incorporated in the original copy of<br />

the tender document. (Other copies of the offer, if any shall contain true copies of the<br />

Earnest Money Receipt)<br />

The tenderer shall be required to deposit earnest money with the tender for the due<br />

performance with the stipulation to keep the offer open till such date as specified in the<br />

tender, under the conditions of tender. (i) The earnest money shall be 2% of the<br />

estimated tender value as indicated in the Tender Notice (for tenders of value<br />

upto Rs. 1 crore.(ii) The earnest money shall be Rs. 2 Lakh plus ½% ( half<br />

percent ) of the excess of estimated cost of the work beyond Rs. 1 crore ( tender<br />

value) subject to a maximum of Rs. 1 crore. – This is as per - As per Railway<br />

Board’s letter No. 2007/CE.1/CT/18 dated 28-9-2007.<br />

The earnest money shall be rounded to the nearest Rs.10/-. This earnest money shall be<br />

applicable for all modes of tendering.<br />

(a) It shall be understood that the tender documents have been sold/issued to the<br />

tenderer and the tenderer is permitted to tender in consideration of stipulation on his<br />

part, that after submitting his tender he will not resale from his offer or modify the<br />

terms and conditions thereof in a manner not acceptable to the Engineer, should the<br />

tenderer fail to observe or comply with the said stipulation, the aforesaid amount<br />

shall be liable to be forfeited to the Railway.<br />

(b) If his tender is accepted this earnest mentioned in sub clause (a) above will be<br />

retained as part security for the due and faithful fulfillment of the contract in terms<br />

of Clause-16 of the General Conditions of Contract. The Earnest Money of other<br />

tenderers, shall save as herein before provided, be returned to them, but the Railway<br />

shall not be responsible for any loss or depreciation that may happen thereto while<br />

in their possession, nor be liable to pay interest thereon.<br />

(c) The Earnest Money should be in cash or in any of the following forms:<br />

As per Railway Board’s letter No 2003/CE.1/CT/4 Pt. I dated 04-4-2008. “The<br />

Earnest Money should be in cash or in the form of deposit receipt, pay orders or<br />

demand drafts executed by State Bank Of India or any of the Nationalized Banks<br />

or by a Scheduled Bank “.<br />

No reference to the previous deposit of Earnest Money & Security Deposit for<br />

adjustment against the present tender will be accepted and any request for recovery<br />

from any Security Deposit against present Tender will not be entertained<br />

which the offer after the expiry of the aforesaid period shall not be considered by the<br />

Purchaser.<br />

The earnest money deposited is liable to be forfeited if the tenderer Withdraws or<br />

Deposit as required under Chapter – II clause 2.7 of Special Conditions of<br />

Contract is furnished and the Purchaser receives formal contract duly signed.<br />

If the successful tenderer fails to furnish Security Deposit as required in the Special<br />

Conditions of Contract and fails to return the formal Contract duly signed within fifteen<br />

days of the receipt of the formal contract, then the Earnest Money shall be liable to be<br />

forfeited by the Purchaser.<br />

The Earnest Money of the unsuccessful tenderer (s) will, save as here-in-before<br />

provided, be returned to the unsuccessful tenderer(s) within a reasonable time but the<br />

Railway shall not be responsible for any loss or depreciation that may happen to the<br />

Security for the due performance of the stipulation to keep the offer open for the<br />

period specified in the tender documents or to the Earnest Money while in their<br />

possession nor be liable to pay interest thereon.<br />

Any tender not accompanied by Earnest Money in one of the approved forms will<br />

be summarily rejected.<br />

1.21 QUALIFYING CRITERIA :-<br />

turnover of constituents should be factored based on the percentage share in the Joint<br />

Chapter – II – Special Condition of Contract<br />

2.0 SPECIAL CONDITIONS <strong>OF</strong> CONTRACT<br />

The Tender shall be governed by the following Special Conditions of Contract<br />

(SCC), and Technical specifications etc (Chapters III and IV) in addition to the<br />

General Conditions of Contract of Western Railway (hereinafter called as GCC,<br />

although meant for civil engineering works but will also be applicable to this<br />

work). Where there is any conflict between the instructions to Tenderer,<br />

conditions of tendering, special condition of contract, Tender forms, Annexure<br />

etc. on one hand and GCC on the other, the former (SCC) shall prevail. Similarly<br />

in case of any conflict between the SCC and the Technical Specifications of the<br />

Contract, the latter shall prevail.<br />

Any Special conditions stated by the Tenderer in the covering letter<br />

submitted along with the tender shall be deemed to be part of the Contract to<br />

such extent only as have been explicitly accepted by the Railway.<br />

Performed and the method of construction, these specifications / documents<br />

describe the material to be supplied, work to be for the complete installation in<br />

strict accordance with the drawings and specifications mentioned here and such<br />

instructions as may from time to time be given by the Railway.<br />

It should clearly be understood that the contractor agrees to furnish, without any<br />

extra cost, anything and everything necessary for the complete installation and its<br />

reliable, safe and satisfactory working except such items as are specifically stated<br />

as being supplied by the Railway in this specification and at the time of placing<br />

the contract by the written agreement, the contractor shall quote for the work,<br />

given all information.<br />

2.1 Completion period:<br />

The entire work shall be completed with in a period of 2 calendar months from<br />

the date of issue of LOA of the tender.<br />

2.2 SCOPE <strong>OF</strong> WORK :<br />

The scope of work against which tenders are invited, involves the following two<br />

distinct parts:-<br />

2.2.1 (a) The CCTV camera system shall be monitor to patients in ICU covered in this<br />

tender document is to be installed and commissioned at Sabarmati Hospital<br />

ICU. The system to be provided shall be consist of PTZ dome camera, recording<br />

in 4 channel DVR and associated data, power cable etc., It shall be an integrated<br />

the video management software can work and integrate with as per schedule<br />

standard cameras and IT Hardware.<br />

Note :- The contractor shall submit along with his tender document a<br />

tentative scheme and lay out as to how the tendered work will be executed by<br />

him in the time frame.<br />

Networking & System Integration:-<br />

The work involve networking and integration CCTV system, matron room to<br />

ICU and one monitor installed at out side of ICU for visitors. This includes<br />

supply and installation of command control system hard ware & software.<br />

The details of technical specification, specification for execution of work,<br />

schedule of material & Works are furnished in Chapter-III, IV & V respectively<br />

of tender document.<br />

Provision of Comprehensive Maintenance service for 12 month for schedule-<br />

‘A ‘ after completion for the entire work as per the warranty condition vide<br />

clause no. 2.36 of chapter-II (special condition of contract)<br />

Hence it is important to note that this part of the work ( Para 2.2.1)will be<br />

deemed to have been completed only when installations and commissioning at<br />

different places over Ahmedabad Railway station & surrounding area are<br />

completed as per the contract agreement and successful completion of the<br />

warranty period.<br />

2.2.2 Provision of a Comprehensive Maintenance Service of the complete work<br />

executed under Part - `2.2.1’ above for at least three years after expiry of<br />

warranty period under an Annual Maintenance Contract to be separately<br />

executed if so decided by Railway.<br />

The Rates for such Annual Maintenance Service shall be quoted separately for<br />

each year and the total cost for 3 (three) years shall be taken into<br />

consideration while evaluating the Tenders for finalization. The accepted<br />

rates and terms & conditions quoted by the Tenderers shall be binding on<br />

them. Railway reserves the right to enter into AMC and also to vary the<br />

period for AMC in terms of Clause No 2.39 of Special condition of Contract<br />

governing variation of quantity against an item of the contract.<br />

The details of the Terms & Conditions of the operation of the AMC shall be as<br />

per Clause no. 2.39 of this chapter.<br />

2.3 <strong>RAILWAY</strong> SHALL PROVIDE FOLLOWING:<br />

i) Locations for installation testing & commissioning of PTZ camera ,DVR &<br />

Monitor.<br />

ii) Electric Power Supply will be provided as per extent rule.<br />

2.4 Quantum of Work, Recommended Spares & Optional Items:<br />

(i) The estimated quantities of various items required to be installed and<br />

commissioned are mentioned in the Tender Schedule. It should be clearly noted<br />

that the items and the quantities mentioned have been worked out by Railways<br />

as per the estimated requirements. However if the Tenderer feels that the desired<br />

features can not be achieved or some of the essential features can not be<br />

obtained through the quantities provided in the Tender Schedule, then quantity<br />

as required for the work in the opinion of the Tenderer shall be quoted as<br />

additional items and/or quantity. In such cases, Tenderer shall give, full<br />

justification for such variation, clearly mentioning the consequences of<br />

procuring the quantities suggested by the contractor instead of quantities<br />

indicated in schedule.<br />

(ii) Similarly for any other item(s) necessary for satisfactory completion/<br />

functioning of the tendered work in accordance with the objective of<br />

requirement, rates and quantities of such item(s) shall be quoted separately,<br />

along with detailed justification for the need of the item(s) to achieve end<br />

objective.<br />

(iii) Costs for additional items mentioned above shall be quoted separately wherever<br />

necessary which shall not be taken into account for evaluation criteria of the<br />

offers.<br />

(iv)<br />

Railway reserves the right to include any of the additional items which shall be<br />

binding on the contractor.<br />

2.5 PRICE VARIATION CLAUSE (PVC): No price variation will be applicable.<br />

2.6 PERFORMANCE GUARANTEE:<br />

Revised Clause 16(4) to Indian Railways General Conditions of contract<br />

{Ref: Item-1 to Railway Boards letter no.2007/CE.I/CT/18 Pt.XII dated:<br />

31.12.2010} Clause 16(4). Performance Guarantee<br />

The procedure for obtaining Performance Guarantee is outlined below:<br />

(a)<br />

The successful bidder shall have to submit a Performance Guarantee (PG)<br />

within 30 (thirty) days from the date of issue of Letter of Acceptance (LOA).<br />

Extension of time for submission of PG beyond 30 (thirty) days and upto 60<br />

days from the date of issue of LOA may be given by the authority who is<br />

competent to sign the contract agreement. However a penal interest of 15%<br />

per annum shall be charged for the delay beyond 30 (thirty) days, i.e. from<br />

31 st day after the date of issue of LOA. In case the contractor fails to submit<br />

the requisite PG even after 60 days from the date of issue of LOA the contract<br />

shall be terminated duly forfeiting EMD and other dues, if any payable against<br />

that contract. The failed contractor shall be debarred from participating in retender<br />

for that work.<br />

The successful bidder shall submit the Performance Guarantee (PG) in any of<br />

the following forms amounting to 5% of the contract value: (5% of total value<br />

separately for work and AMC i.e. Schedule-A + B and Schedule-C respectively.)<br />

(i) A deposit of Cash;<br />

(ii) Irrevocable Bank Guarantee;<br />

(iii) Government Securities including state loan bonds at 5% below the<br />

market value.<br />

(iv) Deposit Receipts Pay orders, Demand Drafts and Guarantee Bonds.<br />

These forms of performance guarantee could be either of the State<br />

Bank of India or of any of the Nationalized Banks;<br />

(v) Guarantee Bonds executed or Deposits Receipts tendered by all<br />

Scheduled Banks;<br />

(vi) A Deposit in the Post office Saving bank.<br />

(vii) A Deposit in the National Savings Certificates;<br />

(viii) Twelve years National Defence Certificates;<br />

(ix) Ten years Defence Deposits;<br />

(x) National Defence Bonds and<br />

(xi) Unit Trust Certificates at 5% below market value or at the face value<br />

whichever is less.<br />

Also, FDR in favor of FA&CAO (free from any encumbrance) may be<br />

accepted.<br />

Note: The instruments as listed above will also be acceptable for Guarantees<br />

in case of Mobilization advance.<br />

(c)<br />

(d)<br />

The performance Guarantee shall be submitted by the successful bidder after<br />

the Letter of Acceptance (LOA) has been issued, but before signing of the<br />

contract agreement. This PG shall be initially valid upto the stipulated date of<br />

completion plus 60 days beyond that. In case the time for completion of work<br />

gets extended, the contractor shall get the validity of P.G. extended to cover<br />

such extended time for completion of work plus 60 days.<br />

The values PG to be submitted by the contractor will not change for variation<br />

upto 25 %( either increase or decrease). In case during the course of<br />

execution, value of the contract increases by more than 25% of the original<br />

contract value, an additional Performance Guarantee amounting to 5% (five<br />

percent) for the excess value over the original contract value shall be<br />

deposited by the contactor.<br />

The Performance Guarantee (PG) shall be released for works portion after<br />

physical completion of the work as per schedule of material and works and<br />

completion of warranty period. However, Performance Guarantee for Annual<br />

Maintenance Contact period of 3 years an unconditional and unequivocal<br />

bases on ‘Completion Certificate’ issued by the competent authority stating<br />

that the contactor has completed the work in all respects satisfactorily. The<br />

Security Deposit shall, however, be released only after expiry of the<br />

maintenance period and after passing the final bill based on ‘No claim<br />

Certificate’ from the contractor.<br />

Whenever the contract is rescinded, the Security Deposit shall be forfeited and<br />

the Performance Guarantee shall be encashed. The balance work shall be got<br />

done independently without risk & cost of the failed contractor. The failed<br />

contractor shall be debarred from participating in the tender for executing the<br />

balance work. If the failed contactor is a JV or a Partnership firm, then every<br />

member/partner of such a firm shall be debarred form participating in the<br />

tender for the balance work in his/her individual capacity or as a partner of<br />

any other JV/partnership firm.<br />

The engineer shall not make a claim under the Performance Guarantee except<br />

for amounts to which the President of India is entitled under the contract (not<br />

withstanding and/or without prejudice to any other provisions in the contract<br />

agreement)in the event of:<br />

(i) Failure by the contractor to extend the validity the Performance Guarantee<br />

as described herein above, in which event the Engineer may claim the full<br />

amount of the Performance Guarantee.<br />

(ii) Failure by the contractor to pay President of India any amount due, either<br />

as agreed by the contractor or determined under any of the<br />

Clauses/Conditions of the Agreement, within 30 days of the notice to this<br />

effect by Engineer.<br />

(iii)The Contract being determined or rescinded under provision of the GCC,<br />

the Performance Guarantee shall be forfeited in full and shall be<br />

absolutely at the disposal of the President of India.<br />

2.7 SECURITY DEPOSIT:<br />

In addition to the Performance Guarantee mentioned above, Security deposit<br />

at a flat rate of 5 % of the accepted value will be collected from the contractor<br />

as per latest GCC.<br />

The earnest money deposit of successful tender will be retained as a part of<br />

Security Deposit. The amount over and above the earnest money so retained to<br />

make up the full security deposit will be recovered from each running bills at the<br />

rate of 10 % of the bill amount till the full Security Deposit is recovered. The<br />

balance to make up the full Security Deposit will be recovered only from the<br />

running bills. Bank guarantee, fixed deposit, Government securities etc. will not<br />

be accepted for security deposit.<br />

No interest will be payable upon the Earnest Money and Security Deposit or<br />

amounts payable to the Contractor under the Contract, but Government Securities<br />

deposited in terms of Sub Clause (1) of this clause will be payable with interest<br />

accrued thereon<br />

Total Security Deposit deducted will be 5 % of total value (total accepted cost of<br />

both Schedule-A and Schedule-B).<br />

The security deposit shall be released against:<br />

• Schedule – ‘A’+’B’ after satisfactory completion of part (2.2.1) of the work<br />

including maintenance service during warranty period followed by issue of ‘Final<br />

Acceptance Certificate’ of the work with an unconditional and unequivocal ‘No<br />

claim certificate’ is signed by the contractor and submitted to the Railway<br />

Engineer.<br />

• Schedule – ‘C’ after satisfactory completion of part (2.2.2) of the work i.e.<br />

Comprehensive Annual Maintenance Service for the contracted period followed<br />

by issue of No Dues Certificate with an unconditional and unequivocal ‘No<br />

claim certificate’ is signed by the contractor and submitted to the Railway<br />

Engineer.<br />

2.8 Rescind of contract<br />

Whenever the contracts are rescinded, the security deposit should be forfeited and<br />

the performance guarantee shall be en-cashed and the balance work should be got<br />

done separately.<br />

The balance work shall be getting done independently without risk and cost of the<br />

original contractor. The original contractor shall be debarred from participating in<br />

the tender for executing the balance work.<br />

(1) Determination of contract owing to default of contractor (1) if the<br />

Contractor should :-<br />

(i)<br />

Becomes bankrupt or insolvent, or<br />

Make an arrangement with of assignment in favour of the creditors, or<br />

agree to carry out the contract under a Committee of Inspection of his<br />

creditors, or<br />

voluntary liquidation for the purpose of amalgamation or reconstruction),<br />

or<br />

(iv) Have an execution levied on his goods or property on the works, or<br />

(v) Assign the contract or any part thereof otherwise than as provided in<br />

clause 7 of these conditions or<br />

(vi) Abandon the contract, or<br />

(vii) Persistently disregard the instructions of the Engineer, or contravene any<br />

provision of the contract, or<br />

(viii) Fail to adhere to the agreed programme of work by a margin of 10% of<br />

the stipulated period, or<br />

(ix) Fail to remove materials from the site or to pull down and replace work<br />

after receiving from the Engineer notice to the effect that the said<br />

materials or works have been condemned or rejected under clause 25 and<br />

27 of these conditions, or<br />

(x) Fail to take steps to employ competent or additional staff and labour as<br />

(xi)<br />

required under Clause 26 of the conditions, or<br />

Fail to afford the Engineer or Engineer's representative proper facilities<br />

for inspecting the works or any part thereof as required under Clause (28)<br />

of the conditions, or<br />

(xii) Promise, offer or give any bribe, commission, gift or advantage either<br />

himself or through his partner, agent or servant to any officer or<br />

employee of the Railway or to any person on his or on their behalf in<br />

relation to the execution of this or any other contract with this Railway.<br />

(xiii) (A) At any time after the tender relating to the contract has been signed<br />

and submitted by the contractor, being a partnership firm admit as one of<br />

its partners or employ under it or being an incorporated company elect or<br />

nominate or allow to act as one of its directors or employ under it in any<br />

capacity whatsoever any retired engineer of the gazetted rank or any<br />

other retired gazetted officer working before his retirement, whether in<br />

the executive or administrative capacity, whether in the executive post or<br />

not, in the Engineering Department of the Railways for the time being<br />

owned and administered by the President of India before the expiry of<br />

two years from the date of retirement form the said service of such<br />

Engineer or Officer unless such Engineer or Officer has obtained<br />

permission from the President of India or any officer duly authorized by<br />

him in this behalf to become a partner a director or to take employment<br />

under the contractor, as the case may be, or<br />

(B)<br />

Fail to give at the time of submitting the said tender:<br />

(a)<br />

The correct information as to the date of retirement of such retired<br />

engineer of retired officer from the said service or as to whether any such<br />

retired engineer or retired officer was under the employment of the<br />

contractor at the time of submitting the said tender or<br />

The correct information as to such engineers or officers obtaining<br />

permission to take employment under the contractor, or<br />

Being a partnership firm, the correct information as to whether any of its<br />

partners was such a retired engineer or a retired officer, or<br />

Being an incorporated company, correct information as to whether any of<br />

its directors was such a retired engineer or a retired officer, or<br />

Being such a retired engineer or retired officer suppress and not disclose<br />

at the time of submitting the said tender the fact of his being such a<br />

retired engineer or retired officer or make at the time of submitting the<br />

said tender a wrong statement in relation to his obtaining permission to<br />

take the contract or if the contractor be a partnership firm or an<br />

incorporated company to be a partner or director of such firm or<br />

company as the case may be or to seek employment under the contractor<br />

and after expiry of 48 hours notice, a final termination notice (Proforma<br />

as Annexure V) should be issued.<br />

Then and in any of the said clause the Engineer on behalf of the Railway may<br />

serve the Contractor with a notice (Proforma at Annexure III) in writing to<br />

that effect and if the Contractor does not within seven days after the delivery<br />

to him of such notice proceed to make good his default in so far as the same is<br />

capable of being made good and carry on the<br />

work comply with such directions as aforesaid to the entire satisfaction of the<br />

Engineer, the Railway shall be entitled after giving 48 hours notice (Proforma<br />

at Annexure IV) in writing under the hand of the Engineer to rescind the<br />

contract as a whole or in part or parts (as may be specified in such notice).<br />

(2) Right of Railway after rescission of contract owing to default of Contractor- In<br />

the event of any or several of the courses, referred to in sub-clause (1) of this<br />

clause, being adopted: -<br />

The Contractor shall have no claim to compensation for any loss sustained by<br />

him by reason of his having purchased or procured any materials or entered<br />

into any commitments or made any advances on account of or with a view to<br />

the execution of the works or the performance of the contract and Contractor<br />

shall not be entitled to recover or be paid any sum for any work there to for<br />

actually performed under the contract unless and until the Engineer shall have<br />

certified the performance of such work and the value payable in respect<br />

thereof and the Contractor shall only be entitled to be paid the value so<br />

certified.<br />

The Engineer or the Engineer's Representative shall be entitled to take<br />

possession of any materials, tools, implements, machinery and building on the<br />

works or on the property on which these are being or out to have been executed,<br />

and to retain and employ the same in the further execution of the works of any<br />

part thereof until the completion of the works without the Contractor being<br />

entitled to any compensation for the use and employment thereof or for wear and<br />

tear pr destruction thereof.<br />

The Engineer shall as soon as may be practicable after removal of the Contractor<br />

fix and determined ex-parte or by or after reference to the parties or after such<br />

investigation or enquiries as he may consider fit to make or institute and shall<br />

certify what amount (if any) had at the time of rescission of the contract been<br />

reasonably earned by or would reasonably accrue to the contractor in respect of<br />

the work then actually done by him under the contract and what was the value of<br />

any unused, or partially used materials, any constructional plant and any<br />

temporary works upon the site. The legitimate amount due to the contractor after<br />

making necessary deductions and certified by the Engineer should be released<br />

expeditiously<br />

Whenever the contracts are rescinded, the security deposit should be forfeited and<br />

the performance guarantee shall be en-cashed and the balance work should be got<br />

done separately.The balance work shall be got done independently without risk<br />

and cost of the original contractor. The original contractor shall be debarred from<br />

participating in the tender for executing the balance work<br />

2.9 PROGRAMME <strong>OF</strong> WORK EXECUTION<br />

The Contractor shall have a competent project team with adequate resources to<br />

execute the work so that the entire work is completed within the completion<br />

period as mentioned in Clause 2.1 above ( Chapter II, Special Conditions of<br />

Contract).<br />

The Contractor is expected to have worked out a tentative programme for<br />

execution of the work well before issue of “Letter of Acceptance”, by Railway.<br />

Within 15 days of the date of issue of the LOA Contractor shall commence the<br />

work by way of submitting a Detailed Time and Activity Schedule for the<br />

execution of work aiming at completing the entire work within the stipulated<br />

completion time. The schedule shall thereafter be approved by the Engineer-In-<br />

Charge normally within 5 working days.<br />

Railway reserves the right to modify the activity schedule while approving the<br />

same as well as at any stage during execution if situation so warrants. Once<br />

approved, in the event of any slippage from the time schedule especially when<br />

resulting into time over-run of the work the contractor shall submit revised<br />

schedule duly justifying the circumstances without any delay. The revised<br />

schedule shall be approved by the Engineer-In-Charge only when considered<br />

justified in his opinion otherwise it will attract penal action on the contractor as<br />

per provision of this contract.<br />

2.10. SITE ORDER BOOK:<br />

An Inspection Register/ Site Order book shall be maintained at the site of work by<br />

the contractor, wherein the Engineer in charge of the work or his executive<br />

subordinate shall record instructions regarding the working etc. It is expected that<br />

the Contractor or his representative at the site shall note such instructions<br />

whenever asked upon to do so and take action accordingly. This register shall<br />

have entry on day-to-day basis regarding the progress of work. Record should<br />

also be kept with joint signature of Railways & firms representative for all release<br />

wiring (if any) too. This should be produced during the inspection & check of<br />

Railway engineer in charge along with drawing showing new installation<br />

locations.<br />

2.11 STORES TO BE SUPPLIED BY CONTRACTOR:<br />

(i)<br />

All materials mentioned in the schedule of material and works required for the<br />

execution of the contract, shall be arranged and supplied by the Contractor in the<br />

stores Depot. of SSE/Tele/II Ahmedabad or as advised by the Engineer In charge<br />

to realize the end objective.<br />

(ii) The material mentioned in the schedule shall be delivered by the Tenderer at<br />

various location depending on requirement, which is to be issued by Engineer In<br />

charge at appropriate time on receipt of a written request from the contractor.<br />

(iii) The contractor will be responsible for the safety of the material at site from the<br />

date of issue to the date of issue of Provisional Acceptance Certificate of the<br />

system.<br />

(iv) Authorized representative(s) of engineer in-charge will keep record of material on<br />

day-to-day basis in summarized form and shall convey monthly position of store<br />

supplied by and issued to the contractor to the engineer in-charge of the work<br />

2.12 WORK SPECIFIC DRAWINGS:<br />

(i) This will constitute –<br />

(ii) The documents viz. Block diagram of various components function of individual<br />

cards/modules, step-by-step fault diagnostic and remedial action to be taken along<br />

supplied by the contractor.<br />

(iii) Sets of two hard copies containing details of technical specifications, installation<br />

and commissioning, trouble shooting & maintenance schedule etc. shall be<br />

supplied before finalization of work<br />

2.13 QUALITY ASSURANCE DOCUMENTATION (FOR SUPPLY <strong>OF</strong><br />

MATERIALS):<br />

(i) The Tenderer shall submit the quality control plan alongwith the tender including<br />

full details of in-house quality assurance organization, procedures and<br />

documentation. During the manufacturing process, proper record shall be<br />

maintained for the purpose of inspections and all the tests should be carried out<br />

according to that.<br />

(ii) In the event of Railways waving off the inspection, all tests provided in the test<br />

schedules approved by Railways shall be carried out by the quality assurance<br />

organization and proper record of all such tests and results thereof shall be<br />

maintained and supplied to railways on demand along with the supply.<br />

(iii) It is desirable that Tenderer has to submit detail list of acceptance test &<br />

procedure, method of test required to be carried out by the railway for the<br />

assurance of the quality and real functionality of the system.<br />

2.14. FUTURE AVAILABILITY <strong>OF</strong> SPARES AND ADDITIONAL PARTS:<br />

For future expansion maintenance of the system, spares and additional parts or<br />

other components shall be required by the Railways. Tenderer shall guarantee that<br />

Spares and such additional parts will be supplied as and when railways place<br />

order for the same, therefore firm has to give detailed specification of the items<br />

being used & supplied by him as ordering details. Tenderer shall also provide<br />

warranty that this material will be supplied at a rate not exceeding the rate<br />

accepted by the Railways which is shown in the break-up of the costs in Schedule<br />

of Work upto the expiry of warranty period. Any order placed by railways on the<br />

Contractor within the expiry of warranty period will be fully honoured and the<br />

materials will be supplied within the period of 60 days or as required by the<br />

railway. The fact that contractor is supplying some materials from 3 rd party will<br />

not absolve the tenderer from his responsibility.<br />

2.15. TEST & MEASURING INSTRUMENTS, SPECIAL TOOLS AND<br />

INSTALLATION MATERIAL:<br />

All tests and measuring instruments and other arrangements required for all the<br />

acceptance tests shall be made available by the contractor free of cost for<br />

conducting the tests.<br />

Special tools required for installation and maintenance of all the equipments shall<br />

be arranged by the contractor in adequate quantities. The contractor shall provide<br />

all installation material for complete commissioning of the system.<br />

2.16. INSPECTION <strong>OF</strong> MATERIAL:<br />

(i)<br />

The inspection of material shall be done by RDSO / Railways (Engineer In charge<br />

of the work or Railway representative nominated by, Western Railway) in the<br />

factory premises / assembling unit of the contractor.<br />

(ii) All equipment, materials, fittings and components will be subject to inspection by<br />

the RDSO/Railways at the manufacturer’s factory premises/assembling unit,<br />

before dispatch and no materials shall be dispatched from the manufacturer’s<br />

factory/assembling unit prior to inspection and/or approval by the Railways. The<br />

Railway may also inspect the materials again at the contractor’s depot or with<br />

consignee. The Railways shall have the right to be present during all stages of<br />

manufacturing and test process and shall offer, reasonable facilities for inspection<br />

and testing of the material at all the stage so as to satisfy himself that the materials<br />

are in accordance with the specifications and approved drawing /<br />

designs. Any unreasonable delay in inspection will be on reasonable ground for<br />

extension of time for completion of the work.<br />

(iii) Materials put up for inspection shall be exactly of the type, quality and quantity<br />

laid down in the schedule of materials. Any variation shall require the prior<br />

approval of the Railway before the material is manufactured, tendered or offered<br />

for inspection.<br />

(iv) In the event of waive off of Inspection at Manufacturer’s premises, The contractor<br />

has to arrange all the OEM’s test certificate along with certification that the<br />

equipment under supply are as per Railways’ specification.<br />

(v)<br />

All materials that are not covered under the specifications, designs and drawings<br />

of RDSO/TEC etc. shall be procured from the manufacturers of repute/theirauthorized<br />

dealers. Such materials are to be approved by the engineer. The<br />

contractor is required to produce test certificate from the manufacturer.<br />

(vi) The cost of services of Railway Engineers or other personnel for inspection of<br />

material will be on Railway’s account subject to other provisions herein<br />

contained. The Contractor shall give at least two weeks’ notice to the RDSO /<br />

Railways to arrange necessary inspection.<br />

(vii) During the execution of the contract, samples may be taken from all the<br />

materials employed for the purpose of test and or analysis, under the conditions<br />

laid down in specification; such samples to be prepared for testing and forwarded<br />

to the testing entity shall be free of cost to the Railways.<br />

(viii) The decision of the Railway in respect of acceptability of any material,<br />

equipment etc. required for the work. The cost of equipment and materials, all<br />

tests and or analysis performed for inspection shall be borne by the Contractor.<br />

(ix)<br />

All materials to be used on this installation shall be subject to inspection by<br />

RDSO /RITES / <strong>RAILWAY</strong> Representative as per predefined guide lines given<br />

below at site / manufacturer's premises. For this purpose, the contractor shall give<br />

sufficient notice of time ( at least 15 days) to RDSO / Railway Representative<br />

when the material is ready for testing/ inspection. The contractor for carrying out<br />

the tests as may be necessary shall provide all facilities. The Contractor shall<br />

make such tests as may be necessary to demonstrate to the satisfaction of the<br />

Railway that the apparatus and the system as installed are in accordance with the<br />

requirements of the specifications and contract. The Contractor shall provide<br />

such instruments and apparatus as may be necessary for making the tests. Board's<br />

letter no.74/RS(G)/379/2Pt. Dated 4-3-91 and 18-6-91.<br />

• In respect of signaling items other than those mentioned above RDSO will<br />

undertake inspection of only such orders the value of which is more than Rs. one<br />

lakh and inspection in respect of those orders below Rs. one lakh may be got done<br />

by RITES, subject to supplies being from sources approved by RDSO.<br />

• Railway Board vides latter No.98/Sig/SGF/2 dt. 21-09-2005 has stopped the use<br />

of Maintenance free Secondary Cell as per Spec No. IRS: S 93/96 (A) for<br />

Signalling applications.<br />

• (a) Railway Board Letter No.2006/Tele/TC/1 Dated 17-04-2006 & dated 09-01-<br />

2008 wherein it has been specified for inspection of Telecom items that: the<br />

materials which are procured from RDSO approved firms with RDSO<br />

specification and if the cost of the material is over Rs. 1 lakh, the inspection shall<br />

be carried out by RDSO.<br />

(b) All the materials with TEC/BSNL specification ad procured from TEC/BSNL<br />

approved firms (approved for bulk supply and not as interface approval) shall also<br />

be inspected by RDSO provided the cost of the material is more than Rs. 1 lakhs.<br />

(c) All the materials with TEC/BSNL specification and procured from sources not<br />

approved by TEC/BSNL (including firms having only interface approval) shall<br />

also be inspected by RDSO provided the cost of the material is over Rs. 5 lakhs.<br />

However, in such cases RDSO shall carry out prototype approval before taking up<br />

Sophisticated telecom items as an exception can also be taken up for inspection by<br />

RDSO as per Railway's specification. The approved acceptance test format shall<br />

have to be supplied by Railways duly approved by the concerned CSTE.<br />

(e) RDSO shall not inspect "Test and Measuring” equipments, Electronic exchanges /<br />

intercom, auto telephones and spare parts of all telecom equipments. The same<br />

may be inspected by Railway's representative as nominated by zonal railways.<br />

RITES INSPECTION<br />

As per RITES letter No. RITES/WR/MIS/07 Dated 13-08-2007. RITES will carry<br />

out inspection of items of Amount greater than or equal to Rs.1 lakh only.<br />

Therefore items other than those mentioned above and of Amount less than Rs.1<br />

lakh shall be inspected by consignee. But it Should be strictly ensured that the<br />

items which are manufactured by RDSO approved sources shall be supplied by<br />

RDSO approved sources only. Certificate in this regard should invariably be<br />

submitted along with.<br />

As per Railway Board's letter No. 2000/RS (G)/379/2 dt. 27-05-2008 In specific<br />

cases of purchase orders valuing less than Rs. 1 lakh, where the inspection<br />

involves technical expertise or a special facility that is ordinarily not available<br />

with the consignee, the pre-inspection shall continue to be made by RDSO/RITES<br />

as advised in Board's letter or even no. dated 09-08-2006<br />

INSPECTION CHARGES<br />

Inspection charges approximately @ 1% of the cost levied by RDSO/RITES shall<br />

be borne by contractor, not applicable for this tender .<br />

MATERIALS AND WORKMANSHIP<br />

• All the items shall be procured from RDSO approved firms to IRS / RDSO<br />

Specification and shall be inspected by RDSO. Further items which do not have<br />

RDSO Specification or for which RDSO has not approved any suppliers,<br />

inspection shall be carried out by RITES / Authorized Railway Representatives.<br />

In this case the material shall be accepted only against firm's guarantee certificate.<br />

(RDSO approved firms shall be from the Part – I list only).<br />

• Any relaxation with respect to procurement/inspection shall be with the prior<br />

approval of the competent authority. The Railway's decision shall be final and<br />

binding on the contractor.<br />

• Material shall be in accordance with Specifications and Drawings specified or<br />

approved by the Railway with latest amendments.<br />

• The Railway shall have full powers to reject any material that the Railway may<br />

consider to be defective or inferior in quality, workmanship, and design or<br />

otherwise, not in accordance with the specifications and drawings specified by the<br />

Railway.<br />

• The contractor shall remove forthwith all rejected materials and replace such<br />

material at his own expenses.<br />

• All material should be in properly packed condition and the consignee reserves<br />

the right to reject the material even though it was passed by RDSO/RITES.<br />

2.17 INSPECTION <strong>OF</strong> WORKS:<br />

The Engineer In-charge or his authorized representative may inspect and test the<br />

various portions of the work at all stages and shall have full power to reject all or<br />

any portion of the work that he may consider to be defective or inferior in quality<br />

of materials, workmanship or design in comparison to what is called for in the<br />

specification. In the event of rejection of any work already executed and not in<br />

accordance with specification as in this tender and / or as determined by the<br />

Engineer or which the Contractor has been apprised, the Contractor shall carry<br />

out alterations/replacements to such works to the satisfaction of the Engineer Incharge<br />

of the work for which no additional payment will be borne by the<br />

Railways.<br />

2.18 INSPECTING <strong>OF</strong>FICER – POWER <strong>OF</strong> REJECTION<br />

The supply portion of work wilI be inspected by ADSTE/ADI or any<br />

representative of DRM(S&T) ADI as nominated to realize the end objective. The<br />

execution portion will be inspected by respective Sectional officer or any<br />

representative of DRM(S&T) ADI as nominated to realize the end objective.<br />

To reject any items submitted as not being in accordance with the tendered<br />

technical specification.<br />

To reject the whole of the installation offered for inspection, if after inspection the<br />

inspection authority is satisfied that the material offered for inspection is<br />

unsatisfactory.<br />

To mark the rejected stores with a rejection mark, so that they can be easily<br />

identified if resubmitted.<br />

The inspecting officer’s decision as regards the rejection shall be final and<br />

binding on the contractor.<br />

Note- The contractor shall arrange, when so required, suitable means of transport<br />

for inspection of material/ work sites by officer nominated for this purpose on<br />

the days mutually decided.<br />

2.19 CONSIGNEE’S RIGHT <strong>OF</strong> REJECTION:<br />

(i)<br />

Notwithstanding any approval which the inspecting officer may have given in<br />

respect of the stores or any materials or the work or workmanship involved in the<br />

performance of the contract (Whether with or without any test carried out by the<br />

contractor or the Inspecting officer or under the direction of the Inspecting<br />

officer) and notwithstanding delivery of the stores where so provided to the<br />

interim consignee, it shall be lawful for the consignee, on behalf of the<br />

purchaser, to reject the stores or any part, portion of consignment thereof within<br />

a reasonable time after actual delivery thereof to him at the place or destination<br />

specified in the contract. If such stores or part, portion of consignment thereof is<br />

not in all respects in conformity with the terms and conditions of the contract<br />

whether on account of any loss, deterioration or damage before dispatch or<br />

delivery or during transit or otherwise whatsoever.<br />

(ii) When any stores delivered at the consignee’s depots are rejected, this shall be<br />

removed by the contractor within 15 days from the date of rejection. Such<br />

rejected stores shall lie at the contractor’s risk from the date of rejection. If the<br />

stores are not removed by the contractor within this period, the purchaser or his<br />

nominee shall have the right to dispose of such stores, as deemed fit, at the<br />

contractor’s risk and account.<br />

(iii) The purchaser shall also be entitled to recover from the contractor, handling and<br />

ground rent/demurrage and any other charges for the period the rejected stores<br />

are not removed after the aforementioned period.<br />

(iv) Stores that have been dispatched by rail and rejected after arrival at destination<br />

may be taken back by the contractor either at the station where they were<br />

rejected or at the station where they were dispatched. If the contract is placed<br />

for delivery F.O.R. station of dispatch, the contractor shall pay the carriage<br />

charges on the rejected consignment at Public Tariff Rates from the station of<br />

dispatch to station where they were rejected. If the contractor prefers to take<br />

back the goods at the station from which they were dispatched, the goods shall,<br />

in addition, be booked back to him, freight to pay at Public Tariff Rates and at<br />

owner’s risk.<br />

2.20 CONSEQUENCES <strong>OF</strong> REJECTION:<br />

If on the stores being rejected by the Inspecting Officer or consignee at the<br />

destination, the contractor fails to make satisfactory supplies within the<br />

stipulated period of delivery, the purchaser shall be at liberty to: -<br />

i. Request the contractor to replace the rejected store forthwith but in any event<br />

not later than period of 21 days from the date of rejection and the contractor<br />

shall bear all the cost of such replacement, including freight, if any, on such<br />

replacing and replaced stores but without being entitled to any extra payment on<br />

the or any other account.<br />

ii.<br />

Purchase or authorize the purchase of quantity of the stores rejected or others of<br />

a similar description (when stores exactly complying with the particulars are not<br />

readily available, in the opinion of the purchaser, which shall be final), without<br />

notice to the contractor action will be taken as per Clause 2.8 of Chapter II,<br />

Special Conditions of Contract , OR<br />

iii.<br />

Cancel the contract and purchase or authorise the purchase of the stores or<br />

others of a similar description (when stores exactly complying with the<br />

particulars are not readily available, in the opinion of the purchaser, which shall<br />

be final) and action will be taken as per Clause 2.8 of Chapter II, Special<br />

Conditions of Contract.<br />

2.21 RIGHT TO <strong>RAILWAY</strong> TO KEEP BACK FROM THE CONTRACT OR<br />

ANY PORTION <strong>OF</strong> THE WORK.<br />

The successful tenderer will however, have no claim or right in the execution of<br />

work which in the opinion of the Engineer should be carried out departmentally<br />

or otherwise and the Railway reserves the right that any time after acceptance of<br />

the tender, to keep back from the contract and carry out the work or any portion<br />

of work, through any other agent. No claim for compensation/loss or<br />

whatsoever on this account will be entertained by the Railways.<br />

2.22 SUBLETTING AND ASSIGNMENT:<br />

(i) The contractor may sublet a part of the works under this contract and enter into<br />

contract with suppliers for supply of materials.<br />

(ii) The names of all subject contractors proposed to be employed for execution of<br />

work or any part thereof including manufacturing of equipment and other<br />

materials shall be submitted by the contractor to the Railway and got approved<br />

by him before the contractor enter into an agreement with the sub contractor for<br />

the purchase.<br />

(iii) The contractor shall arrange for effective supervision of sub contractor’s work<br />

and remain solely responsible for materials supplied and for works carried out<br />

on his behalf by the sub contractor. The contractor shall not, save with the<br />

previous consent in writing of the Purchaser, sublet, transfer or assign the<br />

contract or any part thereof or interest therein or benefit or advantage thereof<br />

any manner whatsoever.<br />

In the event of the Contractor’s subletting of assigning this contract or any part<br />

thereof without such permission, the Railway shall be entitled to cancel the<br />

contract and action will be taken as per Clause 2.8 of Chapter II, Special<br />

Conditions of Contract.<br />

2.23 EXECUTION <strong>OF</strong> WORK<br />

All the work shall be executed in strict conformity to the provisions of the<br />

contract document and with such explanatory detailed drawings, specifications<br />

and instructions as may be approved from time to time by the Railways, based<br />

on detailed design and engineering carried out by the contractor in line with<br />

requirements as per contract document. The contractor shall be responsible for<br />

ensuring that the work throughout are executed in the most substantial, proper and<br />

workmanlike manner with the quality of material and workmanship in strict<br />

accordance with the specifications and as per sound industrial practices and to the<br />

entire satisfaction of the Railways.<br />

2.24 PROGRESS REPORTING<br />

The Contractor shall submit the periodic progress reports at regular intervals<br />

regarding the state and progress of work to the Railways. The details and<br />

Performa of the report will mutually be agreed after award of the contract. Such<br />

reports shall be for daily manpower, equipment and plant development, weekly<br />

work progress and monthly progress review reports. All actions as directed by<br />

Railways, pursuant to such reports shall be promptly attended to by Contractor.<br />

2.25 MEASUREMENT <strong>OF</strong> WORKS<br />

Payments for the works shall be made in accordance with approved designs and<br />

drawings and measured in relevant units. The measurements will be made<br />

generally in accordance with standard engineering practice and in conformity with<br />

the General Condition of Contract.<br />

The contractor will obtain written approval of the supervisor after completion of<br />

the various sub-items of each work mentioned in the schedule (wherever<br />

applicable).<br />

a) The contractor shall sign the measurement book as a token of acceptance of the<br />

measurement entered by the supervisor in-charge of the work (wherever<br />

applicable).<br />

b) The contractor should ensure that measurement has been made for such work,<br />

which is not possible to measure subsequently and shall remain hidden. For<br />

example:<br />

• After trenching is done.<br />

• After RCC trunking is placed in trench and properly aligned.<br />

• After the above is laid properly.<br />

• After the earth is filled.<br />

• After brick / slab / capping is laid.<br />

• Any laying of cable on roof, post etc.<br />

c) Back filling of the trench shall be done only after the inspection and written<br />

confirmation from the Railway representative.<br />

d) The contractor shall maintain record of cable laid as per Performa in Drawing<br />

CSTE / 3644 (pages 10 & 11).<br />

Cable laying shall be done as per technical specifications and instructions for<br />

trenching laying of S&T cables issued by CSTE and as per CSTE drawing no.<br />

3644 (pages 1 to 11).<br />

2. 26 SAFETY <strong>OF</strong> WORK AND TRAINS<br />

• The contractor shall conform to all Railway Rules relating to safety of<br />

personal and operation of signals and points. In the A.C. electrified areas the<br />

special precautions as laid down in the manual for installation of S&T<br />

equipment in AC electrified area, shall be taken.<br />

• The contractor shall do no work that may interfere with traffic until protection<br />

has been provided by the Railway and under the supervision of Rly's<br />

representative.<br />

• While testing and commissioning of the system, the contractor shall not work<br />

without the authorization from the railway in-charge of the work.<br />

• The contractor shall also be responsible for any damage that he may cause due<br />

to the carelessness of his workman and will bear the consequences in this<br />

regard.<br />

• The contractor will not be entitled to any compensation for any damage or<br />

loss sustained by him during execution of the work for any idle labour or<br />

transport or any loss of deterioration of the material or tools.<br />

2.27. MEANING AND INTERPRETATION BY <strong>RAILWAY</strong>S TO BE FINAL<br />

All measurement, method of measurement, meaning and intent of<br />

specifications and interpretation of Special Conditions of Contract, given and<br />

made by the Purchaser or by the Purchaser Engineer shall be final and binding<br />

and shall be considered “excepted matters” in terms of conditions laid down in<br />

the General Conditions of Contract.<br />

2.28 TERMS <strong>OF</strong> PAYMENT<br />

Subject to any deductions or recovery which the Railway may be entitled to make<br />

under contract, the Contractor will be entitled to be paid from time to time by way<br />

of on account payment for supply of goods and progress made for works in the<br />

opinion of the Engineer-In-Charge that he has executed in terms of contract, as<br />

per the following terms & conditions:-<br />

(i)<br />

“On Account Payment” at the rate of 80% for the items supplied and installed,<br />

will be made subject to successful installation, testing & commissioning of the<br />

CCTV cameras in ICU-SBI covered by item no. 1 to 8 of schedule “A” followed<br />

by observation of satisfactory performance for a period of one month along with<br />

submission of certificate by the contractor that the materials supplied and<br />

executed as per the contract and the amount claimed in the invoice is correct as<br />

per terms of the contract.<br />

• Original Inspection certificate issued by concerned Inspecting Officer.<br />

• Challan /Invoice in duplicate.<br />

• A certificate should be submitted by the contractor that the materials supplied are<br />

as per the contract and the amount claimed in the invoice is correct as per terms of<br />

the contract.<br />

(ii)<br />

Balance 20% will be made after commissioning of entire system CCTV at ICU<br />

Sabarmati Hospital followed by the observation of satisfactory performance for a<br />

period of after expiry of warranty period and issue of Final Acceptance Certificate<br />

thereafter.<br />

2.28.1 DEDUCTION FROM ON ACCOUNT PAYMENT BILLS - All costs, damages<br />

provisions of contract are Contractor’s obligations will be deducted by Railways<br />

from progress payment Bills/Invoice of Contractor, as and when it is understood<br />

that such an expenses has been incurred or paid for. All such claims of Railways<br />

shall, however, be duly supported by appropriate and certified vouchers, receipts<br />

or explanations as are available to enable the Contractor to identify such claims.<br />

2.28.2 Cess & Water charges, if applicable will be recovered from the contractor as per<br />

rules.<br />

2.28.4 TAXES –<br />

Deduction of Income Tax at source as per provisions of Finance Act and Income<br />

tax in force shall be made from the Contractor/Sub-Contractor and the amount so<br />

deducted will be credited to the central Government. Settlement of Income Tax<br />

should be made with Income Tax authorities. Wherever the law makes it statutory<br />

for the Purchaser to deduct on amount towards Sales Tax on Works Contract, the<br />

same will be deducted and remitted to the concerned authority.<br />

(ii)<br />

The contractor and all personnel employed by him shall pay such taxes like<br />

Income Tax as are payable under statutory laws of India and the Purchaser will<br />

not accept any liability for the same.<br />

(iii)<br />

As per AFA (X) CCG letter No. X / Income Tax / Policy and corresp / H.Q<br />

dt.28.05.10, following in this revised rates of Tax deduction at source to be<br />

deducted from the bills as for finance (No. 2) Act.2009<br />

Regarding any changes in income tax rates under section which ever is applicable,<br />

Income tax ready reckoned pertaining to the relevant year may also be referred.<br />

2.29 The payments for AMC will be made on quarterly basis at the end of each<br />

quarter. While making the payment for each quarter 95% of the total amount due<br />

at the end of that particular quarter will be paid to the contractor, the remaining<br />

5% balance from first 11 (eleven) quarters will be paid at the end of the twelveth<br />

quarter on successful completion of maintenance period for full three year.<br />

Quarterly payments (which are also called progress on account payment) shall be<br />

made on the certificate of the Engineer that the maintenance for preceding quarter<br />

for which the payment has become due, has been carried out successfully<br />

2.30 FINAL SETTLEMENT<br />

Security deposit and Performance bank Guarantee will be released as per clause<br />

2.6 and 2.7 of chapter –II Special Conditions of Contract respectively, after<br />

adjustment of any dues payable by the Contractor.<br />

2.31 DEDUCTION FROM ON ACCOUNT PAYMENT BILLS:<br />

(i) All costs, damages or expenses, which Railways may have paid or incurred,<br />

which under the provisions of contract are Contractor’s obligations will be<br />

deducted by Railways from progress payment Bills/Invoice of Contractor, as and<br />

when it is understood that such an expenses has been incurred or paid for.<br />

(ii) All such claims of Railways shall, however, be duly supported by<br />

appropriate and certified vouchers, receipts or explanations as are available to<br />

enable the Contractor to identity such claims.<br />

2.32 PROVISIONAL ACCEPTANCE TEST:<br />

As soon as the Contractor informs the Railway and the Purchaser’s Engineer<br />

determines that the works are completed from end to end, Railways shall carry out<br />

all tests as per the acceptance test schedule. Any component, modules, subassemblies<br />

or equipment failing during the commissioning test shall be<br />

replaced/repaired free of cost by the tenderer. When all the tests are successfully<br />

completed end to end, the provisional test report will be jointly prepared.<br />

2.33 OBSERVATION PERIOD:<br />

After the completion of provisional acceptance test, system shall be put under<br />

observation for period of 15 days. During this period Railway may at their<br />

discretion connect the user equipment and observe the performance from the end<br />

user point of view. If any defects or failures are noticed during this period the<br />

contractor will replace or rectify such modules and additional test or repetition of<br />

some of the tests will be carried out to make sure that all parameters are within<br />

specified values.<br />

2. 34 PROVISIONAL ACCEPTANCE CERTIFICATE<br />

After completion of provisional acceptance test and if no problems are noticed<br />

during observation period, the Engineer in-charge shall issue a Provisional<br />

Acceptance Certificate for successfully commission of whole system covering all<br />

materials and services included in the Schedule of works, after the acceptance test<br />

and as per the approved test procedure have been completed and the performance<br />

has been found to meet the specifications. The decision of Engineer in-charge in<br />

this respect shall be final. The date of issue of the Provisional Acceptance<br />

Certificate will be treated as the date of Completion of the work.<br />

2.35 PART COMMISSIONING<br />

If the works are not completed as per the programme of work and there is<br />

deviation from the milestones to be achieved Railways will be free to make use of<br />

the partially commissioned work. Making such use of partially commissioned<br />

work will not be deemed as provisional acceptance from the Railways.<br />

2.36 PLACING IN SERVICE AND MAINTENANCE<br />

(i)<br />

After the equipment has been commissioned and placed in service and Provisional<br />

Acceptance Certificate is issued by the Engineer in-charge, the contractor shall be<br />

responsible for proper maintenance of the equipment for a period of one year of<br />

schedule ‘A’ & ‘B’ from the date of issuing of the provisional acceptance<br />

certificate. For this purpose he shall prepare a maintenance plan and make<br />

available the services of qualified maintenance engineers for a prompt service.<br />

(ii) Service engineers for maintenance shall normally be out of those engineers<br />

associated with the execution of the work. Details of the Service<br />

Personnel/Engineers (Bio-data and experience) proposed to be associated with<br />

maintenance, shall be furnished by the Contractor to the Railways, well in advance<br />

of the commencement of the maintenance period. Changes, if any on special case<br />

shall be with the specific approval of Engineer in-charge.<br />

The team will comprise of atleast one Maintenance Engineer and other supporting<br />

staff (preferably located at Ahmedabad ). Maintenance Engineers will be stationed<br />

at the location approved by Engineer in-charge and Contractor will make sure that<br />

they can be easily contacted through telephones/Cell Phones at any time.<br />

If any lacuna is noticed in the functions as a result of any defect in configuration or<br />

manufacture, the same will be rectified by the contractor free of cost. During such<br />

rectification if any faulty equipment/modules need replacement or repair, they<br />

shall be provided by the contractor from the set of equipment or modules that the<br />

contractor should bring to the site of installation in addition to all the materials to<br />

be supplied against this contract. Use of spare modules covered under the schedule<br />

of material of this tender shall not be permitted to be used during installation,<br />

commissioning and during the period of maintenance/supervision for thirty six<br />

months.<br />

2.37 WARRANTY and MAINTENANCE PERIOD UNDER WARRANTY:<br />

The contractor shall warrant that every equipment shall be free from defects and<br />

faults in design, materials, workmanship and manufacture and shall be of highest<br />

grade and consistent with the established and generally accepted standards for<br />

months for a period of from the date of completion of the work i.e. date of issue<br />

of the Provisional Acceptance Certificate.<br />

The contractor shall rectify any defect with in 24 hrs. either in materials supplied<br />

and /or due to bad/poor workmanship in all respect including replacement (if<br />

necessary) of material and/or works free of charge during the said warranty<br />

period. In case of any unusual delay of rectification of any part or function of the<br />

installations the warranty period may be extended to the extent of the delay and in<br />

this matter the decision of the Engineer in-charge will be final.<br />

2.38 FINAL ACCEPTANCE<br />

The final acceptance of the entire equipment installed in the section shall take<br />

effect from the date of expiry of the period of maintenance ( as defined in the<br />

clause 2.36) after testing and certification of Engineer in-charge.<br />

The contract shall not be considered as completed until the issue of<br />

Final Acceptance certificate by the Purchaser.<br />

The purchaser shall not be liable to the Contractor for any matter arising out of or<br />

in connection with the contract or execution of the work unless the contract shall<br />

have made a claim in writing in respect thereof before the issue of Final<br />

Acceptance Certificate under this clause.<br />

Notwithstanding the issue of Final Acceptance Certificate, the contractor and the<br />

purchaser (subject to Sub Clause as above) shall remain liable for fulfillment of<br />

any obligation incurred under the provision of the contract prior to the issue of<br />

Final Acceptance Certificate which remains unperformed at the time such<br />

certificate is issued and for determining the nature and extent of such obligation<br />

the contract shall be deemed to remain in force between the parties hereto.<br />

2.39 ANNUAL MAINTENANCE CONTRACT:-<br />

Comprehensive Annual Maintenance Contract for the period of 3 years after<br />

commissioning of entire system and successful completion of stipulated warranty<br />

period shall be separately entered into by Railway and Contractor as per the<br />

accepted rates and terms & conditions quoted by the Tenderers which shall be<br />

binding on them. The date of commencement of Annual Maintenance Service<br />

under the AMC shall be reckoned from the date of issue of Final Acceptance<br />

Certificate as per Clause 2.38 or the date of execution of the AMC whichever is<br />

later. However Western Railway reserves its right to terminate such Contract at<br />

any stage which shall be acceptable to the Tenderer without any demur.<br />

This shall be a comprehensive AMC, Railway will not provide any material<br />

during the comprehensive AMC period. The comprehensive maintenance<br />

consists of the following;<br />

• The rates of AMC charges shall be inclusive of costs towards all type of recurring<br />

licensing fees, upgrades, replacements etc against all software, firmware and<br />

hardware components, sub-systems, systems etc to be covered under AMC.<br />

• Regular Preventive maintenance once in a quarter.<br />

• Attending and rectification for corrective maintenance within 48 Hrs of call against<br />

any major failure. The decision of Railway on the nature of the failure whether<br />

major or not shall be binding on the contractor.<br />

• All types of defects arising in any of the software, firmware and hardware will be<br />

attended as part of AMC with in 24 hrs of receiving information. The rectification<br />

period for the fault will not be more than 48 Hrs from the time of receiving<br />

information.<br />

• All types of faults in DVR/cameras/monitor and other item shall be rectified with-in<br />

48 hrs of receiving the information.<br />

• The contractor is expected to maintain requisite amount of spares in all the divisions<br />

to keep the downtime minimum.<br />

• All types of defects/bugs in software/hardware will be rectified as part of AMC. It<br />

includes replacement of any hardware/software if required.<br />

• If the Railways desire changes in system configuration/ system design without<br />

involving hardware change/ replacement in a ICU Sabarmati Hospital it will be<br />

done by the contractor as a part of AMC.<br />

• Contractor shall submit a detailed escalation cameras in handling the issues<br />

related to AMC and promptly advice any changes thereon as and when taking<br />

place.<br />

For this purpose it is desirable to have branch offices of contractor in<br />

Ahmedabad areas.<br />

As a part of AMC if the contractor needs to replace any of the hardware part he will<br />

provide a fresh new one purchased from OEM, not a reconditioned or refurbished<br />

one.<br />

The maintenance engineer for AMC shall be available on call in every division. It is<br />

desirable that the maintenance engineer shall be stationed at places approved by<br />

Engineer in charge in every division. The contact number of his/her shall be made<br />

available to the Railways’ Engineer-in-charge.<br />

The record for the work done during AMC & failure calls shall be maintained. It<br />

shall be jointly signed by the representative of the tenderer & representative of the<br />

Railway.<br />

After completing the preventive maintenance as well as corrective maintenance<br />

work, the Service Engineer shall meet / communicate and take acknowledgement<br />

from the designated representative of Railway, indicating the nature of the work<br />

done.<br />

During the period of AMC, the contractor will replace all the defective<br />

equipments, cards & components including software if any at his own cost. The<br />

defective component/parts removed from the system, shall be the property of the<br />

contractor.<br />

The corrective maintenance shall be done by visiting the installations as soon as a<br />

call is made to the Contractor and such calls should be attended within 24 hours<br />

from the receipt of the call.<br />

The contractor shall provide a working substitute for the Equipment in case the<br />

Equipment or any sub-system/sub-assembly is taken out for repairs at their<br />

workshop or the repairs are being carried out at the site.<br />

All to and fro transportation, handling charges, etc. will be borne by the<br />

contractor.<br />

In case the contractor fails to repair any item to the full satisfaction of the Railway<br />

within a reasonable time, the Railway shall be at liberty to get the same repaired<br />

by engaging any other agency as per the sole discretion of the Railway, and action<br />

will be taken as Clause 2.8 of S.C.C.<br />

Quality and standard of parts replaced shall be original or similar so that quality<br />

of service is not degraded.<br />

2.40 PENALTY :-<br />

Penalty in case of AMC if any / all subsystems remains faulty without a proper<br />

substitute for more than specified period as under after intimation of failure to the<br />

contractor then a penalty will be levied which will be calculated as follows:<br />

The penalty evaluated per faulty component shall be as :<br />

Suppose the moment the failure information is received by contractor at a day<br />

‘A’. Contractor will attend the failure within A+ 48 Hrs.<br />

All faults related including software maintenance, i.e. operating system (OS)<br />

software of various software driven equipments, camera, Monitor DVR &<br />

CD/DVD writer drives etc. Repair of defective hardware equipments/ modules<br />

and subsystems during the AMC period and other items will be rectified within<br />

A+48 hrs.<br />

After lapse of A + 48 Hrs. if the failure persists then a penalty will be imposed.<br />

Suppose No. of days eligible for penalty = X<br />

Total AMC value of the concerned component installed = Y.<br />

Per day AMC value of the concerned component = Y / 365.<br />

Penalty = Z = X * (Y/365) * 2.<br />

Penalty of `.1000/- shall be imposed monthly for location as per schedule whose<br />

maintenance has not been carried out as per schedule.<br />

2.41 INSURANCE <strong>OF</strong> MATERIALS AND INSTALLATIONS:<br />

The Contractor shall take out and keep in force a Policy or policies of Insurance<br />

for all materials including railways supply materials/equipment irrespective of<br />

whether used up in the portion of work already done or kept for the use in the<br />

balance portion of the work until such works are provisionally handed over to the<br />

Railways.<br />

For this purpose the works are deemed to have been provisionally handed over<br />

when provisional acceptance certificate is issued.<br />

The contractor shall not be liable for losses/damages to the materials either used<br />

up in the portion of work done or his material kept for use at site, inconsequence<br />

of mutiny, or other similar causes over which the Contractor has no control and<br />

which cannot be insured. Such losses or damages shall be the liability of the<br />

Purchaser and if required by the Purchaser, be made good by the contractor, at the<br />

cost of the Purchaser.<br />

The contractor should, however insure the stores brought to site against risks in<br />

consequence of war and invasion as required under the Emergency Risk (Goods<br />

Insurance) Act in force from time to time.<br />

2.42. VARIATION IN CONTRACT QUANTITIES<br />

New Clause 42(4) to Indian Railways General Conditions of Contract. (Ref:-<br />

Item-9 to Railway Board’s letter no.2007/CE-I/CT/18 dated 28.09.2007 and<br />

Item-2 to letter no.2007/CE-I/CT/18 Pt.XII,dated 31.12.2010} The procedure<br />

detailed below shall be adopted for dealing with variations in quantities during<br />

execution of works contracts:<br />

1. Individual NS items in contracts shall be operated with variation of plus or<br />

minus 25% and payment would be made as per the agreement rate. For this,<br />

no finance concurrence would be required.<br />

2. In case an increase in quantity of an individual item by more than 25% of the<br />

agreement quantity is considered unavoidable, the same shall be got<br />

executed by floating a fresh tender. If floating a fresh tender for operating<br />

that item is considered not practicable, quantity of that item may be operated<br />

in excess of 125% of the agreement quantity subject to the following<br />

conditions:<br />

(a) Operation of an item by more than 125% of the agreement quantity needs<br />

the approval of an officer of the rank not less than S.A. Grade;<br />

(i) Quantities operated in excess of 125% but upto 140% of the agreement<br />

quantity of the concerned item, shall be paid at 98% of the rate awarded<br />

for that item in that particular tender;<br />

(ii) Quantities operated in excess of 140% but upto 150% of the agreement<br />

quantity of the concerned item shall be paid at 96% of the rate awarded for<br />

that item in that particular tender;<br />

(iii) Variation in quantities of individual items beyond 150% will be prohibited<br />

and would be permitted only in exceptional unavoidable circumustances<br />

with the concurrence of associate finance and shall be paid at 96% of the<br />

rate awarded for that item in that particular tender.<br />

The variation in quantities as per the above formula will apply only to the<br />

Individual items of the contract and not on the overall contract value.<br />

Execution of quantities beyond 150% of the overall agreemental value<br />

should not be permitted and, if found necessary, should be only through<br />

fresh tenders or by negotiating with existing contractor, with prior<br />

personal concurrence of FA&CAO/FA&CAO(C) and approval of General<br />

Manager.<br />

3. In cases where decrease is involved during execution of contract:<br />

The contract signing authority can decrease the items upto 25% of<br />

individual item without finance concurrence.<br />

For decrease beyond 25% for individual items or 25% of contract<br />

agreement value, the approval of an officer not less than rank of S.A.<br />

grade may be taken, after obtaining ‘No Claim Certificate’ from the<br />

contractor and with finance concurrence, giving detailed reasons for each<br />

such decrease in the quantities.<br />

It should be certified that the proposed to be reduced will not required in<br />

the same work.<br />

4. The limit for varying quantities for minor value items shall be 100% (as<br />

against 25% prescribed for other items). a minor value item for this<br />

purpose is defined as an item whose original agreement value is less than<br />

1% of the total original agreement value.<br />

5. No such quantity variation limit shall apply for the foundation items.<br />

6. As far as SOR items are concerned, the limit of 25% would apply to the<br />

value of SOR schedule as a whole and not on individual SOR items.<br />

However in case of NS items, the limit of 25% would apply on the<br />

individual items irrespective of the manner of quoting the rate (single<br />

percentage rate or individual item rate).<br />

7. For the tenders accepted at Zonal Railways level variations in the<br />

quantities will be approved by the authority in whose powers revised value<br />

of the agreement lies.<br />

8. For tenders accepted by General Manager variations upto 125% of the<br />

original agreement value may be accepted by General Manager.<br />

9. For tenders accepted by Board Members and Railway Ministers,<br />

variations upto 110% of the original agreement value may be accepted by<br />

General Manager.<br />

10. The aspect of vitiation of tender with respect to variation in quantities<br />

should be checked and avoided. In case of vitiation of the tender (both for<br />

increase as well as decrease of value of contract agreement), sanction of<br />

the competent authority as per single tender should be obtained.<br />

2.43. FORCE MAJOR CLAUSE<br />

If at any time, during continuance of this Contract, the performance, in whole or<br />

part, by either party, of any obligation under this contract shall be prevented or<br />

delayed by reason of any war, hostility, act of the public enemy, civil Commotion,<br />

Sabotage, fires, Floods, Earth quakes, explosions, strikes, epidemics, quarantine,<br />

restrictions, lockouts, any statute, statutory rules, regulations, order of requisitions<br />

issued by any Government Department or Competent Authority or acts of God<br />

(here-in-after referred to as event) then provided notice of the happening of any<br />

such event is given by either party to the other within twenty one days from the<br />

date of occurrence there of neither party shall by reason of such event be entitled<br />

to terminate this Contract nor shall either party have any claim for damage against<br />

the other in respect of such non-performance or delay in performance, and the<br />

obligations under the Contract shall be resumed as soon as practicable after such<br />

event has come to an end or ceased to exist, PROVIDED FURTHER that if the<br />

performance in whole or part of any obligation under this contract is prevented or<br />

delayed by reason of any such event beyond a period as mutually agreed to by the<br />

Railways and the Contractor after any event or 60 days in the absence of such an<br />

agreement whichever is more, either party may at its option terminate the Contract<br />

provided also that if the contract is so terminated under this clause the railways<br />

may at the time of such termination take over from the Contractor at prices as<br />

provided for in the contract, all works executed or works under execution.<br />

2.44. ARBITRATION ACT<br />

Arbitration and conciliation ordinance 1996/ Arbitration act 1996 will be valid for<br />

this tender in place of Arbitration Act 1940.<br />

2.45. SETTLEMENT <strong>OF</strong> DISPUTES:<br />

(i) The disputes will be settled under the arbitration act 1996.<br />

(ii)<br />

The successful tenderer/s shall put up his / their claim as per clause 43 of the<br />

General Conditions of Contract during the progress of work and not after<br />

completion of the work. All such claims and disputes shall be settled promptly<br />

during the progress of the works. The final authority for giving the decision on<br />

claims and disputes put up by the tenderer/s, contractor/s shall be the Sr.<br />

Divisional Signal & Telecom Engineer, Western Railway, Ahmedabad only.<br />

(iii) The provision of Clauses 63 & 64 to the General Condition of Contract will be<br />

applicable only for settlement of claims or disputes between the parties for values<br />

less than or equal to 20% of the value of the contract, and when claim or disputes<br />

are of value more than 20% of the contract, provision of Clauses 63 & 64 and<br />

other relevant clauses of the General Conditions of Contract will not be applicable<br />

and arbitration will not be a remedy for settlement of such disputes.<br />

(iv) The contractor shall not be entitled to ask for reference to arbitration, before the<br />

completion of the work assigned to him / them under this contract. The<br />

contractor/s shall seek reference to arbitration to settle disputes only once within<br />

the ambit of condition 45-(c) above.<br />

(v) The contractor/s shall not be entitled to make any claim whatsoever against the<br />

Railway under or by virtue of or arising out of this contract, nor shall the Railway<br />

entertain or consider any such claim, if made by the contractor/s after he/they<br />

would have signed a ‘No Claim Certificate’ in favour of the Railway, in such<br />

form as shall be required by the Railway/s after the works are finally measured<br />

up. The contractor/s shall be debarred from disputing the correctness of the items<br />

covered by ‘No Claim Certificate’ or demanding a reference to arbitration, in<br />

respect thereof. After clear ‘no claim’ as given by contractor the dispute if any<br />

will not be arbitrable.<br />

(vi) If any dispute arises between the parties with respect to the tenderer any<br />

application or suit shall be instituted only in the court with the local limits of<br />

whose jurisdiction the Western Railways Divisional Head Quarters office is<br />

situated and both the parties shall be bound by this clause.<br />

2.46 TRAINING<br />

The tenderer shall undertake to train 6 Railways engineers and other staff<br />

nominated by the Railways in different aspects of equipment designs, functioning<br />

of field installation, testing, commissioning, operations, maintenance and repair<br />

covering both hardware and software.<br />

The training should be comprehensive for transfer of complete know-how so as to<br />

impart full knowledge and competence to successfully execute the installation<br />

operation and maintenance of all equipment independently. The training courses<br />

should apart from formal class room training include hands on practical<br />

experience. The training shall be deemed to be completed only after<br />

certification by concerned engineer .<br />

The concerned contractor shall appoint suitable engineer for training. The<br />

contractor shall supply along with the installation manual, software manual<br />

etc. & all other manual required to understand the equipment functioning<br />

before installation.<br />

The contractor shall at every state of installation; testing and commissioning<br />

provide all facilities for adequate training of Railway personnel who may be<br />

deputed to work on that project.<br />

The training should be conducted on site / offshore / on premises (Either in India<br />

or abroad) so as to ensure complete understanding of the system which has to be<br />

verified by competent authority / authorized Railway Engineer. Cost of all such<br />

training will be borne by the tenderer.<br />

2.47 PARTNERSHIP DEEDS, POWER <strong>OF</strong> ATTORNEY ETC:-<br />

The tenderer shall clearly specify whether the tender is submitted on his own or<br />

on behalf of partnership concern. If the tender is submitted on behalf of a<br />

partnership concern, he should submit the certified copy of partnership deed along<br />

with the tender and authorizations to sign the tender documents on behalf of<br />

partnership firm. If these documents are not enclosed along with tender<br />

documents, the tender will be treated as having been submitted by individual<br />

signing the tender documents. The Railway will not be bound by any power of<br />

If the total cost of the tenderer’s offer is Rs.10 lakhs or more, the tenderer(s) shall<br />

also give a declaration along with his / their tender to the effect that he / they shall<br />

engage and continue in service for the period of the contract, one Engineering<br />

If, the tenderer(s) fails / fail to give the above declaration, his/ their tender will be<br />

Chapter – IV –SPECIFICATIONS FOR EXECUTION <strong>OF</strong> WORK<br />

4. 0 PTZ Camera :-<br />

(i) P/T/Z dome type cameras shall be mounted at two locations in ICU .<br />

(ii) Contractor shall have to provide different type of hanging/ mounting<br />

arrangement (will be decided by site in-charge of the work) for cameras<br />

depending upon the type of location. Material used for clamping/ hanging<br />

and mounting accessories viz. nut, bolt, washer, spring washer etc. shall be<br />

non-corrosive & firm will carry out minimum two rounds of paint on<br />

various part of used material .<br />

(iii) Cameras shall be mounted at suitable height so that public is not able to<br />

tamper or damage the camera (Exact location of cameras will be given by<br />

site in-charge). Fixing of cameras shall be done in such a way that they are<br />

not directly affected by rain or light.<br />

(v.) Camera output will be connected to DVR through video cable. video cable<br />

shall be laid in PVC casing capping /conduit pipe after putting ferules for<br />

easy identification of video cable. Power cable shall have to run separate in<br />

PVC casing capping after putting ferules for easy identification of Power<br />

cable. The cables shall be properly dressed and clamped at regular intervals<br />

of approximately 1 meter.. Required adopters for feeding supply to camera<br />

male /female plug etc. shall be provided and installed by the contractor.<br />

(vi). Male/female electric plug with switch of good quality shall be installed by<br />

the contractor.<br />

(vii) All cameras shall be configured with viewing software so that all<br />

cameras can be freely accessible and controllable from control room.<br />

ANNEXURE-I<br />

INSTRUCTIONS FOR SUBMITTING THE <strong>TENDER</strong>S AS JOINT<br />

VENTURE FIRMS<br />

Criteria to evaluate Joint Venture firms:-<br />

(As per Railway Board letter No. 2002/CE-1/CT/37 New Delhi Dated<br />

:07.09.2011)“Joint Venture Firms” shall be applicable to the works tenders<br />

of value more than Rs. 25 crore only.)<br />

1. Separate Identity / name should be given to the Joint Venture firm /<br />

establishment.<br />

2. In case of parties to the Joint Venture Agreement have agreed to designate one of<br />

the partners as “Lead partner” the clause specifying the details of authorities,<br />

powers, rights, duties given to him should be included in the agreement in clear<br />

terms.<br />

3. Share of profit and loss along with share of individual/parties should be clearly<br />

indicated therein.<br />

4. For the interest of Railways a specific provision should be made in the J/V<br />

agreement in which the party to the agreement should be made jointly and<br />

severally liable/responsible in case of any default by either of the parties to the<br />

Joint Venture Agreement.<br />

5. If both the parties of J/V firm are partnership firms, the name of all the partners<br />

be mentioned in the J/V Agreement and should be signed by the all the partners<br />

OR their Power of Attorney should form an enclosure of the J/V Agreement.<br />

6. In case of one or more parties to the Joint Venture Agreement are partnership<br />

firm/s, the following documents should be enclosed:<br />

a) Certified copy of Partnership Deed.<br />

b) Consent of all the partners to enter into the Joint Venture Agreement on a stamp<br />

agreements etc. and the create liability against the company or and / or to do any<br />

other act on behalf of the company.<br />

(c) Copy of Memorandum and articles of Association of the company.<br />

Power of Attorney by the Competent Authorizing person to do act mentioned in<br />

9. Documents:<br />

a) Competent Authority should certify the copies of documents, sent in support of<br />

the Joint Ventures.<br />

b) Original documents, sent in support of the Joint Venture Agreement should be<br />

Registered / notarized as the case may be.<br />

10. While evaluating the performance of Joint Venture firms following criteria shall<br />

be applicable.<br />

i) Solvency/Turnover:<br />

Solvency / Turnover of all the parties/firms should invariably be submitted along<br />

with tender documents indicating their proportion in each company/firm.<br />

Total solvency shall be calculated based on their proportion.<br />

Example:<br />

2 individuals A & B from Joint Venture with 60% and 40% share ‘A’ has<br />

partnership with firm XI and X2 having stake of (say) 30% and 40% respectively<br />

having turnover of Z1 and Z2 respectively ‘B’ has partnership with firm Y1 and<br />

Y2 having stake of (say) 50% and 20% respectively having turnover of Z3 and<br />

Z4 respectively.<br />

Then Solvency / Turnover of a Joint Venture firm shall be:<br />

= (0.3Z1 + 0.4Z2) X 60 + 40 X (0.5 Z3 + 0.2 Z4)<br />

Technical Criteria:<br />

One of the parties of Joint Venture firm should invariably fit in the technical<br />

eligibility criteria fixed in tender documents.<br />

11. Purchase of Tender Documents:<br />

Tender documents may be purchased either in the name of one of the Partners of<br />

Joint Venture firm OR in the name of J/V firm. Earnest money should be<br />

deposited in the name of J/V firm only.<br />

The Joint Venture Agreement should invariably contain clauses related to<br />

following subject/ issues in the manner specified herein below:<br />

Joint and Several Liability:<br />

The parties hereto shall if awarded the contract for the project be jointly and<br />

severally liable to Employer for execution of the project in accordance with<br />

General & Special conditions of the contract. The parties hereto also undertake<br />

to be liable jointly and severally for loss, damages caused to the Employer in<br />

course of execution or due to non-execution of the contract or part thereof or<br />

arising out of the contract.<br />

Validity of the Joint Venture Agreement:<br />

The Joint Venture Agreement must be executed prior to the date of submitting the<br />

tender and it should be duly registered or duly notarized by Notary Public.<br />

The Joint Venture Agreement shall not be terminated unless and until the work<br />

awarded under the contract is completed in all respect and also till the<br />

maintenance period is over or till all the contractual liabilities are discharged<br />

completely.<br />

The Joint Venture Agreement shall in all respect be governed by and interpreted<br />

in accordance with Indian Laws.<br />

Authorised Partner/Person:<br />

Assignability:<br />

vii) Use of Machinery, Instruments, Labour force etc.:<br />

The parties here to undertake that whatever the machinery, instruments, labour<br />

force, (including unskilled, skilled, inspector, Engineers etc.) they posses at the<br />

time of entering into Joint Venture Agreement or which subsequently shall come<br />

in their possession and if such machinery, instruments, labour force is required<br />

for the speedy and efficient execution of the work, the party/parties having the<br />

control over the said machinery, instruments, labour force etc. without having any<br />

regard to their share of profit and loss agreed to between the parties in Joint<br />

Venture Agreement shall hand over the same at the disposal of the other party<br />

who is actually executing the work for purpose of execution of the contract<br />

without any hindrance and obstacle.<br />

viii) Execution Non Judicial Stamp Paper:<br />

The Joint Venture Agreement must be on Non Judicial Stamp Paper of Rs.100/-<br />

or as per Stamp Act of the concerned State where agreement has been executed.<br />

the amount to be refunded without prejudice to any other remedies available to him by<br />

deduction from any sum due or any sum which at any time thereafter becomes due to us<br />

under the said or any other contract.<br />

In the event of any loss or damage as aforesaid the assessment of such loss or damage and the<br />

assessment of the compensation therefore would be made by the President of India acting<br />

through the General Manager, Western Railway or his authorized nominee shall be final and<br />

bind upon us.<br />
