Reorganizacja Grupy TAURON<br />
TAURON Group’s restructuring<br />
Działamy w zmieniającym się otoczeniu. Zmienne są warunki<br />
naszego funkcjonowania oraz koniunktura gospodarcza.<br />
Modyfikowane są również przepisy regulujące działalność<br />
firm energetycznych. By przygotować się na zmiany, intensywnie<br />
monitorujemy rynek i podejmujemy działania<br />
zmierzające do optymalizacji struktury Grupy. W tym celu<br />
wprowadziliśmy program reorganizacji, który podzieliliśmy<br />
na dwa główne segmenty. W jego ramach dążymy do uporządkowania<br />
struktury właścicielskiej Grupy, ale również do<br />
wdrożenia docelowego modelu biznesowego.<br />
We are operating in a changing environment. The conditions<br />
in which we are functioning and the economic situation<br />
are changing. Also the regulations applicable to utilities<br />
are modified. In order to prepare for the changes we are intensely<br />
monitoring the market and we are taking measures<br />
aimed at optimizing the Group’s structure. For this purpose<br />
we introduced the reorganization program that we divided<br />
into two main segments. As part of this program we seek<br />
to reorganize the Group’s ownership structure, but also to<br />
implement the ultimate business model.<br />
Uporządkowanie struktury właścicielskiej<br />
W ramach działań zaliczonych do tego obszaru w <strong>2010</strong> roku<br />
Skarb Państwa wniósł do spółki mniejszościowe pakiety akcji<br />
PKE, ESW, Enion i EnergiiPro. TAURON Polska Energia S.A.<br />
inkorporowała ponadto spółki Enion Zarządzanie Aktywami<br />
i Energomix Servis. Sprzedaliśmy udziały w dziewięciu spółkach<br />
niezwiązanych z działalnością podstawową. W naszym<br />
portfelu pozostały jednak jeszcze udziały takich firm, dlatego<br />
kontynuujemy działania zmierzające do sprzedaży tych<br />
aktywów. W 2011 roku zamierzamy zbyć m.in. obiekty wypoczynkowe<br />
oraz udziały w 13 spółkach spoza łańcucha wartości<br />
Grupy TAURON. W pierwszej połowie roku pracowaliśmy<br />
nad integracją działalności medycznej w spółce PŚZiPZ Elvita.<br />
Kontynuujemy ponadto proces porządkowania struktury<br />
Grupy. W jego ramach planujemy m.in. przesunąć kontrolę<br />
z pośredniej na bezpośrednią oraz łączyć spółki o tym samym<br />
profilu działalności.<br />
Wdrożenie modelu biznesowego<br />
W <strong>2010</strong> roku uporządkowaliśmy aktywa wytwórcze OZE – wydzieliliśmy<br />
zaliczany do tego obszaru majątek z Enion Energia<br />
i wnieśliśmy go do TAURON Ekoenergia. W Obszarze Sprzedaży<br />
zintegrowaliśmy proces sprzedaży do odbiorcy końcowego<br />
w TAURON Sprzedaż, a proces obsługi klienta w TAURON<br />
Obsługa Klienta. Dużym sukcesem zakończyło się wdrożenie<br />
centralnego modelu finansowania w Grupie realizowanego<br />
z poziomu TAURON Polska Energia S.A.<br />
Reorganization of the ownership structure<br />
As part of actions in this area in <strong>2010</strong> State Treasury contributed<br />
to TAURON minority shareholdings in subsidiaries PKE,<br />
ESW, Enion and EnergiaPro. Furthermore, TAURON incorporated<br />
subsidiaries Enion Zarządzanie Aktywami and Energomix<br />
Servis. We also managed to sell shares in nine non-core<br />
business companies. We still hold shares in such companies<br />
in our portfolio therefore we are continuing activities aimed<br />
at selling these assets. In 2011 we intend to divest, among<br />
others, recreational facilities and shares in 13 companies that<br />
are outside TAURON Group’s value chain. In the first half of<br />
the year we were working on integrating the medical operations<br />
within our subsidiary PŚZiPZ Elvita. Furthermore, we are<br />
continuing the process of reorganizing the Group’s structure.<br />
Within this process we are planning, among others, to change<br />
the way we control our subsidiaries from indirect to direct and<br />
merge companies with the same operations’ profile.<br />
Business model implementation<br />
In <strong>2010</strong> we reorganized the RES generation assets – we spun<br />
off this segment’s assets from Enion Energia and we transferred<br />
these assets to TAURON Ekoenergia. In the Supply<br />
segment we integrated the process of supplying electricity<br />
to the end users within TAURON Sprzedaż and the customer<br />
service process within TAURON Obsługa Klienta. The implementation<br />
of the Group’s centralized finance model at the<br />
level of TAURON Polska Energia S.A. was a great success.<br />
