Calculation Agent.“Potential Failure to Pay”“PotentialRepudiation/Moratorium”means the failure by a Reference Entity to make, when and where due, anypayments in an aggregate amount of not less than the Payment Requirementunder one or more Obligations, without regard to any grace period or anyconditions precedent to the commencement of any grace period applicable tosuch Obligations, in accordance with the terms of such Obligations at thetime of such failure.means the occurrence of an event described in paragraph (i) of the definitionof “Repudiation/Moratorium”.“Publicly AvailableInformation”means:(i)information that reasonably confirms any of the facts relevant tothe determination that the Credit Event or a PotentialRepudiation/Moratorium, as applicable, described in a Credit EventNotice or Repudiation/Moratorium Extension Notice has occurredand which:(A)(B)(C)(D)has been published in or on not less than the SpecifiedNumber of Public Sources, regardless of whether thereader or user thereof pays a fee to obtain suchinformation provided that, if either the Calculation Agentor the Issuer or any of their respective Affiliates is citedas the sole source of such information, then suchinformation shall not be deemed to be Publicly AvailableInformation unless either the Calculation Agent or theIssuer or any of their Affiliates is acting in its capacity astrustee, fiscal agent, administrative agent, clearing agentor paying agent for an Obligation;is information received from or published by (A) aReference Entity or, as the case may be, a SovereignAgency in respect of a Reference Entity which is aSovereign or (B) a trustee, fiscal agent, administrativeagent, clearing agent or paying agent for an Obligation;is information contained in any petition or filinginstituting a proceeding described in paragraph (iv) ofthe definition of “Bankruptcy” against or by a ReferenceEntity; oris information contained in any order, decree, notice orfiling, however described, of or filed with a court,tribunal, exchange, regulatory authority or similaradministrative, regulatory or judicial body.(ii)In the event that the Calculation Agent is (i) the sole source ofinformation in its capacity as trustee, fiscal agent, administrativeagent, clearing agent or paying agent for an Obligation and (ii) aholder of the Obligation with respect to which a Credit Event hasoccurred, the Calculation Agent shall be required to deliver to the202
