ADVICE TO EMPLOYEES ON GOVERNMENT INTERVIEWS<br />

Subject: Government Investigation<br />

As you may be aware, the federal government is presently conducting an investigation that apparently focuses on [insert<br />

appropriate description].<br />

In the course of this investigation, it is possible that you may be contacted personally at home or at the office by a Government<br />

investigator wishing to speak to you regarding the investigation. In the event that you are contacted by a Government investigator<br />

who requests a telephone or personal interview, you should know of the following:<br />

1. The investigator may request to speak to you.<br />

2. You have a right to speak to the Government investigator as well as a right not to speak to the Government investigator.<br />

3. The Government investigator does not have a right to insist upon an interview, and he does not possess subpoena or other<br />

powers of process requiring attendance at an interview. Submission to an interview is a completely voluntary matter.<br />

4. [OPTIONAL AND IF APPLICABLE] The Government investigator may indicate that if you do not agree to an interview, you<br />

can be subpoenaed to a grand jury to testify. While the investigator personally does not have subpoena power, the United States<br />

Attorney (United States Department of Justice) does have the power to issue a subpoena to require attendance at a grand jury. By<br />

agreeing to an interview, however, you do not foreclose the issuance of a grand jury subpoena, and you still may be subpoenaed to<br />

testify before the grand jury about the matters discussed in the interview.<br />

5. If you decide that you wish to submit to an interview, you can decide that you will go forward only in the presence of a lawyer,<br />

and can schedule the interview at a time and place convenient to you. Under any and all circumstances, you should tell the truth,<br />

and a failure to do so could result in a violation of law.<br />

6. If you decide not to submit to an interview, you should politely decline to be interviewed.<br />

Additionally, in the event you are contacted by a Government investigator, the Company would appreciate it if you would notify the<br />

Company before you decide whether to submit to an interview. The Company has retained attorneys to counsel the Company<br />

concerning the investigation. These attorneys can meet with you to discuss the investigation and, if you desire, can accompany you<br />

during an interview should you decide to consent to an interview request. Remember, the decisions whether to have an interview,<br />

when to have an interview, and who should be present, are your personal decisions and not the decisions of the Government or the<br />

Company.<br />
