Verbriefungsstruktur der True-<br />
Sale-Initiative erhalten<br />
Im Rahmen der True-Sales-Initiative (TSI) zu der sich die Vorstände von dreizehn TSI-<br />
Banken zusammengeschlossen haben, soll das Department <strong>of</strong> Finance als<br />
Stiftungsbegünstigte eingesetzt werden. Die TSI-Struktur erlaubt erstmals die vollständige<br />
Verbriefung von Kreditforderungen nach ausschließlich deutschem Recht.<br />
Dabei werden Kreditbestände einzelner Banken gebündelt und an den Kapitalmarkt<br />
veräußert. Die Veräußerungserlöse können von den Banken wiederum zur<br />
Neukreditvergabe genutzt werden. Die TSI-Banken möchten damit die auf den<br />
Finanzdienstleistsektor zielende strategische Ausweitung von Lehrangebot und<br />
Forschungsprojekten dieses Fachbereichs würdigen. Zum Stiftungsvorstand sollen<br />
Pr<strong>of</strong>. Hommel und Pr<strong>of</strong>. Johanning bestellt werden. Die ebs freut sich, über diese<br />
Stiftung an einem der Vorzeigeprojekte des Finanzplatzes Deutschland beteiligt zu<br />
sein, und dankt den TSI-Gründungsbanken für diesen Ausdruck des Vertrauens und<br />
der Wertschätzung. Die Stiftungsmittel werden Forschungsarbeiten <strong>zum</strong> Finanz- und<br />
Kapitalmarkt Deutschland zugute kommen.<br />

Die deutsche Bankenwelt folgt einem starken Konsolidierungstrend. Jedes vierte<br />
Institut, das vor fünf Jahren noch eigenständig war, existiert heute nicht mehr. Die<br />
Tatsache, dass in Deutschland <strong>zum</strong> Jahresende 2003 noch 2.226 Kreditinstitute<br />
operierten, lässt erahnen, welches Konsolidierungspotential in der deutschen<br />
Finanzindustrie noch vorhanden ist. In der Kreditwirtschaft gilt eine nachhaltige<br />
Verbesserung der Pr<strong>of</strong>itabilität und der Wettbewerbsposition als wesentlicher<br />
Fusionsanlass. In den vergangenen Jahre ließen sich allerdings kaum deutsche<br />
Bankenfusionen beobachten, denen diese Zielerreichung nachhaltig geglückt ist.<br />
An diesem Befund setzt eine Studie an, die der Stiftungslehrstuhl Bank- und<br />
Finanzmanagement in Zusammenarbeit mit A.T. Kearney von Dezember 2003 <strong>bis</strong><br />
März 2004 durchgeführt hat. Die Ziele der Studie bestanden darin, die Ursachen für<br />
die <strong>bis</strong>lang unzureichende Realisierung von Erlös- und Kostensynergien zu<br />
identifizieren und unter Berücksichtigung zentraler operativer Erfolgsfaktoren<br />
Handlungsempfehlungen auszusprechen.<br />

The Department <strong>of</strong> Finance is to<br />
receive an endowment within the<br />
framework <strong>of</strong> the <strong>of</strong> the True Sale<br />
Initiative’s securitisation structure.<br />
Within the framework <strong>of</strong> the True Sales Initiative (TSI), a collaborative initiative<br />
involving 13 banks, the ebs Department <strong>of</strong> Finance is to be the beneficiary <strong>of</strong> a new<br />
endowment. For the first time ever, the TSI structure allows the full securitisation <strong>of</strong><br />
loan claims under exclusively German law. This will allow the loan portfolios <strong>of</strong> individual<br />
banks to be bundled and sold on the money market. The proceeds <strong>of</strong> the<br />
securitisation can then be used by the banks to issue new loans. Through this<br />
endowment the TSI banks are showing their recognition <strong>of</strong> the strategic expansion<br />
<strong>of</strong> this faculty’s teaching and research activities geared towards the financial<br />
services sector. Pr<strong>of</strong>s. Hommel and Johanning are to be appointed directors <strong>of</strong> the<br />
endowment. ebs is delighted to be involved via this endowment in one <strong>of</strong> Germany’s<br />
showpiece projects in its role as a financial centre and thanks the TSI founder banks<br />
for this expression <strong>of</strong> confidence and high regard. The endowment monies will be<br />
put to the benefit <strong>of</strong> research projects focusing on Germany’s financial and capital<br />
markets.<br />

The German banking world is in a strong consolidation phase. One in every four<br />
institutions that was still independent five years ago no longer exists. The fact that<br />
at the end <strong>of</strong> 2003 2,226 credit institutions still operate in Germany gives an idea<br />
<strong>of</strong> the consolidation potential that still exists in the German finance industry. The<br />
reason for this merger activity is a desire to achieve sustained improvement in pr<strong>of</strong>itability<br />
and competitive position. Over the last few years, however, hardly any<br />
German banking mergers have succeeded in this aim on an ongoing basis.<br />
These findings provided the starting point for a study conducted by the Endowed<br />
Chair <strong>of</strong> Banking and Finance in collaboration with A.T. Kearney between December<br />
2003 and March 2004. The aim <strong>of</strong> this study was to identify the reasons behind the<br />
hitherto inadequate realisation <strong>of</strong> pr<strong>of</strong>it and cost synergies, and taking into<br />
consideration central strategic factors for success, to <strong>of</strong>fer recommendations for<br />
action.<br />
