Maturities:Form of Notes:Fixed Rate Notes:Floating Rate Notes:Index-linked Notes:Other provisions inrelation to Floating RateNotes and Index-linkedInterest Notes:Such maturities as indicated in the applicable <strong>Final</strong> Terms, subject tosuch minimum or maximum maturities as may be allowed or requiredfrom time to time by the relevant regulatory authority or any laws orregulations applicable to the relevant Specified Currency.Notes of the relevant Issuer in respect of which the issue proceeds areto be accepted in the United Kingdom will have a minimum redemptionamount of GBP 100,000 (or its equivalent in other currencies) and canonly be issued to a limited class of professional investors, unless suchNotes may not be redeemed until on or after the first anniversary oftheir date of issue.The Notes may be issued in bearer form only.Fixed Rate Notes bear a fixed interest income throughout the entireterm of the Notes. Notes for which the interest rate is fixed will bepayable on such basis (as specified in the applicable <strong>Final</strong> Terms).Floating Rate Notes bear a variable interest income. Notes for whichthe interest rate is variable will be payable on such basis as specifiedin the relevant <strong>Final</strong> Terms plus or minus a margin.The "Agent" (which expression shall in this context mean the FiscalAgent or the Calculation Agent, as specified in the applicable <strong>Final</strong>Terms) will, on or as soon as practicable after each time at which theRate of Interest is to be determined, determine the Rate of Interest andcalculate the amount of interest (herein called the "Interest Amount")payable on the Floating Rate Notes in respect of each SpecifiedDenomination for the relevant Interest Period. Each Interest Amountshall be calculated by applying the Rate of Interest and the Day CountFraction detailed in the applicable <strong>Final</strong> Terms to each SpecifiedDenomination, and rounding the resultant figure to the nearestsmallest unit of the Specified Currency, with 0.5 of such unit beingrounded upwards.Interest Periods for Floating Rate Notes will be one, two, three, six ortwelve months or such other period(s) as the relevant Issuer and therelevant Dealer(s) may agree, as specified in the applicable <strong>Final</strong>Terms.Index-linked Notes may be issued as Index-linked Interest Notes only.Index-linked Interest NotesPayments of interest in respect of Index-linked Interest Notes will bemade by reference to a single index or other factors (includingchanges in the price of securities and commodities or movements inexchange rates) and/or such formula as may be specified by therelevant Issuer and the relevant Dealer(s) (as indicated in theapplicable <strong>Final</strong> Terms).Floating Rate Notes and Index-linked Interest Notes may also have amaximum interest rate, a minimum interest rate or both.Interest on Floating Rate Notes and Index-linked Interest Notes inrespect of each Interest Period, as selected prior to issue by therelevant Issuer and the relevant Dealer(s), will be payable on suchInterest Payment Dates specified in, or determined pursuant to, theapplicable <strong>Final</strong> Terms and will be calculated as specified in theapplicable <strong>Final</strong> Terms.7
