Tractors NepalDirectors’ ReportYour Directors have pleasure in presenting to you the Eighth AnnualReport and Accounts for the period ended 31st March, 2009.BUSINESS SCENARIODespite slow market progress with recession prevalent globally,your Company has been successfully providing services and supportto its various customers at a competitive price. The profit beforetaxation for 2008-09 increased by about 86% over last year fromNepalese Rupees 10,387,401 (Indian Rupees 64,60,459) in March,2008 to Nepalese Rupees 19,289,751 (Indian Rupees 1,20,56,094)in March, 2009. It is expected that performance of the Company willcontinue to improve further.PRINCIPAL ACTIVITIESThe principal activities of the Company are to carry on the businessof refurbishing, rebuilding and servicing of Earthmoving Equipment,Diesel Generator Sets and Material Handling Equipment. There hasbeen no significant change in the nature of these activities duringthe year under review.FINANCEDuring the year under review the Company has registered a grossturnover including income from operations revenue of NepaleseRupees 31,534,224 (Indian Rupees 19,708,890) and earnedprofit after tax of Nepalese Rupees 15,052,475 (Indian Rupees9,407,797).DIVIDENDBoard has recommended a Dividend of NRS 5/- per Equity Share forthe year under review.DIRECTORSIn accordance with the provisions of the Articles of Association ofthe Company Mr. Sumit Mazumder, Mr. Aloke Banerjee, Mr. SubirBhattacharyya and Mr. Debashis Nag are Directors of the Company.AUDITORSM/s. We have audited the accompanying Standard ConsolidatedForms (SCF) of Tractors Nepal Private Limited expressed inNepalese Rupee as of 31 March, 2009 and for the year thenended. These Standard Forms are the responsibility of TILLimited’s management. Our responsibility is to express anopinion on these Standard Forms based on our audit.2. We conducted our audit in accordance with InternationalStandards on Auditing generally accepted in India and with your‘TIL Limited Group Audit Instructions for the year ending 31stMarch, 2009.’ Those Standards require that we plan and performthe audit to obtain reasonable assurance about whether SCF arefree of material misstatement. An audit includes examining, on atest basis, evidence supporting the amounts and disclosures inSCF. An audit also includes assessing the accounting principlesused and significant estimates made by management, as wellas, evaluating the overall presentation of information in SCF.We believe that our audit provides a reasonable basis for ouropinion.3. On the basis of our examinations carried out as aforesaid andaccording to the information and explanations obtained, in ouropinion:a. The accompanying SCF have been properly prepared to givethe information required for the purpose of presentation ofConsolidated Financial Statements of the Parent Companyi.e. TIL Limited; andb. Present a true and fair view of the financial position ofTractors Nepal Private Limited as at 31st March, 2009,and its profit/loss and cash flows for the year then endedin conformity with the accounting principles generallyaccepted in India.4.
