NOTICE OF DIVIDEND PAYMENT NOTICE IS HEREBY GIVEN that the fi rst and fi nal dividend of 15 sen gross per share less 25% tax for the fi nancial year ended 31 December 2011, if approved at the above Annual General Meeting, will be paid on 27 July 2012 to Depositors whose names appear in the Record of Depositors on 30 June 2012. A Depositor shall qualify for entitlement only in respect of:- a) Shares transferred into the Depositor’s Securities Account before 4.00 p.m. on 30 June 2012 in respect of transfers; b) Shares bought on Bursa Malaysia on a cum entitlement basis according to the Rules of Bursa Malaysia. For the purpose of determining a member who shall be entitled to attend the 37th AGM, the Company shall request Bursa Malaysia Depository Sdn Bhd to issue a General Meeting Record of Depositors as at 23 May 2012. Only a depositor whose name appears on the General Meeting Record of Depositors as at 23 May 2012 shall be entitled to attend the said meeting or to appoint proxies to attend and/or vote on his/her behalf. 2. A member entitled to attend and vote at the above meeting is entitled to appoint a proxy to attend and vote in his stead. A proxy may but need not be a member of the Company and the provision of Section 149(1)(b) of the Companies Act, 1965 shall not apply to the Company. A corporation must complete this form of proxy under its common seal or under the hand of a duly authorised offi cer or attorney. This form of proxy, duly signed, must be deposited at the Registered Offi ce of the Company at Level 6, Wisma Mahmud, Jalan Sungai Sarawak, 93100 Kuching, Sarawak not less than forty-eight (48) hours before the time set for holding the AGM or any adjournment thereof. 3. The proposed Ordinary Resolution 9, if passed, would provide fl exibility to the Directors to undertake fund raising activities, including but not limited to placement of shares for the funding of the Company’s future investments projects, working capital and/or acquisitions, by the issuance of shares in the Company to such persons at any time, as the Directors may deem fi t, without having to convene a general meeting. This authority, unless revoked or varied by the Company in a general meeting will expire at the conclusion of next AGM of the Company. 4. The proposed Ordinary Resolution 10, if passed, will allow the Group to enter into Recurrent Related Party Transactions of a Revenue or Trading Nature pursuant to the provisions of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad. Please refer to the Circular to Shareholders dated 8 May 2012 for further information. 5. The proposed Special Resolution, if passed, is to incorporate provisions as required by Bursa Malaysia Securities Berhad.
