Board Performance Evaluation and Review<br />
As a best practice in corporate governance, <strong>the</strong> Board carries out annual assessments on <strong>the</strong> effectiveness of <strong>the</strong><br />
overall Board and its Board Committees. The objective is <strong>to</strong> improve <strong>the</strong> Board’s effectiveness by identifying gaps,<br />
addressing weaknesses and maximising strengths.<br />
In a combination of self and peer assessment, Direc<strong>to</strong>rs used a series of questions <strong>to</strong> provide feedback on <strong>the</strong> level<br />
of effectiveness on various performance aspects. These included composition of <strong>the</strong> various Board committees,<br />
roles and responsibilities, performance against principal Board responsibilities, communication and information, and<br />
conduct. Responses from <strong>the</strong> Direc<strong>to</strong>rs were analysed and presented <strong>to</strong> <strong>the</strong> NRC and <strong>the</strong> Board. Areas requiring<br />
improvement are addressed by <strong>the</strong> Board and Management.<br />
The Board also reviewed <strong>the</strong> term of offi ce and performance of each of <strong>the</strong> members of <strong>the</strong> Group Audit Committee<br />
for 2011 <strong>to</strong> determine whe<strong>the</strong>r <strong>the</strong>y have carried out <strong>the</strong>ir duties in accordance with <strong>the</strong>ir terms of reference in<br />
addition <strong>to</strong> <strong>the</strong> Direc<strong>to</strong>rs’ assessment which is carried out annually.<br />

During <strong>the</strong> year, seven (7) Board meetings including three (3) Special meetings were held. Attendance of Direc<strong>to</strong>rs<br />
