Group Audit Committee Report<br />

Objectives<br />

i. To assist <strong>the</strong> Board in fulfi lling its fi duciary responsibilities relating <strong>to</strong> corporate accounting and reporting<br />

practices for <strong>the</strong> Group.<br />

ii. To maintain, through regularly scheduled meetings, a direct line of communication between <strong>the</strong> Board and <strong>the</strong><br />

external audi<strong>to</strong>rs as well as <strong>the</strong> internal audi<strong>to</strong>rs.<br />

iii. To avail <strong>to</strong> <strong>the</strong> external and internal audi<strong>to</strong>rs a private and confi dential audience at any time <strong>the</strong>y desire and<br />

<strong>to</strong> request such audience through <strong>the</strong> Chairman of <strong>the</strong> Committee, with or without <strong>the</strong> prior knowledge of<br />

Management.<br />

iv. To act upon <strong>the</strong> Board of Direc<strong>to</strong>rs’ request <strong>to</strong> investigate and report on any issue or concern with regard <strong>to</strong><br />

<strong>the</strong> management of <strong>the</strong> Group.<br />

Duties<br />

i. To review with <strong>the</strong> external audi<strong>to</strong>rs <strong>the</strong> audit plan and <strong>the</strong>ir evaluation of <strong>the</strong> system of internal controls and<br />

audit report.<br />

ii. To review any letter of resignation from <strong>the</strong> external audi<strong>to</strong>rs and whe<strong>the</strong>r <strong>the</strong>re is reason (supported by<br />

grounds) <strong>to</strong> believe that <strong>the</strong> Company’s external audi<strong>to</strong>rs are not suitable for re-appointment.<br />

iii. To recommend <strong>the</strong> nomination of a person or persons as external audi<strong>to</strong>rs.<br />

iv. To review <strong>the</strong> assistance given by <strong>the</strong> Company’s and <strong>the</strong> Group’s employees <strong>to</strong> <strong>the</strong> audi<strong>to</strong>rs.<br />

v. To approve <strong>the</strong> appointment or termination of <strong>the</strong> Group Internal Audi<strong>to</strong>r and ensure that <strong>the</strong> Group Internal<br />

Audit Division is adequately resourced and has an independent status within <strong>the</strong> Group.<br />

vi. To review any appraisal or assessment of <strong>the</strong> performance of staff of <strong>the</strong> internal audit function.<br />

vii. To review <strong>the</strong> adequacy of <strong>the</strong> scope, functions, competencies and resources of <strong>the</strong> internal audit function<br />

and ensure that appropriate action is taken by Management in respect of <strong>the</strong> audit observations and <strong>the</strong><br />

Committee’s recommendations.<br />

viii. To review <strong>the</strong> quarterly fi nancial results <strong>to</strong> Bursa Securities and year end audited fi nancial statements before<br />

submission <strong>to</strong> <strong>the</strong> Board. The review should focus primarily on:<br />

• changes in signifi cant accounting policies;<br />

• signifi cant and unusual events and major judgemental areas; and<br />

• compliance with approved accounting standards and o<strong>the</strong>r relevant regula<strong>to</strong>ry and legal requirements.<br />

ix. To review any related party transaction and confl ict of interest situation that may arise within <strong>the</strong> Company and<br />

<strong>the</strong> Group including any transaction, procedure or conduct that raises questions of management integrity.<br />

x. To verify <strong>the</strong> allocation of option pursuant <strong>to</strong> a share issuance scheme at <strong>the</strong> end of each fi nancial year.<br />

xi. To direct any special investigations on <strong>the</strong> Group’s operations <strong>to</strong> be carried out by <strong>the</strong> Group Internal Audit<br />

Division or any o<strong>the</strong>r appropriate agencies.<br />

xii. To discuss problems and reservations arising out of external or internal audits and any matters which <strong>the</strong><br />

audi<strong>to</strong>rs wish <strong>to</strong> bring up in <strong>the</strong> absence of Management or <strong>the</strong> Executive Direc<strong>to</strong>rs of <strong>the</strong> Group where<br />

necessary.<br />

xiii. To perform o<strong>the</strong>r related duties as may be agreed by <strong>the</strong> Committee and <strong>the</strong> Board.<br />
