<strong>ACO</strong> participant upon which assignment is based; changes in overall governing board<br />

composition (in terms <strong>of</strong> interests represented) or leadership; changes in <strong>ACO</strong>'s eligibility<br />

to participate in the program, including changes to the key processes pertaining to the<br />

design, delivery and quality <strong>of</strong> care (such as processes for quality management and<br />

patient engagement and patient centeredness criteria) as outlined in the application<br />

criteria for acceptance into the program; or changes in planned distribution <strong>of</strong> shared<br />

savings.<br />

• A material change, as defined in detail in section II. H. <strong>of</strong> <strong>ACO</strong>s <strong>of</strong> this<br />

proposed rule, in the <strong>ACO</strong>s provider composition, including the addition <strong>of</strong> <strong>ACO</strong><br />

providers/suppliers such that the <strong>ACO</strong> requires a mandatory antitrust review or re-review<br />

as discussed in section II. I. Coordination with Other Agencies., and other circumstances<br />

under which an <strong>ACO</strong> or an <strong>ACO</strong> participant is unable to complete its 3-year<br />

commitment.<br />

• Government-required <strong>ACO</strong> reorganization, or exclusion <strong>of</strong> <strong>ACO</strong> participants<br />

or <strong>ACO</strong> providers/suppliers, or conduct restriction due to: OIG excluding the <strong>ACO</strong>, an<br />

<strong>ACO</strong> participant, or an <strong>ACO</strong> provider/supplier for any reason authorized by law; CMS<br />

revoking an <strong>ACO</strong>, <strong>ACO</strong> participant or <strong>ACO</strong> provider/supplier's Medicare billing<br />

privileges under 42 CFR 424.535, for noncompliance with billing requirements or other<br />

prohibited conduct; or reorganization or conduct restrictions to resolve antitrust concerns.<br />

Whenever an <strong>ACO</strong> reorganizes its structure, we must determine if the <strong>ACO</strong> remains<br />

eligible to participate in the Shared Savings Program. Since an <strong>ACO</strong> is admitted to the<br />

program based on its application, adding <strong>ACO</strong> participants during the course <strong>of</strong> the 3-<br />

year agreement may deviate from its approved application and jeopardize the <strong>ACO</strong>'s
