<strong>of</strong> this proposed rule, we discuss our proposed methodology for assigning beneficiaries to<br />

an <strong>ACO</strong>. In section II.E. <strong>of</strong> this proposed rule, we present our proposals regarding<br />

quality measures and the methodology for measuring <strong>ACO</strong> performance under this<br />

program. In section II.F. <strong>of</strong> this proposed rule, we discuss our proposed shared savings<br />

payment methodology, including the establishment <strong>of</strong> an expenditure benchmark,<br />

performance target, minimum savings percentage, sharing rate, performance cap. In<br />

section II.G. <strong>of</strong> this proposed rule, we discuss our proposal for introducing risk into the<br />

shared savings program, the two-sided model and differences from the one-sided model.<br />

In section II. H. <strong>of</strong> this proposed rule, we discuss our proposal for monitoring <strong>ACO</strong><br />

performance and we propose grounds and procedures for terminating agreements. In<br />

section II.I. <strong>of</strong> this proposed rule, we discuss our efforts to coordinate the development <strong>of</strong><br />

this proposed rule with other Federal agencies to ensure a coordinated and aligned interand<br />

intra-agency effort in the implementation <strong>of</strong> the program. In section II.J. <strong>of</strong> this<br />

proposed rule, we discuss overlap in Medicare programs and how this might affect<br />

Shared Savings Program participants. Finally, in section V. <strong>of</strong> this proposed rule, we<br />

present our Regulatory Impact Analysis, which sets forth an analysis <strong>of</strong> the impact <strong>of</strong><br />

these proposals on affected entities and beneficiaries.<br />

For purposes <strong>of</strong> this proposed rule, we propose definitions for the following<br />

terms:<br />

• Accountable care organization (<strong>ACO</strong>) means a legal entity that is recognized<br />

and authorized under applicable State law, as identified by a Taxpayer Identification<br />

Number (TIN), and comprised <strong>of</strong> an eligible group (as discussed in section II.B. <strong>of</strong> this<br />

proposed rule) <strong>of</strong> <strong>ACO</strong> participants that work together to manage and coordinate care for
