confirmed in writing) notice thereof to the <strong>Authority</strong>. Within two Business Days thereafter (unless<br />

such Event of Default has been cured or waived), the Trustee shall give notice of such Event of<br />

Default to each Owner, provided, however, that except in the instance of an Event of Default under<br />

Section 1001(i) or (ii) of the General Resolution, the Trustee may withhold such notice to Owners if<br />

and so long as the Trustee in good faith determines that the withholding of such notice is in the<br />

interests of Owners, and provided, further, that notice to Owners of any Event of Default under<br />

Section 1001(ii) or (iii) of the General Resolution shall not be given until the grace period has<br />

expired.<br />

2. For so long as the Bonds are registered solely in the name of the Securities<br />

Depository or its nominee, where the General Resolution provides for notice to the Owners of the Bonds<br />

of the existence of, or during the continuance of, any Event of Default, the Trustee shall: (i) establish a<br />

record date (the “Record Date”) for determining the identity of the Persons entitled to receive such notice;<br />

(ii) request a securities position listing from the Securities Depository showing the Depository<br />

Participants holding positions in the Bonds affected by such notice as of the Record Date for such notice;<br />

(iii) send by first-class, postage prepaid mail, copies of the notice as provided above to each Depository<br />

Participant identified in the securities position listing as holding a position in the Bonds as of the Record<br />

Date for the notice, to the Municipal Securities Rulemaking Board, and to any Person identified to the<br />

Trustee as a non-objecting Beneficial Owner (a non-objecting Beneficial Owner is a Person for whom a<br />

Depository Participant acts as nominee, and who has not objected to the disclosure of his or her name and<br />

security position) pursuant to the immediately following clause; (iv) request that the Depository<br />

Participant retransmit the notice to all Persons for which it served as nominee on the Record Date,<br />

including non-objecting Beneficial Owners, or retransmit the notice to objecting Beneficial Owners and<br />

provide a listing of non-objecting Beneficial Owners for whom the Depository Participant served as<br />

nominee on the Record Date to the Trustee and (v) provide as many copies of the notice as may be<br />

requested by any nominee owner of the Bonds. Any default in performance of the duties required by this<br />

paragraph shall not affect the sufficiency of notice to Owners given in accordance with the provisions of<br />

the General Resolution, nor the validity of any action taken under the General Resolution in reliance on<br />

such notice to Owners.<br />

407. Further <strong>Authority</strong>. The Chairman, Vice Chairman, President and Chief<br />

Executive Officer, Executive Vice President and Chief Financial Officer, Senior Vice President -<br />

Corporate Planning and Finance, Treasurer, Acting General Counsel or Deputy Secretary of the<br />

<strong>Authority</strong>, or any Authorized Officer (as defined in the General Resolution) are each hereby<br />

authorized to execute and deliver to the Trustee appointed pursuant to the General Resolution such<br />

documents and certifications, including, without limitation, any Credit Facility or Liquidity Facility,<br />

as may be necessary to give effect to this Ninth Supplemental Resolution and the transactions<br />

contemplated hereby. In addition, upon the effective date of the President and Chief Executive<br />

Officer’s resignation, the Acting President and Chief Executive Officer shall be, and hereby is,<br />

authorized to do any and all things and take any and all actions and execute and deliver any and all<br />

certificates, agreements and other documents which the President and Chief Executive Officer is<br />

authorized to do, undertake or execute pursuant to this Ninth Supplemental Resolution.<br />

408. Effective Date. This Ninth Supplemental Resolution shall be fully<br />

effective in accordance with its terms upon the filing with the Trustee of a copy hereof certified by<br />

an Authorized Officer.<br />
