AUTHORIZATION OF USE OF OPERATING FUND MONIES FOR
RETIREMENT OF COMMERCIAL PAPER NOTES
RESOLVED, that the Executive Vice President and Chief Financial Officer,
Senior Vice President–Corporate Planning and Finance, Treasurer and Deputy
Treasurer be, and each of them hereby is, authorized to use up to an aggregate
amount of $100 million of monies in the Operating Fund for the purpose of retiring
Commercial Paper Notes, provided, however, that as a condition to such use, the
Executive Vice President and Chief Financial Officer, Senior Vice President–
Corporate Planning and Finance, Treasurer or Deputy Treasurer shall have
determined and shall certify that the monies to be so used are not then needed for
any of the purposes specified in clause (a) or (b) of Section 503.1 of the General
Resolution.
ADDITIONAL AUTHORIZATIONS
RESOLVED, that the Chairman, President and Chief Executive Officer,
Executive Vice President and Chief Financial Officer, Acting General Counsel,
Senior Vice President–Corporate Planning and Finance, Treasurer, Deputy
Treasurer, and all other officers of the Authority be, and each of them hereby is,
authorized and directed, for and in the name and on behalf of the Authority, to do
any and all things and take any and all actions and execute and deliver any and all
certificates, agreements and other documents, which they, or any of them, may
deem necessary or advisable in order to effectuate the foregoing resolutions.
RESOLVED, that upon the effective date of the President and Chief
Executive Officer’s resignation, the Acting President and Chief Executive Officer
shall be, and hereby is, authorized and directed to do any and all things and take
any and all actions and execute and deliver any and all certificates, agreements and
other documents which the President and Chief Executive Officer is authorized and
directed to do, undertake or execute pursuant to the foregoing resolutions.
