Proprietary Nature<br />
of Downline Lists Policy<br />
Each month, you will receive monthly reports showing the status<br />
and progress of your downline. A downline list is a list of the<br />
people you have recruited (current or past), the persons those<br />
recruits have recruited, and so on, through five levels of recruits.<br />
Downline lists are proprietary assets of Stampin’ <strong>Up</strong>! and part<br />
of the trade secrets of the company. To protect the interests of<br />
our sales force and the confidentiality of downline lists, they<br />
may not be used for any purpose other than developing your<br />
Stampin’ <strong>Up</strong>! business. Downline lists and other information<br />
owned by the company may not be sold, shared, copied,<br />
distributed, or used to solicit participation in other activities.<br />
They may not be used to advance the interests of, promote,<br />
or develop any other business or private organization in any<br />
way. This prohibition also applies to people who are no longer<br />
active demonstrators.<br />
Use of possessive pronouns such as “her,” “his,” “your,” and<br />
“their” in the <strong>Demonstrator</strong> <strong>Manual</strong> or other publications or<br />
presentations by the company should not be construed to<br />
connote or imply that you own the downline information.<br />
We encourage you to focus your training efforts on your firstlevel<br />
downline. You’ll qualify for title promotions, Great Rewards,<br />
the Incentive Trip, and annual awards based on their performance.<br />
As you teach them how to be good uplines, they’ll learn to<br />
manage their own downline groups. Always remember that your<br />
first responsibility is to your first-level downline.<br />
You may also want to reach out to those in your lower<br />
levels who desire or need additional support. After all, their<br />
success will only add to your own. In addition to receiving<br />
commission on their sales, a portion of your downline<br />
leadership requirement for promotions can come from your<br />
second or third level. If you see potential in someone in<br />
your lower levels, consider supplementing the training she is<br />
receiving from her direct upline where appropriate. Talk to her<br />
direct upline first. Reassure her direct upline that you don’t<br />
want to offend, but would like to help. Most demonstrators<br />
will be very glad to have your added support.<br />
New Recruits<br />
and Business Entities<br />
If one of your new recruits expresses interest in the<br />
proprietary business policy, please provide her a copy<br />
of the following information. Bear in mind that you<br />
may not provide her with legal advice on behalf of<br />
Stampin’ <strong>Up</strong>! If she has any questions about our<br />
policy or application process, she may contact<br />
<strong>Demonstrator</strong> Support.<br />
<strong>Demonstrator</strong>ship as a Business<br />
Entity Policy<br />
When a new recruit joins Stampin’ <strong>Up</strong>!, her demonstratorship<br />
is considered a sole proprietorship. A sole proprietorship may<br />
dissolve upon the demonstrator’s passing. The main advantage<br />
of setting up your demonstratorship as a business entity other<br />
than sole proprietorship is perpetual existence, meaning that<br />
the business may be passed to another person in the event of<br />
your death.<br />
If you are interested in this opportunity, we recommend<br />
printing a copy of this policy for your lawyer to review<br />
in order to help you determine whether taking this step would<br />
be advantageous in your situation and to assist you in the<br />
application process. Stampin’ <strong>Up</strong>! cannot provide legal advice.<br />
Application<br />
The owner of the business entity must receive written<br />
authorization from Stampin’ <strong>Up</strong>! before beginning the<br />
operation of the demonstratorship as a business entity. To<br />
apply for authorization, the demonstrator must submit both<br />
of the following:<br />
■ A completed copy of the Application to Operate<br />
<strong>Demonstrator</strong>ship as a Business Enitity and<br />
Guarantee of Due Performance<br />
■ The articles of organization for the business<br />
We recommend contacting your lawyer to prepare the<br />
necessary articles for your company that fulfills the following<br />
requirements:<br />
■ Specifies that the demonstrator will retain majority<br />
ownership<br />
■ Includes a “sole purpose” clause (see Ownership<br />
for more details)<br />
