Both of these forms must be received in the Stampin’ <strong>Up</strong>! offices<br />

by December 15 to be in effect for the next tax year (beginning<br />

January 1). If an incomplete application is received near the end<br />

of the year, there may not be enough time for the demonstrator<br />

to make the necessary changes and resubmit her application<br />

before December 15. Stampin’ <strong>Up</strong>! accepts applications at any<br />

time of the year and encourages early application.<br />

Annual Filing<br />

By December 15 of each year, the business entity must re-file<br />

the Notice of Intent to Continue to Operate <strong>Demonstrator</strong>ship<br />

as a Business Entity.<br />

If any new persons have been added as owners or members of<br />

the entity during the year, their information should be added<br />

in the section titled Guarantee of Due Performance.<br />

Both of these forms are available online in the Printing Place.<br />

Authorized <strong>Demonstrator</strong><br />

The only person with whom Stampin’ <strong>Up</strong>! shall conduct business<br />

is the authorized demonstrator of the entity and her supporting<br />

demonstrator. Thus, regardless of the number of owners that<br />

may comprise the business entity, only the demonstrator or<br />

supporting demonstrator may place orders, conduct the business<br />

of the demonstratorship, communicate with Stampin’ <strong>Up</strong>!, or<br />

otherwise act on behalf of the demonstratorship.<br />

Ownership<br />

The demonstrator must own no less than a majority of the<br />

issued shares or membership interests and must have authority<br />

to appoint a majority of the Board of Directors, managers<br />

of the management committee, or equivalent body that<br />

governs the business entity. No change affecting control of the<br />

business entity by the demonstrator may be adopted without<br />

application to and prior written approval by Stampin’ <strong>Up</strong>!<br />

<strong>Up</strong>on dissolution of the business entity, the demonstrator shall<br />

provide notice and copies of the official dissolution documents<br />

to Stampin’ <strong>Up</strong>! before Stampin’ <strong>Up</strong>! shall be obligated to<br />

change the payee’s name on any payment from the company<br />

to the personal name of the demonstrator. All shareholders,<br />

directors, members, trustees, owners, or equity participants shall<br />

personally and irrevocably guarantee due performance<br />

by the corporation of all its obligations and responsibilities as a<br />

demonstratorship, especially those outlined in the Independent<br />

<strong>Demonstrator</strong> Agreement and the <strong>Demonstrator</strong> <strong>Manual</strong>.<br />

Such person(s) shall sign the Guarantee of Due Performance<br />

filed with Stampin’ <strong>Up</strong>! The shareholders, directors, officers,<br />

members, managers, or equity participants of the business entity<br />

are subject to the same disciplinary action as the demonstrator<br />

for violation of the Independent <strong>Demonstrator</strong> Agreement and<br />

the <strong>Demonstrator</strong> <strong>Manual</strong>, notwithstanding the fact that only<br />

the demonstrator (and supporting demonstrator) may place<br />

product orders and otherwise act on behalf of the business entity<br />

or demonstratorship in its relations with Stampin’ <strong>Up</strong>!<br />

The business will conduct only the business of a Stampin’ <strong>Up</strong>!<br />

demonstratorship and no other. Other than the foregoing<br />

restrictions and the designation of the business entity as the payee,<br />

there shall be no distinction made by Stampin’ <strong>Up</strong>! between<br />

demonstrators who are a business entity and those who are not.<br />

Event Attendance<br />

Each demonstrator operating a business entity may register one<br />

member of her business entity for each Stampin’ <strong>Up</strong>! event in<br />

addition to or in lieu of a supporting demonstrator (see Event<br />

Attendance under Supporting <strong>Demonstrator</strong>s Policy). Please<br />

note that members can only be added or removed annually<br />

with the annual filing renewal. Members must be listed at the<br />

time of the event registration to be eligible to attend.<br />

New Recruits<br />

New recruits may submit their business entity application with<br />

their Starter Kit Order Form and Independent <strong>Demonstrator</strong><br />

Application. The application should include a completed copy<br />

of the Application to Operate <strong>Demonstrator</strong>ship as a Business<br />

Entity and Guarantee of Due Performance and the articles of<br />

organization for the business (see Application for further<br />

details). Unlike existing demonstrators, a new recruit’s business<br />

entity will become effective immediately on her start date.<br />

Transferring a <strong>Demonstrator</strong>ship<br />

Policy<br />

A Stampin’ <strong>Up</strong>! demonstratorship may not be transferred,<br />

absent the express written approval of Stampin’ <strong>Up</strong>!, except<br />

under the following circumstances.<br />

A Stampin’ <strong>Up</strong>! demonstrator may pass a demonstratorship<br />

on to heirs as part of an estate. The heir must, in all respects,<br />

qualify as a Stampin’ <strong>Up</strong>! demonstrator. If, in the case of the<br />

heir being underage, or otherwise incapable of conducting<br />

a Stampin’ <strong>Up</strong>! demonstratorshop, the demonstratorship is<br />

transferred to a legal guardian, the guardian must qualify as<br />

a Stampin’ <strong>Up</strong>! demonstrator.<br />

A Stampin’ <strong>Up</strong>! demonstratorship may be transferred upon the<br />

demonstrator’s death to one person by way of a last will and<br />

testament. Transfer to multiple persons may cause the company<br />

to terminate the demonstratorship. The demonstratorship is one<br />
