12.3. In case of renewal or extension of this Contract, said commission<br />

shall be paid solely to the agent who in fact negotiates said renewal<br />

or extension.<br />

13. Applicable law and disputes<br />

13.1. For what is not expressly provided in this Contract or in the<br />

regulations of the National League or of the National Federation or of<br />

<strong>Euroleague</strong> <strong>Basketball</strong>, this Contract is governed by the law of the<br />

State in which the Club has its registered office.<br />

13.2. Any dispute arising from or related to the present Contract shall be<br />

submitted to a Conciliator appointed by the <strong>Euroleague</strong> <strong>Basketball</strong><br />

CEO, with a view to finding an amicable solution. The Parties shall not<br />

be bound by any proposal or opinion expressed by the Conciliator. If<br />

the Parties do not achieve a settlement within 15 days from the<br />

lodging of the application, or if the Conciliator declares that the<br />

attempt at conciliation has failed, either Party shall be free to submit<br />

the dispute to arbitration in accordance with the following provisions.<br />

13.3. If said conciliation procedure has not been successful, any dispute<br />

arising from or related to the present Contract shall be submitted<br />

exclusively to the Court of Arbitration for Sport in Lausanne,<br />

Switzerland, and resolved definitively by a Sole Arbitrator in<br />

accordance with the Code of sports-related arbitration. In spite of<br />

what is provided in Article 3.2 of this Contract, this arbitration clause<br />

shall prevail over any arbitration or jurisdiction provision included in<br />

the Collective Bargaining Agreement or in the regulations of the<br />

National League or National Federation.<br />

13.4. The legal seat of the Arbitration is in Lausanne, Switzerland;<br />

however, any hearing shall be held in Barcelona, Spain, at the<br />

premises of <strong>Euroleague</strong> <strong>Basketball</strong>, which shall make available any<br />

required interpreter and an ad hoc secretary to the arbitration.<br />

13.5. The Sole Arbitrator shall render the award within 20 days of the<br />

lodging of the application; this time limit may be extended by the<br />

President of the CAS Ordinary Division if particular circumstances so<br />

require. The Sole Arbitrator may decide to communicate the<br />

provisions of the award, prior to the reasons; the award shall be final<br />

from said communication.<br />

13.6. The award shall be final and binding upon the parties and it shall not<br />

be challenged by way of an action for setting it aside.<br />
