including any question regarding its existence, validity, interpretation,
breach, performance or termination, shall be ultimately and exclusively
settled under the Rules of Arbitration of the International Chamber of
Commerce by a panel of three arbitrators appointed in accordance with
these Rules. The arbitration shall be conducted in English and the seat
of arbitration shall be in Lugano (Switzerland). Prior to resorting to
arbitration, the parties are obliged to attempt an amicable settlement
through the good offices of a mediator appointed by the Court of
Arbitration for Sport (CAS) in Lausanne in accordance with the CAS
Mediation Rules; if the settlement is not achieved in 30 days, either
party may resort to the arbitration procedure above. The parties shall
be bound by a duty of confidentiality.
In witness whereof, the parties have caused this Agreement to be executed
by their duly authorised representatives as of the date mentioned on the
first page hereof, in two original copies, each of which shall be deemed an
original, but all of which together shall constitute one and the same
instrument.
