Thatagreement must, at minimum, provide for release of the source codeto the Bureau a) when the owner of the software notifies the Bureauthat support or maintenance of the Product will no longer be available;b) if the Vendor fails to provide services pursuant to this contract for acontinuous period; or c) appropriate individual(s) from the Bureauhave directed the escrow agent to release the deposited source code inaccordance with the terms of escrow.Source code, as well as any corrections or enhancements to suchsource code, shall be updated for each new release of the productwithin sixty (60) days of being made available in the Bureau’sproduction environment. The Escrow agent and the Vendor shallnotify the Bureau in writing when new production versions have beenescrowed. The Vendor shall identify the escrow agent uponcommencement of the contract term and shall certify annually that theescrow remains in effect and in compliance with the contract. TheVendor shall be responsible for all costs associated with the thirdpartyescrow arrangement.The Vendor also must place in escrow one (1) paper copy and one (1)electronic copy of all maintenance manuals and additionaldocumentation that are required for the proper maintenance of thesoftware used to develop, test, and implement the MMIS. Revisedcopies of manuals and documentation must be placed in the escrowaccount in the event they are changed. Such documentation mustconsist of logic diagrams, installation instructions, and operation andmaintenance manuals, which must be the same documentation as thatwhich the Vendor supplies to its maintenance personnel to maintainits software. All such materials must be provided to the escrow agentwithin sixty (60) days of its use or applicability to the use of theMMIS.When source code is provided, it must be provided in the language inwhich it was written and will include commentary that will allow acompetent programmer proficient in the source language to readilyinterpret the source code and understand the purpose of all routinesand subroutines contained within the source code.In the event that this contract expires and is not renewed or extended,the Bureau has the option to continue the escrow agreement until suchtime that the Bureau is no longer using the software or documentationcovered by this escrow agreement.In the case of a COTS product, the medium necessary to reinstall thatversion as part of the MMIS platform must be kept. Any futureversions of COTS products must also be kept and provided upondemand.3.1.38 Provide increased staffing levels if requirements, timelines, quality orother standards are not being met, based solely on the discretion of10.1.1.2 COTSwithModifications8.00 StaffCapacity,10-278-214.8-5
