Report of the Supervisory Board11report supervisory board /letter from the chairmanIn addition, on that date the Supervisory Board formed a committee, of which HansHenning Offen, Ulrich Hocker and Prof. Dr. Edgar Ernst are members, which has beengiven responsibility for drawing up resolutions in connection with the capital increaseswith investment from Mori Seiki, which were already announced at the end of last year.On the same day the Committee gave its agreement to carrying out a capital increasefrom authorised capital in an amount of about 10% of the existing registered capital withthe exclusion of shareholders’ share options as well as its basic agreement to carrying outa further prompt capital increase from authorised capital, subject to the actual capitalmarket environment of a further presumably 20% of the then existing registered capitalwith shareholders’ share options.Moreover, the Supervisory Board was involved with the results of the efficiencycheck, which was carried out at the end of 2010 / beginning of 2011. All twelve membersof the Supervisory Board were present at the meeting: Hans Henning Offen, Prof.Dr. Edgar Ernst, Dr.-Ing. Jürgen Harnisch, Ulrich Hocker, Prof. Dr.-Ing. Walter Kunerth,Dr.-Ing. Masahiko Mori, Gerhard Dirr, Harry Domnik, Oliver Grabe, Matthias Pfuhl,Günther-Johann Schachner, Norbert Zweng.The Supervisory Board thanks the Executive Board and all employees for theircommitment and efforts in a difficult financial year, in which the effects of the worldwiderecession and the worst crisis in the history of the machine tool industry were stillclearly being felt.Hans Henning OffenChairman of the Supervisory BoardBielefeld, 15 March 2011
