Schedule – 1(Definition)Adverse Effectmeans material adverse effect on:(a) The ability of the System Integrator to exercise any of its rights orperform/discharge any of its duties/obligations under and in accordancewith the provisions of this Agreement and/or(b) The legal validity, binding nature or enforceability of this Agreement;AgreementMeans this Master Services Agreement, Service Level Agreement andNon-Disclosure Agreement together with all Articles, Annexure, Schedulesand the contents and specifications of the Volumes I and II of the RFP;Applicable Law(s) Means any statute, law, ordinance, notification, rule, regulation, judgment,Order, decree, bye-law, approval, directive, guideline, policy, requirementOr other governmental restriction or any similar form of decision of, Ordetermination by, or any interpretation or administration of the Client asMay be in effect on the date of the execution of this Agreement and duringthe subsistence thereof, applicable to the Project;AssetsShall have the same meaning ascribed to it in Clause 2.12 (a)Software Means the software (including CAS (State)) designed, developed /customized, tested and deployed by the System Integrator for the purposesof the Project and includes the source code (in case of Bespokedevelopment) along with associated documentation, which is the Workproduct of the development efforts involved in the Project and theimprovements and enhancements effected during the term of the Project,but does not include the proprietary software components and toolsdeployed by the System Integrator;Business Hours Shall mean the working time for Client / Arunachal Pradesh Police whichis 10:00 AM to 7:00 PM. Again for Servers and other components whichenable successful usage of CCTNS solution the working time should beconsidered as 24 hours for all the days of the week. It is desired that ITmaintenance, other batch processes (like backup) etc. should be planned.So that such backend activities have minimum effect on the performance;Certificate(s) of Shall have the same meaning ascribed to it in Clause 2.7.4.ComplianceConfidentialInformationMeans all information including Arunachal Pradesh Police Data (whetherin written, oral, electronic or other format) which relates to the technical,financial and business affairs, which is disclosed to or otherwise learned bythe System Integrator in the course of or in connection with this AgreementArunachal Pradesh Police Page 45
