Corporate Governance<br />

The Board of Directors oversees the bank’s management<br />

and is responsible for controlling the Bank periodically<br />

<strong>Arab</strong> <strong>Banking</strong> <strong>Corporation</strong> - Algeria ( ABC-A) was founded in 1998 (approved to operate by the Monetary and Credit Committee in<br />

1998). It is a subsidiary of ABC-BSC which owns most of its capital (see the table below).<br />

The bank’s registered capital, initially DZD1.183 billion, was increased to DZD2.67 billion in June 2000 and was further increased, pursuant<br />

to a legal obligation, by the exclusive support of its parent company, to go from DZD2.67 billion to DZD10 billion in 2009.<br />

The other shareholders have participated by incorporation of reserves.<br />

BOARD OF DIRECTORS<br />

The Board of Directors oversees the bank’s management and<br />

is responsible for controlling the Bank periodically during its<br />

sessions. To optimise its supervisory role, this latter has set up<br />

three committees on which its different members sit.<br />

l Governance and Compensation Committee<br />

l Audit Committee<br />

l Risk Committee<br />

These committees are responsible for ensuring the holding of the<br />

Board meeting to examine in more depth the situation of the<br />

Bank respectively in the following domains :<br />

l Good governance (managerial management);<br />

l Optimum management of human resources and related<br />

compensation;<br />

l On-going control and monitoring of the business;<br />

l Credit and risk policy on bank commitments.<br />
