GENERAL PRESENTATION OF SCHNEIDER ELECTRIC SA<br />

INFORMATION ON THE COMPANY<br />

This report includes the Chairman’s report on the conditions applicable for the preparation and organisation of the<br />

work carried out by the Supervisory Board and the internal control and risk management procedures implemented<br />

within the Company.<br />

Sections 2 (General Meetings and Voting rights) and 7 below, as well as the paragraph entitled “A Management Board/<br />

Supervisory Board system”, Sections 1, 2, 3, 4, 8 (Management Board and Executive Committee compensation<br />

policy and Pension benefi ts), 10 and 11 of Chapter 3 constitute the Supervisory Board Chairman’s report prepared in<br />

accordance with article L.225 -68 of the French Commercial Code. They are indicated with**.<br />

<strong>Schneider</strong> <strong>Electric</strong> SA is a French corporation (Société Anonyme)<br />

with a Management and Supervisory Board (since May 3, 2006)<br />

governed by the French Commercial Code, with a share capital<br />

of EUR2,195,772,096, whose registered head offi ce is located at<br />

35, rue Joseph Monier – 92500 Rueil-Malmaison, France (phone<br />

number: +33 (0)1 41 29 70 00).<br />

The Company is registered in Nanterre under No. 542 048 574,<br />

business identifi er code (APE) 7010Z.<br />

<strong>Schneider</strong> <strong>Electric</strong> SA was founded in 1871 and its term is up to<br />

July 1, 2031. It was fi rst called Spie Batignolles, then changed its<br />

name to <strong>Schneider</strong> SA when it merged with <strong>Schneider</strong> SA in 1995,<br />

and then to <strong>Schneider</strong> <strong>Electric</strong> SA in May 1999.<br />

As stated in article 2 of its articles of association, the Company has<br />

the following objectives, directly or indirectly, engaged in any form,<br />

in France and elsewhere:<br />

(i) the design, development and sale of products, equipment<br />

and solutions related to the metering, management and use<br />

of energy in all its forms and delivering reliability, effi ciency and<br />

productivity, in particular through the pursuance, whether by<br />

creating, acquiring or otherwise, of all activities related to:<br />

• electrical equipment manufacturing, electrical distribution and<br />

secure power supply;<br />

• building control, automation and safety;<br />

• industrial control and automation, including software;<br />

• management of all types of data centres, networks, equipment<br />

and other infrastructure;<br />

(ii) the acquisition, purchase, sale and use of any intellectual or<br />

consortium, whatever the type, undertaking activities related to<br />

the Company’s business or such as to encourage its industry<br />

and commerce, and, more generally, all industrial, commercial<br />

and fi nancial, real estate and other operations related directly or<br />

indirectly in any way to the above objective.<br />

The Company may perform any operations that fall within the<br />

scope of its objectives either alone for its own benefi t or on behalf<br />

of third parties, either by having an interest in, or by the purchase,<br />

subscription, contribution or exchange of company shares,<br />

partnership shares and the purchase of any company, irrespective<br />

of type, in pursuance of a similar or related objective, or such as to<br />

encourage its extension or development.<br />
