Each director’s term of office expires at the later of the third annual general meeting of shareholders of
Mirabela or three years after that director’s last election or appointment. One-third of the directors must retire
at each annual general meeting. Retiring directors are eligible for re-election.
Shareholdings of Directors and Senior Officers
As at the date of this prospectus, the directors and executive officers of Mirabela, as a group, beneficially
owned, directly or indirectly, or exercised control or direction over, 16 million ordinary shares representing
approximately 18% of the issued and outstanding ordinary shares of Mirabela. Upon completion of the Offering
(without giving effect to the exercise of the Over-Allotment Option), these directors and executive officers, as a
group, will own or exercise control over 14% of the then outstanding ordinary shares.
