Non-executive directors<br />
Details of current individual non-executive directors’ contracts for<br />
services are given in the table below. These directors are not part<br />
of any pension, bonus or share incentive scheme of the Company<br />
or the Group. Directors are subject to re-election at least every<br />
three years. None of the non-executive directors has a service<br />
contract and none is entitled to compensation on leaving the Board<br />
save that, if requested to resign, the Chairman and each nonexecutive<br />
director is entitled to prior notice or fees in lieu as set<br />
out in the table below.<br />

Apart from the Chairman and Deputy Chairman, non-executive<br />
directors are paid a basic fee, currently £47,500 per annum, for<br />
their role on the Board and separately remunerated for services on<br />
Board Committees. All fees are reviewed annually and the fees<br />
were last increased with effect from July 2006. The Chairman and<br />
Deputy Chairman of the Board, who chair the Investment and<br />
Remuneration Committees respectively, receive an annual allinclusive<br />
fee, currently £250,000 and £90,000 respectively, the<br />
latter being exclusive of VAT. The Remuneration Committee sets<br />
the Chairman’s annual remuneration.<br />
