BOARD, MANAGEMENT AND CORPORATE GOVERNANCE
4.1 BOARD OF DIRECTORS
The current Board of Directors comprises three independent Non-Executive Directors and four Executive
Directors.The Chairman of the Board, Jim Babcock, is an Executive Director.The Board has an intention to
appoint up to a further two Non-Executive Directors within six months of listing.These persons are expected to
be drawn from international locations with a skill set and experience that will be relevant to the operations of
Babcock & Brown.
Details of each of the Director’s positions and their biographies are provided below.

Executive Chairman
Co-founded Babcock &
Brown in 1977. Prior to
founding Babcock &
Brown, Jim practised
corporate and tax law. Jim is
a graduate of Harvard
College and Harvard Law
School where he was a
member and officer of the
law review. He is based in
the San Francisco office.
Executive Director
James Fantaci has
geographic responsibility
for North America and
coordinates the Group’s
Operating Leasing activities
worldwide. He joined
Babcock & Brown in 1982.
Prior to joining Babcock &
Brown, Jim was Senior Vice
President of the New York
office of Matrix Leasing
International and prior to
that he served as Assistant
Treasurer of the Bank of
New York. Jim attended the
New School for Social
Research and graduated
from Brooklyn College with
a degree in Economics.
He is based in the New
York office.
Managing Director
Phillip Green joined
Babcock & Brown in 1984.
Prior to joining Babcock &
Brown, Phil worked as a
Senior Manager with
Arthur Andersen where he
specialised in taxation. Phil
is also chairman of
Environmental
Infrastructure Limited and a
director of PrimeLife
Corporation Limited, Prime
Infrastructure Management
Limited and Thakral
Holdings Limited. Phil holds
Bachelor of Commerce and
Bachelor of Laws degrees
from the University of New
South Wales. He qualified as
a Chartered Accountant in
1981 and was admitted as a
solicitor in NSW in 1978.
He is based in the Sydney
office.
Non-Executive Director
Ian Martin has over 20 years
experience in investment
management and investment
banking. He is a former
CEO of the BT Financial
Group and Global Head of
Investment Management
and Member of the
Management Committee of
Bankers Trust Corporation
(a global investment bank
which was acquired by
Deutsche Bank in 1999).
Early in his career he also
spent eight years as an
economist with the
Australian Treasury,
Canberra. He was inaugural
Chairman of the Investment
and Financial Services
Association. Ian holds an
Honours Degree in
Economics from the
University of Adelaide and
an Advanced Diploma from
the Australian Institute of
Company Directors.
