RESOLUTION NO. 41-11 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF WEST PALM BEACH, FLORIDA, AUTHORIZING THE MAYOR TO EXECUTE AN EMPLOYEE HEALTH CENTER AGREEMENT BETWEEN THE CITY OF WEST PALM BEACH AND H2U WELLNESS CENTERS LLC, FOR THE OPERATION AND MANAGEMENT OF THE CITY’S EMPLOYEE HEALTH CLINIC.; PROVIDING FOR AN EFFECTIVE DATE; AND FOR OTHER PURPOSES. ******************* WHEREAS, the City issued Invitation to Negotiate #08/09-131(“ITN”) seeking proposals to administer an onsite employee health center for the City; and WHEREAS, First Onsite, a wholly owned subsidiary of HCA, Inc., is a provider of health care services and employs or contracts with Medical Professionals duly licensed and qualified to provide such services and to manage and operate the Clinic; and WHEREAS, First Onsite’s proposal was determined to be the best value to the City; and WHEREAS, it is the desire of the parties hereto to enter into a contractual agreement whereby First Onsite will provide the clinical and management services for the City’s Employee Health Clinic. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF WEST PALM BEACH, FLORIDA, THAT: SECTION 1: The City Commission of the City of West Palm Beach, Florida hereby authorizes the Mayor to execute an Employee Health Center Agreement between the City of West Palm Beach and H2U Wellness Centers LLC in substantially the form attached hereto as Exhibit “A” (“Agreement”) and, in accordance with the Agreement, to execute amendments for changes relating to the operation of the Clinic such as staffing levels, performance guarantees and hours of operation. SECTION 2: Upon execution of two (2) originals of the Agreement by the Mayor, one original shall be forwarded to Suzanne Payson, Assistant City Attorney, for further handling. A fully-executed original of the Amendment shall be retained by the City Clerk as a public record of the City.
