SECTION 3. Covenants and Responsibilities of the City.
3.1 Site; Delivery. The City agrees to provide space to First Onsite where First
Onsite will operate the Clinic. Such space will satisfy the minimum square footage requirements
set forth in Exhibit J attached hereto and will be delivered to First Onsite upon completion of all
renovations deemed necessary by City (“Delivery Date”).
3.2 Clinic Renovations. The City shall be responsible for, and bear all expense for
renovations necessary or required to permit the Services to be provided at the Clinic (including
any alterations required for patient safety, patient privacy and/or required by law). The City will
also provide a voice telephone infrastructure and functionality and reimburse First Onsite for
costs for hardware and software connectivity to enable First Onsite to use its portable electronic
medical records.
3.3 Utilities and Cleaning. The City shall provide heat, air-conditioning, electricity,
water and sewer utilities, telephone access, and internet access to the Clinic sufficient for
providing the Services. The City shall provide general cleaning services for the Clinic. First
Onsite shall be responsible for overseeing functionality of utilities and cleaning and shall notify
the City’s Project Representative of any items not satisfactorily functioning for Clinic operation.
3.4 Zoning, Consents, Etc. Any required zoning changes or other approvals or
consents for the Clinic site other than licensing, approvals or consents relating to the provision
of clinical services at the Clinic shall be obtained by the City at the City’s expense.
3.5 Covered Persons. The City shall provide access to the Clinic only to Covered
Persons as defined above, unless otherwise agreed to by the parties. The City will make its best
efforts to ensure that Covered Persons are aware of the availability of First Onsite’s Services.
Prior to the first (1 st ) of each month, the City shall provide First Onsite a listing of all “Covered
Persons” in mutually agreed upon file format. The City shall identify Prospective Employees on
an ongoing, as needed basis.
3.6 Project Representative. The City hereby designates Patricia Brosamer, Benefits
Manager, as the City’s project representative (“City’s Project Representative”) to represent
the City in all of its dealings with First Onsite relating to the operation and management of the
Clinic.
SECTION 4. Term and Termination.
4.1 Term. This Agreement shall commence on the date executed by the later of the
City and First Onsite (“Effective Date”) and shall continue for a term of three (3) years. Unless
terminated as provided for herein, the City shall have the right to renew the Agreement for a
maximum of two (2) consecutive one (1) year terms prior to the expiration of each term of the
Agreement.
4.2 Termination. Notwithstanding anything herein to the contrary, this Agreement
may be terminated at any time as follows:
