Agenda Cover Memorandum for 02/ - City of West Palm Beach

DEFINITIONS
“Benefits” shall have the meaning set forth in Section 1.6.
“Clinic” shall mean a facility owned or leased by the City, at a location selected by the
City, which shall be known as the “City of West Palm Beach Employee Health Clinic”.
“Clinical Services” shall have the meaning set forth in Section 1.1.
“Covered Persons” shall mean (i) Eligible Employees, (ii) Eligible Dependents, (iii)
Prospective Employees, and (iv) General, Police and Fire Rescue employees for
Occupational Health coverage; and (v) General, Police and Fire Rescue employees and
official City volunteers for Worker’s Compensation coverage. The City shall have the
right, upon notification to First Onsite, to include Fire Rescue employees as Covered
Persons at no additional charge.
“Delivery Date” shall have the meaning set forth in Section 3.1.
“Effective Date” shall have the meaning set forth in Section 4.1.
“Eligible Dependent” means an individual enrolled as a qualified dependent of a City
employee or COBRA participant currently participating in the City’s health insurance
plan for General Employees or Police Employees. The minimum age shall be established
by First Onsite based upon the Medical Professionals’ expertise but in any event the
minimum age established shall not be more than eight (8) years old.
“Eligible Employee” means a current, regular status employee or COBRA participant
who is currently participating in the City’s health insurance plans.
“EMR” shall mean First Onsite’s electronic medical records system.
“Equipment” shall mean the equipment reasonably necessary for the delivery of the
Clinical Services including but not limited to medical examination tables, diagnostic
equipment, chairs, occasional tables and stands, lamps, shelves, storage cabinets,
computers, and printers all as set forth in the Inventory.
“HIPAA” shall mean the Health Insurance Portability and Accountability Act of 1996, as
amended.
“Inventory” shall have the meaning set forth in Section 1.5.
“Management Services” shall have the meaning set forth in Section 1.2.
“Management Fee” shall have the meaning set forth in Section 5.1.
“Medical Assistant” shall mean a certified medical assistant and x-ray technician duly
licensed in the State of Florida to provide medical assistance to the Medical
Professionals.
