less the estimated cost of any Supplies and Equipment the City elects to purchase (“Start Up
Costs”).
b. Ongoing Equipment and Supplies. First Onsite shall be responsible for
replenishing the Equipment and Supplies as reasonably required for the provision of the Clinical
Services and such costs shall be reimbursed by the City in accordance with Section 5.2.
c. The Equipment and Supplies shall be the property of the City and, upon
payment to First Onsite for the Equipment and Supplies purchased by First Onsite, First Onsite
shall deliver a bill of sale, with warranty of title, to the City, including serial numbers for the
Equipment, where applicable. First Onsite shall comply with the City’s asset inventory
procedures. If any portion of the Equipment and Supplies is defective or otherwise not operating
properly, it shall be the responsibility of First Onsite and the Medical Professionals to take all
action reasonably necessary to ensure that such Equipment and Supplies do not create a risk of
injury to any person at the Clinic.
d. Except as otherwise provided for in the Inventory, First Onsite shall not
make any single expenditure that will be passed through to the City (i) in excess of Two
Thousand Five Hundred Dollars ($2,500); or (ii) not identified in Section 5.2 as a Reimbursable
Expense, without the City’s prior approval.
1.6 Personnel.
a. First Onsite will provide a sufficient number of Medical Professionals and
support personnel as needed, based on number of visits, to perform the Clinical Services at the
Clinic. Initial staffing for the Clinic shall include a Physician, Nurse Practitioner or Physician’s
Assistant, Nurse and Medical Technician. The salaries shall not exceed the hourly rates
(including benefits) set forth on Exhibit E attached hereto the benefits will be consistent with the
HCA benefit plan and all benefits that are greater than the HCA benefit plan shall be approved
by the City (“Benefits”).
b. The Physician shall be dedicated full time to the Clinic, shall be on site a
minimum of forty (40) hours of week, excluding vacation, holidays, training and sick time,
unless otherwise approved by the City, and shall have no other employment or practice without
the City’s prior written approval. First Onsite’s contract with the Physician shall be in the form
attached hereto as Exhibit F (“Physician’s Agreement”) unless otherwise approved by the
City. Notwithstanding anything in the Physician’s Agreement to the contrary, travel for medical
conferences or otherwise shall be limited to the continental United States unless otherwise
approved by the City and costs shall be in accordance with the City’s Travel Expense Policy
attached hereto as Exhibit G (“Travel Expense Policy”). The City shall not pay a Management
Fee on any severance payable under the Physician’s Agreement or on travel and training.
c. The City shall have the opportunity to interview any initial, replacement or
temporary Physician and Nurse Practitioner or Physician Assistant candidates identified by First
Onsite and determine if such candidates will be acceptable to the City. First Onsite shall not
commit to provide any particular person as a Medical Professional, and First Onsite shall have
