CITY OF WEST PALM BEACH
EMPLOYEE HEALTH CENTER AGREEMENT
THIS EMPLOYEE HEALTH CENTER AGREEMENT (the “Agreement”) is by and
between H2U WELLNESS CENTERS LLC, a Tennessee Limited Liability Company
authorized to do business in the state of Florida, d/b/a “First Onsite”, with an address of 3322
West End Avenue, Suite 400, Nashville, TN 37203 (“First Onsite”), and the CITY OF WEST
PALM BEACH, a Florida municipal corporation, with an address of 401 Clematis Street, West
Palm Beach, Florida 33401 (“City”).
RECITALS:
WHEREAS, the City seeks to provide access to quality health care and to improve the
health and wellness of its employees and other eligible persons through the provision of clinical
services at an employee health center (the “Clinic”); and
WHEREAS, the City specifically wishes to offer primary care and occupational health
services including but not limited to evaluation and treatment of work related injuries and
illnesses, occupational health exams, health assessments, call support, immunizations, injections,
exams and screenings, prescription dispensing, disease management and primary case
management at the Clinic to its employees and other eligible persons; and
WHEREAS, the City issued Invitation to Negotiate #08/09-131(“ITN”) seeking
proposals to administer an onsite employee health center for the City, the terms of which are
incorporated herein by reference; and
WHEREAS, First Onsite responded to the ITN by submitting a proposal dated
September 10, 2009 and amended March 16, 2010, (collectively, “Proposal”), the terms of
which are incorporated herein by reference; and
WHEREAS, First Onsite, a wholly owned subsidiary of HCA, Inc., is a provider of health
care services and employs or contracts with Medical Professionals duly licensed and qualified to
provide such services and to manage and operate the Clinic; and
WHEREAS, First Onsite’s Proposal was determined to be the best value to the City; and
WHEREAS, it is the desire of the parties hereto to enter into a contractual agreement
whereby First Onsite will provide clinical and management services under the terms and
conditions herein.
NOW, THEREFORE, in consideration of the promises and the mutual covenants
contained herein, the parties hereto do agree as follows.
