• Performance of the project works known as “Conexión<br />
Lo Saldes Fase 1 Versión 2”, was approved, according to a<br />
project submitted to the Concession-holding Company and<br />
declared to be in the public interest by the MOP via DGOP<br />
Resolution 5257 of December 16, 2008.<br />
• UF 30,916.78 was set as the single, total amount to be<br />
paid by the MOP to the Concession-holding Company<br />
as compensation for the investments and disbursements<br />
associated with the characteristics of the works and services<br />
referred to in DGOP Resolution 5257. This considered<br />
values price-level restated at June 30, 2009.<br />
• It set December 31, 2009 as the deadline for paying the<br />
above amount, authorizing accrual of interest as of July<br />
1, 2009 to the date of actual payment. This payment was<br />
received in full by the Concession-holding Company on the<br />
contemplated date.<br />
• For VAT the purposes, the same treatment considered in<br />
article 1.12.3 of the Bidding Terms and Conditions operated.<br />
d) Supplementary Agreement No. 2<br />
This agreement, approved by Supreme Decree 237 of the<br />
Ministry of Public Works, issued on August 25, 2009, and<br />
reviewed by the Contraloría General de la República on<br />
December 17, 2009, amended the following main aspects<br />
of the concession contract:<br />
• It authorized execution of the project’s supplementary<br />
roadworks known as “Ensanche de Avenida El Cerro y<br />
Puente sobre el Río Mapocho”, consisting of the following:<br />
a) Widening of Av. El Cerro to two lanes both ways, separated<br />
by a median strip of 2.5 meters and 3.0 meters of pavement<br />
on both sides.<br />
b) Grade modification at the intersections of Av. El Cerro<br />
with Los Conquistadores, <strong>San</strong>ta Maria and Andrés Bello.<br />
c) Construction of the “El Cerro I” Bridge over the Mapocho<br />
River, about 52 meters long and with three lanes.<br />
d) Landscaping, Lighting, Traffic Lights and Service Change<br />
projects.<br />
• UF 192,920 was set as the final, total price of the above<br />
project works, without considering the cost of the service<br />
changes.<br />
• UF70,002.76 was set as the final, total value of the cost of<br />
the Service Changes required by the above project.<br />
• Interest in the amount of UF 15,712.00 was recognized<br />
and added to the above values for the investments already<br />
made by the Concession-holding Company, price-level<br />
restated at June 30, 2009.<br />
• UF 2087.95 was set as the balance of the amount of the<br />
Supplementary Roadworks set forth in article 1.9.2.18 of the<br />
Bidding Terms and Conditions. This amount was deducted<br />
from those specified in the previous paragraphs.<br />
• It set forth that the maintenance, conservation and<br />
operaton of the supplementary project road works known<br />
as “Ensanche de Avenida El Cerro y Puente sobre el Río<br />
Mapocho” will not be charged to the Concession-holding<br />
Company and the Concession-holding Company will not be<br />
liable for them.<br />
• It set December 31, 2009 as the deadline for paying the<br />
above amounts, authorizing accrual of interest as of July<br />
1, 2010 to the date of actual payment. This payment was<br />
received in full by the Concession-holding Company on<br />
December 31,2009.<br />
• For VAT purposes, it will be subject to the same treatment<br />
set forth in article 1.12.3 of the Bidding Terms and Conditions.<br />
e) Ad Referendum Agreement No. 2<br />
This agreement was approved by Supreme Decree 288 of<br />
the Ministry of Public Works, issued on November 18, 2009<br />
and published on the Official Gazette of April 8, 2010. The<br />
most important aspects of this Resolution are as follows:<br />
