4) Prohibition to encumber, convey, dispose of or execute
any act or enter into any contract whatsoever that may affect
the Concession and/or the property furnished in the Special
Pledge of Concession, in favor of Banco Bilbao Vizcaya
Argentaria, Chile, registered on page 2 No. 4 of the Register
of Prohibitions of Industrial Pledge of year 2009, kept by the
Real Estate Registrar’s Office of Santiago.
5) Contract of Pledge over Shares and prohibition to
encumber, convey, dispose of or execute any act or enter
into any contract whatsoever, executed through a public
deed dated February 25, 2009, Digest No. 3246-2009, at
the Notary Public’s Office of Santiago of Mr. Eduardo Avello
Concha, in accordance with Articles 813 et seq. of the Code
of Commerce, by virtue of which each stockholder in the
Concession-holding Company furnished a commercial
pledge over their shares registered in the Stockholders’
Register at that date, in favor of Banco Bilbao Vizcaya
Argentaria, Chile. Those pledges and prohibitions have
been duly recorded in the Concession-holding Company’s
Stockholders’ Register.
6) Commercial Pledge Contract over the Project Accounts
and all of the monies as may be deposited in those accounts
and prohibition to encumber, convey, dispose of or execute
any act or enter into any contract whatsoever, executed
through a public deed dated February 25, 2009, Digest No.
3247-2009 at the Notary Public’s Office of Santiago of Mr.
Eduardo Avello Concha, pursuant to article 815 of the Code
of Commerce.
7) Contract of First-Degree Pledge without Conveyance over
Assets, pursuant to law 18,112; and Prohibition to convey,
encumber and execute acts and enter into contracts with
respect to the pledged assets, executed through a public
deed dated February 25, 2009, Digest No. 3248-2009, at
the Notary Public’s Office of Santiago of Mr. Eduardo Avello
Concha.
8) Contract of Commercial Pledges and Prohibitions to
Convey, executed through a public deed dated February
25, 2009, at the Notary Public’s Office of Santiago of Mr.
Eduardo Avello Concha, Digest No. 3249-2009, over credits
arising from contracts, pursuant to which the Concessionholding
Company furnished a commercial pledge over
credits in favor of Banco Bilbao Vizcaya Argentaria, Chile,
over the Company’s rights as may be derived from: (i) the
Construction Contract entered into with Constructora
Vespucio Norte S.A. on April 8, 2005; (ii) the Contract of
Technical Assistance with the Stockholders, entered into
with Concesiones Viarias Chile S.A. and with Hochtief PPP
Solutions Chile Limitada, both of them on July 4, 2008; (iii)
the Service Rendering Contract entered into with Sociedad
Concesionaria Vespucio Norte Express S.A. on July 3,
2008; (iv) the Contract for Design, Engineering, Provision,
Installation, Testing, Documentation and Placement into
Service of the Toll Operation System, entered into with Sice
Agencia en Chile S.A. on July 23, 2007; (v) the Contract
for the Design, Engineering, Provision, Installation,
Erection, Testing, Documentation and Placement Service
of the Traffic and Tunnels System, entered into with Sice
Agencia Chile S.A. on January 17, 2007; (vi) the Contract
of Design, Engineering, Provision, Installation, Erection,
Testing, Documentation and Placement Service of the
Traffic Management and Tunnels System, entered into with
Indra Sistemas Chile S.A. on January 17, 2007; (vii) and the
Contract of Provision, Installation, Testing and Placement
into Service of the Electronic Toll Collection System, entered
into with KapschTrafficCom AB, on August 24, 2007.
9) Commercial Pledge Contract over Subordinated Credits
and prohibition to convey, encumber and execute any act
or enter into any contract, with respect to all or part of the
pledged credit, entered into by Concesiones Viarias Chile
S.A., Hochtief PPP Solutions Chile Limitada and SCE Chilean
Holding S.A. in favor of Banco Bilbao Vizcaya Argentaria,
Chile, executed through a public deed dated February 25,
2009, Digest No. 3250-2009, at the Notary Public’s Office
of Santiago of Mr. Eduardo Avello Concha.
10) Contract of Commitment of the Stockholders related to
Hochtief PPP Solutions Chile Limitada, in favor of Banco
Bilbao Vizcaya Argentaria, Chile, executed through a public
deed dated February 25, 2009, Digest No. 3251-2009, at
the Notary Public’s Office of Santiago of Mr. Eduardo Avello
Concha.
