12) Agreement of Subordination in Case of Insolvency,
entered into with Banco Bilbao Vizcaya Argentaria, Chile,
executed through a public deed dated February 25, 2009,
Digest No. 3253-2009, at the Notary Public’s Office of
Santiago of Mr. Eduardo Avello Concha.
13) Designation As Beneficiary or Additional Insured in
Insurance Policies and Power of Attorney, pursuant to which
the Concession-holding Company appointed Banco Bilbao
Vizcaya Argentaria, Chile, as a beneficiary or additional
insured of insurance policies taken by the Concessionholding
Company.
14) In addition to what is stated above, several powers of
attorney were granted in favor of Banco Bilbao Vizcaya
Argentaria, Chile, to represent the Concession-holding
Company with the powers and rights specified in the same.
15) Through a public deed dated February 25, 2009, the
Contract of Debt Recognition, Rescheduling and Credit
Opening was entered into between Banco Bilbao Vizcaya
Argentaria, Chile and the Concession-holding Company,
which was modified on December 1, 2011.
16) On December 1, 2011, a Contract of Purchase, Release
And Furnishing of Pledge over Shares was entered into
between Taurus, Concesiones Viarias de Chile, the Company
Concesionaria and Banco Bilbao Vizcaya Argentaria, Chile.
17) On December 1, 2011, a Contract of Credit Assignment,
Pledge Release, Pledge over Subordinated Credits and
Contractual Position Assignment of the Subornation
Agreement was entered into by Concesiones Viarias Chile
S.A., Taurus Holding Chile S.A., the Company Concesionaria
and Banco Bilbao Vizcaya Argentaria, Chile.
18) On December 15, 2011, the Contract of Debt
Recognition, Rescheduling and Credit Opening between
Banco Bilbao Vizcaya Argentaria, Chile, Banco del Estado de
Chile and the Concession-holding Company was modified.
19) On December 15, 2011, a Letter of Credit was granted
by Scotiabank in the amount of 40,000 UF in favor of Banco
Bilbao Vizcaya Argentaria, Chile.
20) On December 15, 2011, a Letter of Credit was granted
by Scotiabank in the amount of 450,000 UF in favor of
Banco Bilbao Vizcaya Argentaria, Chile.
21) On December 15, 2011, a Letter of Credit was granted
by Scotiabank in the amount of 137.500 UF in favor of
Banco Bilbao Vizcaya Argentaria, Chile.
22) On December 1, 2011, the Contract of Technical
Assistance between the Concession-holding Company
and Concesiones Viarias Chile S.A. by virtue of which the
Technical Assistance Contract was assigned by Concesiones
Viarias Chile S.A. to Taurus Holding Chile S.A., was modified.
b) Restrictions
At December 31, 2011 the Concession-holding Company is
subject to restrictions under the credit line opening contract
entered into with Banco BBVA. Clause seventh number two,
paragraph twelve provides, “maintain a minimum ratio of
Own Funds to Indebtedness at least equal to thirty/seventy,
where the indebtedness shall mean, for any date, the total
principal of the loans of the project”.
