RFP <strong>for</strong> e-<strong>Ticketing</strong> <strong>Project</strong> Volume-III<br />

beyond its control, Labour disturbance not caused at the instance of the Party<br />

claiming Force Majeure, Acts of government or other competent authority, war,<br />

terrorist activities, military operations, riots, epidemics, civil commotions etc. No<br />

failure, delay or other default of any contractor or sub-contractor to either Party<br />

shall entitle such Party to claim Force Majeure under this Article.<br />

b. The Party seeking to rely on Force Majeure shall promptly, within 2 days, notify<br />

the other Party of the occurrence of a Force Majeure event as a condition<br />

precedent to the availability of this defense with particulars detailed in writing to<br />

the other Party and shall demonstrate that it has taken and is taking all<br />

reasonable measures to mitigate the events of Force Majeure.<br />

c. In the event the Force Majeure substantially prevents, hinders or delays the<br />

Implementation Agency's per<strong>for</strong>mance of Seies eessa fo Pojets<br />

period in excess of 5 days, ASI may declare that an emergency exists. However,<br />

when the situation arising out of <strong>for</strong>ce majeure comes to an end in the<br />

assessment of ASI the following conditions shall apply:<br />

Prior to commencement of operations: If the event of Force Majeure had occurred prior<br />

to commencement of operations, upon its coming to an end the Implementation Agency<br />

shall resume normal activities under this Agreement immediately. ASI if considers it<br />

necessary, may grant an extension of time to the Implementation Agency <strong>for</strong> resuming<br />

normal activities under this Agreement. If the Implementation Agency does not resume<br />

normal activities immediately or within the extended period, if any, granted by ASI, ASI<br />

will have the option to invoke the Per<strong>for</strong>mance Guarantee, levy liquidated damages as per<br />

clause 4.4 of this Agreement, obtain substitute per<strong>for</strong>mance from an alternate supplier at<br />

the cost of Implementation Agency and/or terminate this Agreement.<br />

Post commencement of operations: If Force Majeure had occurred post commencement<br />

of operations, upon its coming to an end, the Implementation Agency shall resume<br />

normal services under this agreement immediately. ASI if considers it necessary, may<br />

grant an extension of time to the Implementation Agency <strong>for</strong> resuming normal services<br />

under this agreement. However, ASI will deduct <strong>for</strong> each day of the extension period a<br />

percentage proportionate to the number of days and the volume(s) (measured in terms of<br />

ratio to the overall volume as recorded in the previous month) expected in the affected<br />

area(s) from the next payable amount as per Payment Schedule. If normal services are not<br />

resumed immediately or within the extended time, ASI will have the option to invoke the<br />

Per<strong>for</strong>mance Guarantee and/or terminate the Agreement.<br />
